The meeting was called to order at 5:00 p.m. followed by the Pledge of Allegiance and
Invocation.
AGENDA APPROVAL
Motion by Commissioner Riden, seconded by Commissioner Park to approve the agenda as
presented. Motion passed unanimously.
EXTENSION OF THE DATA CENTER MORATORIUM
The Board discussed extending the current temporary moratorium on data centers. Planning staff
reported receiving several inquiries regarding data centers and stated that proposed regulations
were being developed. Staff had conducted research and visited several sites in Georgia to better
understand the impacts of data centers on surrounding communities. Staff requested a 120-day
extension to complete the zoning process and present proposed regulations to the Planning
Commission and Board of Commissioners for review.
Motion by Commissioner Riden, seconded by Commissioner Park, to approve Resolution 2026-RES-009,
Moratorium on Applications for Data Centers, extending the existing temporary moratorium by 120 days,
and place the item on the consent agenda for the next meeting. Motion passed unanimously.

EXTENSION OF THE PLANNED UNIT DEVELOPMENT MORATORIUM
The Board discussed extending the current temporary moratorium on Planned Unit
Developments. Planning staff reported that work on the proposed regulations had been underway
for several months. However, competing priorities involving data centers and solar farms had
delayed completion of the final draft for public distribution and feedback from one of the
County’s two Planned Unit Developments.
Staff requested a 120-day extension to complete the draft and obtain public comments before
submitting the proposed regulations to the Planning Commission and Board of Commissioners
for review.
Motion by Commissioner Park, seconded by Commissioner Jones, to approve Resolution 2026RES-010, extending the existing temporary moratorium on Planned Unit Developments for 120
days, and to place the item on the consent agenda for the next meeting. Motion passed
unanimously.
DEMOLITION OF FORMER MORGAN COUNTY JAIL
Staff reported that demolition of the former Morgan County Jail is necessary before
improvements to the Ag Center and construction of the 4-H indoor shooting sports facility can
proceed. Both projects were specifically identified in the SPLOST referendum.
A request for proposals was issued on July 20, 2026, and bids were received on September 24,
2026. Following review, the County’s engineer recommended awarding the demolition contract

to Southern Environmental Services, Inc., in the amount of $257,945, including a 15%
contingency.
The Public Buildings office and storage areas, along with the 4-H BB Team, will need to be
relocated before demolition begins. Once demolition is complete, the County can begin planning
for the Ag Center improvements and 4-H facilities.
Motion by Commissioner Park, seconded by Commissioner Jones, to award the contract for
demolition of the former Morgan County Jail to Southern Environmental Services, Inc., in the
amount of $257,945, including a 15% contingency, and to place the item on the consent agenda
for the next meeting. Motion passed unanimously.
2026 LMIG/TSPLOST PATCHING AND REPAIR PROJECT
An Invitation to Bid was issued on September 2, 2026, for patching and repairs to 13 roads. Bids
were submitted on October 2, 2026. Following review, the County’s engineer recommended
awarding the project to East Coast Grading in the amount of $863,704.50.
Motion by Commissioner Riden, seconded by Commissioner Jones, to award the Patching and
Repair Project to East Coast Grading in the amount of $863,704.50 and to place the item on the
consent agenda for the next meeting. Motion passed unanimously.
GODFREY ROAD DRAINAGE REPAIR
Staff reported that the culvert on Godfrey Road at the county line needs replacement. An
Invitation to Bid was issued, resulting in five qualifying bids. Dirt Works Grading and
Construction submitted the lowest bid of $76,553.00.
Staff requested an additional 15% contingency to cover unsuitable soil or other unexpected
expenses that may arise once the existing structure is removed, bringing the total proposed
amount to $88,035.95.
Motion by Commissioner von Hanstein, seconded by Commissioner Jones, to award the Godfrey
Road culvert replacement project to Dirt Works Grading and Construction in an amount not to
exceed $88,035.95, including a 15% contingency, to be funded by TSPLOST, and to place the
item on the consent agenda for the next meeting. Motion passed unanimously.
LIVESTREAM MEETINGS FOR ELECTIONS BOARD, ASSESSORS BOARD, AND
PLANNING & ZONING BOARD
The Board discussed expanding livestreaming to meetings of the Board of Elections, Board of
Assessors, and Planning and Zoning Board held in the formal meeting chamber, where
livestreaming equipment is installed.
Staff reported that the Board approved livestreaming and archiving its meetings in July 2025,
with recordings retained for 90 days following approval of the minutes. The process had operated
successfully for the past 15 months, allowing residents to view meetings live or access archived
recordings. At the time of the initial approval, the Board expressed interest in extending
livestreaming to other boards once the system’s reliability had been confirmed and any technical
issues resolved.
Motion by Commissioner Park, seconded by Commissioner Jones, to move the item to
Unfinished Business at the November 3, 2026, Board of Commissioners meeting. Motion passed
unanimously.

RE: MORGAN COUNTY FORMER JAIL REMOVAL AND STABILIZATION RFP RECCOMENDATION
Dear Mr. Mestres,
On September 24th, bids were opened for the above referenced project. This project will demolish the former jail building
and current Building Administration team offices and stabilize a graded site in preparation for a future use. An environmental
survey was performed that showed minimal signs of asbestos and the project bid accounts for remediation. I have reviewed
the above referenced proposal packages from five vendors. The base bids ranged from $224,300 to $863,965.
This solicitation was a qualified low-bid proposal, in which the lowest qualified bidder should be awarded. References and
project history for the two lowest bidders were evaluated and both were found to be qualified and competent, receiving high
praise from the references on similar and larger projects.

that could be encountered. This demolition was evaluated by Terra Via Engineering with an engineering estimate of
$272,000 in 2023.

Independent Advocacy
Your interests come first. FE does not sell, lease, integrate, or service hardware or software
systems. We have never worked for equipment manufacturers or software suppliers. Equipment
manufacturers and local radio shops play an important role in the public safety communications
industry by selling, installing, maintaining, and supporting radio systems and equipment. However,
they are typically not well-suited to serve as a “neutral trusted advisor” to government agencies
and businesses because they often have an inherent conflict of interest. Our recommendations
are completely objective and based solely on your operational, technical, and financial
requirements. We serve exclusively as your advocate and help you:

•
•
•
•

Avoid costly change orders.
Reduce procurement risk.
Strengthen stakeholder buy-in
Maximize long-term system performance.

Upgrading a public safety radio system represents a significant investment in mission-critical
infrastructure. An independent consultant protects that investment by providing objective
technical and contractual oversight from system design and procurement through implementation.
By thoroughly reviewing the design, requirements, pricing, implementation plans, and vendor
commitments before contract execution, FE will identify gaps and ambiguities early, establish
clear responsibilities, and reduce the potential for costly change orders, delays, and disputes.
During implementation, FE will serve as the County’s technical advocate, monitoring schedule,
milestones, costs, installation, testing, and vendor performance. Continuous oversight helps
identify issues before they affect the project schedule or budget, evaluate proposed changes, and
hold the vendor accountable for meeting contractual requirements.

Commitment to Continuous Improvement
We continuously refine our methodologies to better serve our clients. At the conclusion of every
project, we conduct internal reviews and formal client feedback sessions to identify strengths,
address areas for improvement, and enhance service delivery. This disciplined process helps every
client benefit from lessons learned across thousands of engagements.

2 Scope of Services
2.1

Project Understanding

Morgan County has received, and the County Board has approved moving forward with, a proposal
from Motorola Solutions, Inc. to upgrade the County’s public safety radio communications system.
Motorola’s proposal includes the buildout of a four-site P25 700 MHz radio system, with the
County’s need to build three new sites. Based on a recent estimate from a tower company and
subsequent discussions with FE, the County is concerned that building four new towers may
exceed the cost of the new radio equipment. As a result, the County has identified the need to
work with a consultant to assist them in determining their next steps forward with their P25
project.
In the most recent discussions with FE, the County has requested the following consulting
services:
1. Assess the current radio system and determine its sustainability through 2030 along with
identifying any improvements that can be made with the County’s existing equipment,
especially in the underserved coverage areas.
2. Determine where new tower sites should be located to provide optimal on-street and inbuilding 700 MHz coverage from the Oconee Areawide Radio System (OARS).
3. Develop the scope/specifications for the tower RFP, including options for tower
owner/builder models.
4. Assist with evaluating proposals from tower companies.
5. Provide implementation/project management support through the tower buildout.
6. Assist the County with securing any additional frequencies needed.
United Tower is based in Morgan County and has already quoted approximately $1.8M per tower
build. The County would like FE to independently review United Tower’s pricing and also help
identify other options for procuring/building the towers. If feasible, the County is considering
inviting a cellular company to build its tower on County-owned land in exchange for leasing rights
or free tower space for the County.
The diagram on the following page indicates potential sites for Motorola’s proposed system:

•
•
•
•
•
•

The four purple sites on the map are the sites the County would like to use.
The two orange sites are alternatives.
The County only has funding to build three towers at the present time.
The minimum completed 7/800 system would be four sites, so the fourth site would
come later through additional funding.
The County would like FE to investigate whether additional sites are needed to meet
required coverage levels.
If adding VHF equipment at the new sites would significantly improve the performance
of the current system, the County may be interested in expanding the VHF system until
the new 700 MHz system is installed and operational.

Document Review
FE will request information from the County’s project manager including existing standard
operating procedures (SOP), communication plans, interoperability agreements, memoranda of
understanding (MOU), contracts, and system documentation including FCC licenses, vendor and
radio shop records, site information, equipment and subscriber inventories, and other documents
needed to assess the existing system comprising the County’s infrastructure and equipment.
Thorough data collection is essential as it also provides information about the existing system’s
challenges, issues, and operations.

Existing VHF System Assessment and Potential Sites
Leveraging our experience surveying thousands of radio sites across the country, our project team
will evaluate the status of the existing antenna site and VHF radio equipment. FE will also visit
the sites that have been identified as potential sites for new towers.
During the site visits, our expert will confirm site coordinates including latitude, longitude, and
elevation, and will collect information about the sites, typically including the following:
•
•
•
•
•

•
•

Access road and general site conditions
Perimeter security
Nearby obstructions
Availability of surrounding land
Potential concerns with new sites

•
•

VHF equipment vintage and expected lifecycle

expectancy and effectiveness of the existing radio system and determine any potential
improvements to enhance performance of the existing system.

Task 2: Coverage Analysis and Budgetary Estimates
Coverage Analysis and Mapping
Radio coverage is a fundamental element of an effective interoperable communications system. If
coverage is inconsistent or unreliable, the network cannot serve its users as intended. Years ago,
FE invested in developing robust tools to enhance the delivery of telecommunications services.
Our FEPerformancePro® uses proven software to accurately model radio network performance.
FEPerformancePro® services are based upon EDX Wireless’ powerful Signal Pro propagation
analysis and Spectrum Center’s Spectrum-E© spectrum management software for the most
comprehensive radio analyses available in the industry. This suite of tools, along with our
proprietary methodologies, provides unparalleled accuracy when modeling communications
networks, performing interference analyses, and frequency planning. The results of FE’s studies
have been evaluated by hundreds of federal, state, and local government organizations as well as
major wireless vendors and private companies.
FEPerformancePro® services include the following:

•

FEcoverage® — using proven propagation analysis tools, FE provides comprehensive
coverage analyses.

•

FEMapper® — using a high-resolution mapping tool, FE provides telecommunication
mapping.

•

FENetCap® — using a network capacity analysis tool, FE provides accurate network
capacity information.

•

FEMitigate® — using a system-wide interference analysis tool, FE provides a complete
analysis of interference problems (optional).

•

FETeamCoverage® — in a user coverage workshop, FE provides interactive client sessions
to evaluate coverage options (optional).

•

FEostPro® — using a database of the cost of network elements developed from billions of
dollars of procurements, FE provides a detailed analysis of network costs.

FE’s coverage expert will load the existing OARS system core location, the County’s existing
transmit site, and other relevant information into the FECoverage® model and generate a map of
existing VHF radio communications coverage using FEMapper®. We will then identify and evaluate
the site locations and configurations proposed by Motorola for the planned 700 MHz system, as
well as the coverage anticipated from the existing VHF system using those sites. Additionally, FE
will identify and analyze other potential sites and configurations to provide optimal VHF and 700
MHz coverage.
Based on the coverage modeling, FE will prepare coverage maps for the most effective conceptual
design for both the existing VHF system and the planned 700 MHz P25 system. The maps will be

provided as image files that can be viewed using MSWord or a PDF viewer. The raw data can be
manipulated either in a GIS program (such as ArcGIS) or in Google Earth format (KML or KMZ files)
to make viewing coverage interactive, allowing County stakeholders to zoom in to street and
building level.
FE will identify potential tower site placement, equipment architecture, and system type that
best meet the County’s requirements for coverage, spectrum, reliability, and maintainability. FE
will review our findings with the County via video conference, discussing tradeoffs between
various site options. We will then work with the County to identify potential towers, either public
or privately owned, in locations designated during the coverage analysis, or finalize plans for new
towers in greenfield sites, either to be built and owned by the County or potentially built and
owned by either a tower company or broadband provider. If existing towers or water towers are
identified, we will obtain documentation from tower owners and research the viability of the
towers.

Budgetary Cost Estimates
FE will prepare high-level budgetary cost estimates for the recommended tower sites, including
estimated land procurement costs and new tower builds, using FECostPro®, our in-house cost
analysis tool. The FECostPro® cost estimates are based on the following:
•
•
•
•

Data collected from previous projects
Our knowledge of the County, similar counties, and publicly available industry information
Information collected specifically for the County’s project
FE’s experience with comparable radio systems and tower builds across the nation

FE’s budgetary estimates are intentionally conservative. Typically, tower company proposal
pricing is not likely to exceed FE’s estimates based on the comparable design as outlined in our
cost estimate assumptions. Our cost estimates are based on recent competitively procured nondiscounted pricing.

Task 3: Tower Specifications and Procurement Document
FE’s experts will create specifications for the new towers that the County has agreed upon,
whether to be County-owned or owned by a tower or cellular company. The specifications will
include requirements for the towers and foundations to support additional VHF equipment in the
near term and eventually the new 700 MHz equipment when the County purchases it, as well as
enough tower physical capacity to potentially lease space to cellular companies.
FE will assist the County with developing the requirements for the civil works, tower, loading,
environmental, site subsystems, equipment shelter, generator, other compounds, access road,
security fencing, and permitting requirements. Our experts will prepare a procurement document
(Request for Proposal or Invitation to Bid) that includes, at a minimum, the County’s objectives,
scope of work, functional specifications, and ongoing service needs.
We will work with procurement, legal, and other designated departments to integrate the
County’s contract terms and forms to complete the document, which will be consistent with
purchasing policies, legal requirements, and standards. FE will review the draft specifications and

procurement document with stakeholders via a conference call, then incorporate changes and
deliver the final procurement document in electronic format for the County to release to vendors.
Radio equipment, both VHF and 700 MHz, antennas, and shelters will be procured separately,
either via the approved Motorola proposal or by other means.

Task 4: Procurement and Negotiations Support
FE will assist the County with the following procurement support activities:
•

Attend the vendor pre-bid meeting onsite.

•

Assist the project team in developing responses to written questions and with the
preparation of RFP addenda

•

Evaluate vendor proposals based on the specifications and prepare an Evaluation Workbook

•

Assist the County’s evaluation team in selecting the preferred tower company.

•

Attend the County’s evaluation committee’s meeting via video conference to provide
technical clarifications as the committee agrees upon the selected tower builder.

Following the County’s selection of the tower company, FE will provide experienced contract
negotiation assistance, which is critical to the successful procurement and construction of a new
tower site. FE will participate remotely in vendor contract reviews and answer any technical
questions from the County. In preparation for the negotiations, FE will review the draft contract,
looking for specific items, omissions, and other discrepancies that could impact the final contract.
Following initial discussions, FE will review the County’s and tower company’s revisions to the
contract to verify all agreed-upon changes are incorporated into the final document.

Task 5: Tower Construction Project Management
FE will provide project management support and act in your best interests throughout the tower
construction process. Our project manager will work with the County’s project manager to
coordinate the tasks and deliverables of the tower company’s team. The project plan and
schedule will include consideration of the County’s priorities and commitments to minimize
potential risks and schedule delays. Our project management team will actively collaborate with
the County’s personnel and the tower company’s project team to monitor compliance with the
contract’s system requirements, schedule, and cost milestones. Our subject-matter experts will
be involved during tower construction to provide technical support, answer questions, and assess
functional compliance.
FE’s project manager will provide the following implementation support tasks:

•

Assist the County in identifying appropriate representatives to be part of the project team.
FE, the County, and the tower company’s staff will identify specific roles, responsibilities, and
time commitments required of project team members.

•

Participate in the implementation kickoff meeting.

•

Participate in status meetings with the tower company and the County’s project team. FE will
provide written minutes and record action items and decisions for each status meeting

•

Assist the County in tracking project plan milestones and project schedule

•

Maintain a punch list of items not compliant with the contract, document who is responsible
for correcting the items, and track the status of the corrective actions

•

Assess technical designs, help resolve technical issues, and provide technical support.

•

Assist the County in resolving issues, identify any tower company performance issues, and
make appropriate recommendations to the County

•

Verify that the tower company has submitted the necessary applications for site permissions,
access, zoning applications, and reports to address environmental impact issues.

•

Participate in project site surveys to determine site readiness and evaluate that industryrecognized standards are met. Following site activities and construction, inspect sites to
confirm that work has been performed in accordance with industry and good workmanship
standards using site-specific quality checklists.

•

Assist the County in the final inspection and approval of the towers and sites.

Task 6: FCC Licensing Support
FE’s Spectrum Center of Excellence (SCOE) serves clients by assisting in spectrum or regulatory
matters. FE has immediate access to FCC and other frequency databases and is constantly
appraised of all issues surrounding frequency acquisition and use. FE monitors the FCC’s rules and
regulations, as well as the latest reports, orders, notices, and memoranda that pertain to the
wireless regulatory arena.
Site location and parameters for coverage are dependent on the frequency band and available
spectrum. Solutions utilizing currently authorized frequencies and antenna locations may or may
not require FCC license modification. FE’s SCOE team has extensive experience evaluating new
channels for new or expanding systems. If a solution requires new sites or frequencies, the County
will need to complete the frequency coordination and license application process for new
licenses. FE’s experts will support the County through this process.

2.3

Engagement Management

With more than 43 years of project management experience, FE understands that each project is
unique, and we customize the approach, solutions, and deliverables to meet each client’s specific
needs and project objectives. FE has successfully completed numerous projects with similar
requirements and is committed to completing the proposed project outlined in the scope of
services, on time and on budget.

Project Management Methodology
Effective project management is the key to the success of any project. FE will assist the County in
maintaining and updating a comprehensive project management plan that includes scope,
schedule, milestones, dependencies, and resource responsibilities. Throughout the engagement,
FE will assist the County with key project decisions, issues, and resolutions, and manage change
documentation for effective project management.

FE follows the Project Management Institute's (PMI) best practices and uses PMI’s Project
Management Body of Knowledge (PMBOK) methodology to manage project tasks and deliverables.
Several FE project managers are PMI-certified Project Management Professionals (PMP). The
PMBOK methodology breaks project management into five process groups: Initiation, Planning,
Execution, Monitoring, and Closeout. FE utilizes this proven project methodology to promote the
successful execution of project tasks. Our proven project management approach focuses on
collaboration, open communication, consensus building, risk mitigation, and high visibility into the
project's ongoing status.
FE will work with the County to establish a project working structure and communication plan to
facilitate effective collaboration throughout the project. The working structure will define roles,
responsibilities, decision-making authority, and reporting cadence for effective oversight and
accountability throughout the project. A clear communication framework will define how
information is shared among participants, how issues are escalated, and how timely project
decisions are made among all stakeholders.
FE’s project manager will lead bi-weekly status calls and document notes from all project
meetings, with follow-up discussions as required. Our project manager will create and distribute
meeting agendas and goals to keep stakeholders informed and engaged. Each month, the project
manager will create and distribute a monthly project status report to the County project
manager.

Quality Assurance
FE takes pride in our rigorous quality assurance process. We conduct a comprehensive quality
assurance review of deliverables for each project using industry best practices, client feedback,
and subject-matter experts. Our established quality assurance process reviews procedures,
documents, and reports, and makes recommendations to the project team. Peer reviewers are
individuals with skillsets directly applicable to each project but are not involved in the day-to-day
project activities.
This approach provides an objective internal audit confirming that the project team has
thoroughly evaluated all decisions. The County’s project manager actively participates in the
quality assurance review process by providing FE feedback on draft documents and reports. The
FE quality assurance review process provides our clients with the best value for their consulting
services investment and the lowest possible risk.

3 Cost of Services
3.1

Firm Fixed Price for Tasks 1 and 2

The total firm-fixed-price, including labor, travel, and other direct costs, for the Task 1 and Task
2 consulting services (Needs Assessment and Coverage Analysis) for Morgan County, Georgia, is
$36,178.
FE’s proposed price for this project is indicative of the efficiency of our operations, our proven
automated tools, our vast experience completing similar projects, and our view of the strategic
nature of the County’s project. Further, it is not our culture to “up-scope” during contract
negotiations or during the project, unless the County adds scope of work.

3.2

Time and Material Not-To-Exceed for Tasks 3, 4, 5, and 6

This statement of work for Tasks 3 through 6 will be performed on a time and materials basis. This
statement of work authorizes a maximum of $95,000 which includes labor, travel, and other direct
costs and assumes monthly billing based on the hourly rates below for time expended each month
during these tasks. Travel expense will be billed at cost plus 20% for administrative support.

3.4

Basis of Our Proposal

1. This proposal assumes Federal Engineering, Inc. will perform Task 1 and 2 as described in the
technical proposal (excluding optional tasks). The deletion of a task, a significant change in
the scope of one or more tasks, or the use of a phased implementation approach may affect
the overall price.
2. For Task 3, FE assumes that we will integrate the technical specifications for the towers with
existing County RFP boilerplate content. Should the County require FE to develop boilerplate
content, we can do so via a mutually agreeable amendment on a fixed price or time and
materials basis.
3. For Task 4, FE assumes a single procurement process to select the preferred tower vendor,
evaluation of up to four tower vendor proposals, and the County’s award of a contract to a
single tower vendor. Should more than one procurement process or multiple awards be
necessary, or more than four vendor proposals need to be evaluated, FE will support the
additional effort via a mutually agreeable amendment on a fixed price or time and materials
basis.
4. Based on the County’s current procurement plans, FE assumes the solicitation of a tower
vendor to furnish and install radio communications towers at four sites. Should the County
desire to procure additional equipment including shelters, generators, radio communications
equipment, or other equipment, FE can support the procurement process for these items via a
mutually agreeable amendment on a fixed price or time and materials basis.
5. For Task 5, FE assumes that the selected tower vendor will be responsible for providing all
structural and civil engineering, developing an approved design, and securing all permits
necessary to implement the tower sites.
6. The level of effort for tower construction can vary greatly depending upon the final system
design, market conditions, and the division of responsibilities among the equipment vendor,
County, and FE. This proposal, therefore, is based upon a maximum of 188 hours of FE senior
consultant support, including three onsite tower inspections. If additional hours are required,
both parties will execute a mutually agreed-upon amendment to this scope of work.
7. FE will provide draft and final deliverables electronically to Morgan County, Georgia
8. This proposal assumes that the County project manager will schedule meetings, provide
meeting facilities, notify attendees, and arrange for on-site visits.
9. FE’s ability to fulfill this task depends, in part, on the willingness and ability of the County,
County participants, Motorola Solutions, Inc., service providers, third parties, and others to
provide information in a timely manner, and upon the accuracy of the information supplied.
The accuracy of input data, whether provided in electronic or hard copy form, and the
recommendations, actions, system designs, and security measures resulting therefrom cannot,
therefore, be warranted by FE, nor can FE warrant the performance, suitability, reliability, or
cybersecurity of said systems. FE accepts no responsibility or liability to any third party in
respect to any information or related work product delivered by FE; and the County shall
indemnify FE for any legal expenses, claim, suit, or judgment by a third party. This

information is subjective in certain respects and, thus, susceptible to multiple interpretations
and may need periodic revisions based on actual experience and subsequent developments.
10. FE is prepared to begin this project immediately upon execution of the contract. This proposal
is based upon a start date on or before November 2, 2026, and assumes a 10-month schedule.
Delays to the project schedule due to actions or lack of actions on the part of the County,
County participants, third parties, and others, including, but not limited to, vendor protests,
protracted contract negotiations, vendor delays that impact the program schedule, will
increase the costs to the County and will be brought to the attention of the County’s project
manager in a timely manner. The impact on schedule and cost increases will be reduced to
writing via a mutually agreed-upon contract amendment.
11. In the event of a project delay by the County, FE reserves the right to invoice for efforts
expended towards the completion of a task or deliverable, and the County agrees to pay said
invoice.
12. This proposal assumes a mutually agreeable invoice schedule for work completed.

Ten-8 Fire and Safety (Ten-8) Terms and Conditions

Page
4/4

The terms and conditions set forth in these “Terms and Conditions” govern the terms of sale for all goods and services purchased by the customer from Ten-8 Fire and Safety,
LLC, (“Ten-8”). Acceptance of any purchase order received from customer (whether pursuant to a Ten-8 quotation or otherwise) is expressly subject to and conditioned upon
these Terms and Conditions, which are deemed to be incorporated by reference and made a part of the parties’ agreement. Unless the Exception set forth below applies, these
Terms and Conditions shall control over any conflicting terms and conditions of purchase as may be proposed by the customer in the purchase order; any terms and conditions of
purchase proposed by the customer in the purchase order that conflict with, alter, or add to the these Terms and Conditions are expressly rejected, unless such additional or
conflicting terms are expressly acknowledged and agreed to in writing by Ten-8 and signed by Ten-8’s duly authorized representative.
Exception: If the Ten-8 purchase quotation or the customer’s related purchase order states that it is governed by a “cooperative purchasing agreement” or comparable agreement,
such agreement shall control any conflicting provisions of these “Terms and Conditions.”

Binding Agreement
Customer represents and warrants to Ten-8 that the individual submitting the purchase order has legal authority to do so, whether in his/her own capacity or as an authorized
representative of a business entity. A purchase order submitted by customer to Ten-8, which is governed by these Terms and Conditions, shall be binding on the customer and
Ten-8, and deemed to be made by the parties in Manatee County, Florida.
Delivery
Shipment of goods in all events is F.O.B. place of shipment and shall be deemed to occur when the aforementioned items are placed in the possession of a common carrier for
shipment to customer.
Title and Risk of Loss
Title to and risk of loss of all items purchased hereunder shall pass to customer upon shipment by Ten-8 F.O.B. place of shipment.
Return Policy
All returns are at Ten-8’s sole discretion and must be initiated within 30 days of receipt of the product and will be charged a restocking fee. Contact your Ten-8 sales
representative to receive a Return Materials Authorization (RMA).
All returns must be unused and in the original manufacturer’s box with the original packaging and accompanied by the original invoice number of the purchase and a copy of the
RMA. All authorized returns will be charged a restocking fee.
All freight charges, fabricated and special-order parts, chemicals, electrical items, oil products, paints, waxes, and additives are non-returnable. No credits will be given until the
returnable part has been received by Ten-8 in an acceptable condition and determined not to be defective or damaged.
Lost or Damaged Goods
All claims for the loss or damage of merchandise must be presented to Ten-8 immediately. Any items considered lost by Ten-8’s shipping carrier will be replaced by Ten-8. Any
claims for damaged goods must be supported by a delivery note annotated by the freight carrier on delivery, or supporting photographs and other documentation. Upon review,
Ten-8 shall determine the damage and make an assessment on how the damage has occurred. If the damage has occurred in shipping transit, the item will be replaced or credited
to the customer. If it has been determined that the item was damaged by the customer, Ten-8 will not accept payment deductions or give credit in these circumstances.
Warranty Provided Solely by Manufacturer
Ten-8 is not the manufacturer of the parts sold under these Terms and Conditions. All parts sold by Ten-8 hereunder are warranted solely by any express warranty provided by
the manufacturer of such product.
TEN-8, INCLUDING ITS PARENT COMPANY, AFFILIATES, SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS,
AGENTS OR REPRESENTATIVES, DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS
PROVIDED HEREUNDER, WHETHER ORAL OR WRITTEN, EXPRESS, IMPLIED OR STATUTORY.
WITHOUT LIMITING THE FOREGOING DISCLAIMER, ANY
IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, IMPLIED WARRANTY AGAINST INFRINGEMENT, AND IMPLIED WARRANTY OR CONDITION OF
FITNESS FOR A PARTICULAR PURPOSE ARE EXPRESSLY EXCLUDED AND DISCLAIMED. STATEMENTS MADE BY SALES REPRESENTATIVES OR IN
PROMOTIONAL MATERIALS DO NOT CONSTITUTE WARRANTIES.
Limitation of Liability.
TEN-8 WILL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, ECONOMIC, PUNITIVE, SPECIAL OR EXEMPLARY
DAMAGES ARISING FROM OR IN ANY WAY CONNECTED WITH THIS AGREEMENT WITHOUT REGARD TO THE NATURE OF THE CLAIM OR THE UNDERLYING
THEORY OR CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, EQUITY OR ANY OTHER THEORY OF LAW) ON WHICH SUCH DAMAGES
ARE BASED.
TEN-8’S LIMIT OF LIABILITY UNDER THIS AGREEMENT SHALL BE CAPPED AT THE TOTAL AMOUNT OF THE MONIES PAID BY CUSTOMER TO
COMPANY HEREUNDER.
Arbitration.
Any controversy or claim arising out of or relating to these Terms and Conditions, or the breach thereof, shall be settled solely by arbitration administered by the American
Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having
jurisdiction thereof. The Arbitration shall take place in Bradenton, Florida.
Taxes, Tariffs, and Duties
If any tax, public charge, tariff, duty, or increase in such taxes or tariffs, is now, or shall be, assessed, levied, or imposed upon, or with respect to the sale of products by Ten-8 or
the manufacturer to customer or upon any sale, delivery, or other action taken under any validly accepted order for products, or upon the export or import of such product(s) by
Ten-8 or the manufacturer, or if any change shall be made in the custom house or railway classification of such product(s) or in existing freight rates applicable thereto, the burden
of such charge or change shall be borne by the customer.
If any term hereof is determined to be invalid or unenforceable by a competent legal authority, such term will be either reformed or deleted, as the case may be, but only to the
extent necessary to comply with the applicable law, regulation, order or rule, and the remaining provisions of the Terms and Conditions will remain in full force and effect.
