Title: Resolution Granting Applicable Elected Representative Approval in Connection
with the Issuance of the County of Franklin, Ohio Health Care Facilities Revenue Bonds
(Ohio Living Communities)

Summary/Background: Ohio Living Communities, an Ohio nonprofit corporation (the
“Corporation”) owns and operates “Hospital Facilities,” as defined in Section 140.01,
Ohio Revised Code, including without limitation Hospital Facilities located, and
proposed to be located, in the County of Lucas, Ohio (the “County”) known as Ohio
Living Swan Creek, located at 5916 Cresthaven Lane, Toledo, Ohio 43614 (“Swan
Creek” or the “Local Facilities”).
Chapter 140, Ohio Revised Code, provides that “Public Hospital Agencies,” as defined
therein and including counties and municipal corporations, may enter into
an agreement pursuant to which a Public Hospital Agency may issue revenue bonds to
finance or refinance Hospital Facilities located in the jurisdictions of each of the Public
Hospital Agencies which are parties to such agreement, for the public purpose of better
providing for the health and welfare of the people of the state of Ohio by enhancing the
availability, efficiency and economy of Hospital Facilities and the services rendered
thereby.
The County of Franklin, Ohio (the “Issuer”), the counties of Butler, Lucas, Mahoning,
Ottawa, Shelby, Summit, Trumbull and Hamilton, and the County, together with the City
of Willoughby, Ohio (collectively, the “Public Hospital Agencies”), have entered into a
Public Hospital Agencies Agreement pursuant to Section 140.03, Ohio Revised Code,
for the purpose of, among others, financing and refinancing through the Issuer certain
capital equipment and construction needs of the Corporation and its affiliates located
within the jurisdictions of the Public Hospital Agencies, including the reimbursement of
costs advanced for those purposes.
The Issuer plans to adopt one or more resolutions authorizing the issuance of its Health
Care Facilities Revenue Bonds (Ohio Living Communities) in one or more series, in one
or more issues from time to time pursuant to a plan of finance (the “Bonds”), to finance
and refinance the cost of certain Hospital Facilities, including without limitation the Local
Facilities, and the Corporation has advised this Board that proceeds of the Bonds will
be applied particularly to finance and refinance the Project as described in the Notice of
Public Hearing (as defined hereinafter).
Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”) requires
that prior to their issuance, the Bonds must be approved, after a public hearing held in
accordance therewith, by the “applicable elected representative” as defined therein,
including without limitation, the applicable elected representative of the jurisdiction in
which the Hospital Facilities to be financed or refinanced are located, and that approval

Facilities.
This Board has this day conducted a public hearing with respect to the approval by this
Board, solely for the purpose of Section 147(f) of the Code, of the issuance of the
Bonds after publication of notice of that hearing in The Toledo Blade on or before May
16, 2023 (the “Notice of Public Hearing”), as evidenced by an affidavit of publication
submitted by or on behalf of the Corporation to the Clerk of this Board.
Budget Impact: None - The Bonds will be conduit revenue bonds issued by the Issuer,
and the Corporation is responsible for payment of principal of and interest on the Bonds
and any costs and expenses incurred by the County in connection with this action of the
Board.
Statutory Authority/ORC: Section 9.97; Chapter 140
Commissioner Gerken offered the following resolution:
WHEREAS, in consideration of the above, NOW, THEREFORE BE IT RESOLVED by
the Board of County Commissioners, Lucas County, Ohio, that:
Section 1. This Board, as the “applicable elected representative” of the County, hereby
approves, solely for purposes of Section 147(f) of the Code, the issuance of the Bonds
by the Issuer in the maximum principal amount of $500,000,000, and the plan of
finance therefor, including to finance or refinance costs of the Local Facilities, with the
maximum amount of the Bonds allocable to the financing or refinancing of the Project
and the Local Facilities being as set forth in the Notice of Public Hearing.
Section 2. That each member of this Board, the County Administrator, the County
Auditor and the Clerk of this Board are each separately authorized to take any and all
actions and to execute such certificates and other instruments that may be necessary
or appropriate, in the opinion of Ice Miller LLP, as Bond Counsel to the Corporation, in
order to effect the issuance of the Bonds, the financing and refinancing of costs of the
Local Facilities and the intent of this Resolution.
Section 3. It is found and determined that all formal actions of this Board concerning
and relating to the adoption of this Resolution were taken in an open meeting of this
Board, and that all deliberations of this Board and of any of its committees that resulted
in such formal action, were in meetings open to the public, in compliance with the law,
including Section 121.22 of the Ohio Revised Code, and the rules of this Board in
accordance therewith.

Title: Declaring June 2, 2023 as National Gun Violence Awarness Day in Lucas County

Summary/Background: The first Friday in June will be recognize across the country
as National Gun Violence Awareness Day to honor and remember all victims and
survivors of gun violence and to declare that we as a community must do all we can to
reduce gun violence.
Gun violence exacts an enormous toll on Americans every day as more than 100
people in the country are killed each day by gun violence. On average, there are nearly
36,000 gun homicides every year in the United States and Americans are 25 times
more likely to be killed with guns.
Protecting public safety in Lucas County is among the Board of Lucas County
Commissioner's highest responsibility.
June 2, 2023, would have been the 26ths birthday of Hadiya Pendleton, a teenager
who marched in President Barack Obama's second inaugural parade and was tragically
shot and killed just weeks later. To help honor Hadiya and the hundreds of Americans
whose lives are cut short and the countless survivors who are injured by shootings
every days, a national coalition of organizations has designated June 2, 2023 as
National Gun Violence Awareness Day. The day of awareness was the idea of Hadiya's
friends who asked their classmates to commemorate her life by wearing orange. They
chose this color because hunters wear orange to announce themselves to other
hunters when they are hunting among trees in the woods and orange is the color that
symbolizes the value of human life.
Anyone can join the Wear Orange campaign on June 2, 2023 to help raise awareness
about gun violence and honor the lives and lost human potential of Americans stolen by
gun violence.

Title: Approving the Detachment of Land from the City of Toledo and Attachment to
Washington Township

Summary/Background: The Board of Education of Washington Local School District
has filed a Petition for the detachment of land from the City of Toledo, Ohio and
attachment to Washington Township, Ohio-a contiguous township. As required by R.C.
709.38, the Petition included a legal description and map of the area to be detached.
The Petitioner is requesting the detachment of Parcel 23-30057 from the City of Toledo.
This is to facilitate the consolidation of the Washington Local Schools property and
allow the construction of a new school. The new school building and the entire property,
except for the parcel to be detached, is already in the Township. The western part of
the proposed school’s parking lot is currently located in the City of Toledo. The
Petitioner would like the entire school property to be located in one jurisdiction.
The City of Toledo, by Ordinance 118-21, has consented to the Petition. In accordance
with R.C. 709.38(A)(1), the City has certified that there is no indebtedness due the City
of Toledo on the parcel to be detached and the parcel is not otherwise encumbered.

included 9-1-1's infrastructure and IT. Resolution 23-128 approved transfer of Lucas
County 9-1-1 capital assets to the RCOG at no cost which include the CAD system.
Tritech Software Systems, a CentralSquare Technologies company ("TriTech")
provided an Assignment and Assumption Agreement to assign the purchase and
support agreements from Lucas County (the Assignor) to the RCOG (the Assignee).
Upon execution the RCOG (the Assignee) will be responsible for all annual software
maintenance and support fees.

Title: Appointment of Breda Osburn as Authorized Representative to the Home for
Everyone Continuum of Care Board

Summary/Background: A Continuum of Care (CoC) is a geographically based group
of representatives that carries out the planning responsibilities required by the U.S.
Department of Housing and Urban Development’s (HUD) CoC Program. HUD
designates the CoC serving the geographic area of Lucas County, OH, as OH-501
Toledo Lucas County Continuum of Care. The local CoC has chosen the name Home
for Everyone CoC. In Lucas County, representatives are generally individuals, either by
their employment or experience, focused on ending homelessness in the Toledo /
Lucas County area of Ohio.
The HEARTH Act, enacted into law on May 20, 2009, consolidated the homeless
assistance programs administered by HUD under the McKinney- Vento Homeless
Assistance Act into a single grant program and revised the Emergency Shelter Grants
program, renaming it the Emergency Solutions Grant (ESG) program. The HEARTH
Act also codified into law the CoC planning process, a longstanding part of HUD’s
application process to assist homeless persons by providing greater community-wide
coordination, decision-making, and leadership into the Federal Registration under 24
CFR 578.
Locally, the CoC is formerly referred to as OH-501 Toledo Lucas County CoC. The
Toledo Lucas County Homelessness Board (TLCHB) is designated as the CoC Lead
Agency, Collaborative Applicant, and HMIS Lead Agency. TLCHB is charged by the
CoC with coordinating, supporting, and facilitating the activities of the CoC.
Over the past year, TLCHB has worked to lead a collaborative community-wide
strategic planning process to provide a roadmap to better organize and plan a
homelessness crisis response system through Lucas County, Ohio. On May 17, 2023,
the OH-501 Toledo Lucas County CoC adopted an updated governance charter and
renamed the local CoC as the Home for Everyone CoC.
The Home for Everyone Continuum of Care is the local stakeholder-led group whose
mission is to further collaboration and accelerate solutions to end homelessness in
Lucas County, Ohio. The Home for Everyone CoC’s vision is Lucas County, where
everyone has a safe, healthy, accessible, and affordable place to call home.
The Home for Everyone CoC Board shall serve as the CoC’s Executive Committee and
the primary decision-making body for Lucas County, responsible for achieving the goals
and objectives of the community to create and manage the system to prevent and end
homelessness. Home for Everyone CoC Board will establish and maintain the strategic
vision of the CoC and strive to delegate tasks, efforts, and actions to ensure the

Program is requesting to submit grant applications to the Office of Criminal Justice
Services (OCJS) and the Criminal Justice Coordinating Council (CJCC) for funds
through the Edward Byrne Memorial Justice Assistance Grant (JAG). Requested
funding up to $56,250.00 with a cash match up to $18,750.00 provided by the Lucas
County Prosecutor and/or Advocates for Victims and Justice, Inc., will fund our
Domestic Violence High Risk Team for the period of January 1, 2024, through
December 31, 2024. OCJS and CJCC will coordinate to ensure duplicate funds are not
awarded.
The Toledo/Lucas County Victim-Witness Assistance Program is requesting funding for
our Domestic Violence High Risk Team (DVHRT). The DVHRT model uses a nationally
recognized model of lethality assessment to identify high risk victims of intimate partner
violence. The goal of this team is to coordinate efforts and streamline services to
victims in order to reduce intimate partner homicides in our community.

Department of Youth Services provides funds to operate several community-based
programs for juvenile offenders. These programs allow the court to provide services to

rehabilitating the youth. Some of the programs that the court provides with these funds
include out of home placement, community detention and workforce development.

Summary/Background: In April of 2017 the Enterprise Resource Planning Steering
Committee hired the Government Finance Officers Associations (GFOA) as consultant
for the Enterprise Resource Planning Upgrade (Resolution 17-328). Based upon
discussions with representatives/staff from various County offices, GFOA
recommended that the County enter an agreement with ORACLE Cloud. In February of
2018 the Enterprise Resource Planning Steering Committee requested permission to
enter into an agreement with ORACLE America, Inc. for Oracle Cloud Enterprise
Resource Planning, Enterprise Performance Management and Human Capital
Management for five years (Resolution 18-195).
On January 18, 2018 Oracle presented to the Enterprise Resource Planning Steering
Committee a price proposal and the Steering Committee approved acceptance.
On November 12, 2019 the Commissioners approved Update No. 1 (Resolution No. 191028) for the changes with Oracle Corporation and the removal of certain modules and
the addition of modules. A further change to the licensing agreement was to move to an
Enterprise edition, expanding the licensing count and functionality within the software
package.
On June 16, 2020 the Commissioners approved Update No. 2 (Resolution No. 20-473)
to modify the existing agreement with ORACLE America, Inc. for Oracle Cloud
Enterprise Resource Planning, Enterprise Performance Management and Human
Capital Management for the remaining three years of the current agreement.
On July 13, 2021 the Commissioners approved Update No. 3 to increase the PBCS
(Planning and Budgeting Cloud Solution) license count to 120 for a portion of our 2021
contract and into 2022 and 2023. In addition, we are engaging with Oracle to now
deliver MFA (Multi-factor authentication) on a time and materials basis estimated at
$25,000 a year.
On June 14, 2022 the Commissioners approved update No. 4 (Resolution 22-529) for
one year of enhanced support from Oracle Corporation to provide support, issue fixes,
enhancement work, testing of quarterly patches and ad hoc work as needed for the
Oracle Cloud Enterprise System with a timeframe of June 2022 to June 2023 at a onetime cost of $70,009.80.
This update No. 5 is to engage with Oracle Corporation to renew Managed Cloud
Services Support (MCS) to provide support, issue fixes, enhancement work, testing of

Summary/Background: The following from Article I of the agreement created by the
Ohio Department of Medicaid (ODM) established the purpose of this agreement as
follows:
ODM, in collaboration with the Office of Ohio Family and Children First (OFCF), Aetna
Better Health of Ohio (the OhioRISE plan), and other participating state agencies is
offering technical assistance and financial assistance to children, youth, and families
with complex and multi-system needs. The purpose of this grant agreement is for the
parties to further the mission of preventing custody relinquishment of children and youth
solely for the purpose of obtaining needed treatment, and assisting local entities with
obtaining services that support children and youth who have been relinquished and are
transitioning back to community and/or noncustody settings.
GRANTEE, in collaboration with families and local entities, will have the opportunity to
complete a funding and/or technical assistance application(s). The GRANTEE will
collect information to complete applications and/or screen an application from families
and other local entities for completeness. GRANTEE will send completed applications
to ODM for further consideration. ODM will forward all completed applications to a
multi-system team composed of child/youth serving state agencies for vetting. Final
funding authorization determinations will be made by ODM and are not subject to
appeal.
The Ohio Department of Medicaid has established a pool of funding that county Family
and Children First Councils, and other relevant entities (as named above) can, by
approved agreement, access for the above purpose. So this agreement has no set
amount of funding, but can be accessed as long as funding remains available based on
the amount allocated for each fiscal period.
The time period of this agreement shall be from July 1, 2023 through June 30, 2025
(SFY's 24 & 25).

awarded a $480,000 grant through the John D. and Catherine T. MacArthur Safety +
Justice Challenge to sustain reforms to safely reduce Lucas County’s jail population
and address racial and ethnic disparities in the justice system. The Safety + Justice
Challenge is a national initiative to reduce over-incarceration by changing the way
America thinks about and uses jails. In the Capstone Phase of the Safety + Justice
Challenge, the MacArthur Foundation has expanded its scope to include an
amplification piece, and has provided funding to create a podcast series about the state
of the criminal justice system in Lucas County. WGTE Public Media has proposed
producing a ten-part podcast, hosting a public engagement event at a location in the
community, and hosting a live Town Hall-style studio program to provide a discussion
platform for community engagement.

best coverage and cost for the employer and our employees of Lucas County. The
County will seek to contract with a firm that executes with professionalism, and can
provide comprehensive data to analyze and forecast benefit budget objectives.
The County’s current contract with USI expires on August 31, 2023.
The qualified firm will serve Lucas County with vendor negotiations, open enrollment,
financial analysis (Actuarial Analysis), Compliance, and Collective Bargaining. These
benefit plans will be available to all County eligible employees, spouses, and
dependents.
