City Manager’s Report.
Board of Review
The July Board of Review is scheduled for Tuesday July 21st. This session of the Board of Review
is held for mistakes of fact, which includes disabled veterans’ exemptions, principal residence
exemptions, and similar changes to the 2026 assessment roll. Persons can contact City Assessor
Samantha Albright in the Neighborhood Services Dept. at 517-279-6932 if they have any
questions.
Personnel Recognition
Deputy Chief of Police Patrick Beeman – We would like to recognize and congratulate Deputy
Police Chief Patrick Beeman on his 36 years with the Coldwater Police Department and service
to Coldwater and its residents, businesses and visitors. Thank you for your dedication and
service to the community.
Deputy Treasurer Kendra Washburn – We would also like to recognize Deputy Treasurer
Kendra Washburn on 35 years of service with the City of Coldwater. Kendra started as an OJT
student and has worked for the city in the Finance Department her entire career. Thank you for
your dedication and service to the city and its residents.
Community Events
Downtown Farmers Market – The Farmers Market continues Saturday mornings 9:00 a.m. to
1:00 p.m. through September. The market is located on the NW corner of the Four Corners
Park. Parking is available in the adjacent Randall Plaza parking lot. Come enjoy a morning out
and pick up your fruits, vegetables, homemade baked goods and other products.
Hops on Monroe – Hops on Monroe is well underway and continues Thursday nights through
September 3rd. Come downtown for food trucks, craft beers, musical entertainment and
outdoor games on South Monroe Street. The hours are from 5:00 p.m. to 9:00 p.m.
Entertainment Under the Stars – Come out and enjoy musical entertainment Tuesday
evenings. The music series began July 7th and continues through August 11th. The concerts are
held in Heritage Park and begin at 7:00 p.m. Heritage Park provides plenty of shade, room to
spread out, public restrooms and beautiful surroundings. Come down and enjoy a night of great
(and free!) music. We want to thank our numerous sponsors who help present EUTS.

Project Updates
Rotary Park – Work continues on the boat launch area, boat wash and new parking lot. Work is
expected to be completed by the end of July. Phase 2 bids are due July 16, 2026.
Liberty Street – Final paving and restoration have been completed for the Liberty Street
repaving project.
Morse Street – Underground utility work and concrete removal are ongoing. This project is
expected to be completed by the end of August.
East Pearl St./S. Hudson St. – The project is scheduled to begin in August and extend well into
the fall.

Downtown Murals
A new mural has been painted on the back of the building located at 48 Division Street. The artist is Dean
Davis. The mural is being supported by a Michigan Arts and Culture Council (MACC) grant and the Coldwater
Downtown Development Authority.
City Calendar Correction
Our apologies for misstating the dates of the Branch County Fair in the annual city calendar. The annual
Branch County Fair Parade is scheduled for 4:00 p.m. on Saturday August 8th. The fair runs from Sunday
August 9th through Saturday August 15th.
Joint Planning Commission/City Council Special Meeting
A special joint meeting of the Coldwater Planning Commission and City Council has been scheduled to hear a
presentation and provide for a question and answer period with a representative from Michigan State
University Extension Service on issues related to data center development. The meeting will be held at 5:30 on
Monday August 17th.
Community Events
Coldwater Noon Club Anniversary Party
The Coldwater Noon Club service club is celebrating their 105th year of service to the community with a public
street party, consisting of live music, food, drinks, and a 50/50 raffle. The event will be held on Saturday
August 1st from 6:00 p.m. to 10:00 p.m. on S. Monroe Street in Downtown Coldwater.
Downtown Farmers Market – The Farmers Market continues Saturday mornings 9:00 a.m. to 1:00 p.m.
through September. The market is located on the NW corner of the Four Corners Park. Parking is available in
the adjacent Randall Plaza parking lot. Come enjoy a morning out and pick up your fruits, vegetables,
homemade baked goods and other products.
Hops on Monroe – Hops on Monroe continues Thursday nights through September 3rd. Come downtown for
food trucks, craft beers, musical entertainment and outdoor games on South Monroe Street. The hours are
from 5:00 p.m. to 9:00 p.m.
Entertainment Under the Stars – Come out and enjoy musical entertainment Tuesday evenings. The music
series continues through August 11th. The concerts are held in Heritage Park and begin at 7:00 p.m. Come
down and enjoy a night of great (and free!) music. This week’s concert was sponsored by the CBPU.
Project Updates
Morse Street – Concrete curb and gutter is scheduled for this week with paving following by the end of next
week or beginning of the following week. The project is scheduled to be completed by the middle of August,
weather permitting.
West Pearl/East Pearl/S. Hudson St. – This project is scheduled to begin on Monday August 10th and extend
through the end of October.

Kim Davis, on behalf of the Old 27 Motor Tour, is interested in a partial street closure to allow cars to
exit the Chandler Plaza parking lot and other nearby city parking lots after having lunch at the Broadway
Grille on Wednesday, August 19, 2026, from 1:30 p.m. until 3:00 p.m. to coincide with its celebration
of the 20th year of the Old 27 Motor Tour, which annually starts in Coldwater.
Their celebration starts on Monday at the Kilgore Car Club, and participants will spend the day on
Tuesday at the Adventure Zone and Performance Plus Car Wash, wrapping up on Wednesday with a
scavenger hunt throughout the town and lunch at the Broadway Grille before leaving at 2:40 p.m. for
their trip up north.
The City has been promoting increased activity downtown, therefore I am recommending that the City
Council consider adoption of Resolution No. 26-76 to authorize the closure of one lane of W. Pearl
Street between S. Hanchett Street and Division on Wednesday from 1:30 p.m. until 3:00 p.m. and
authorize the City Clerk to sign.

east entrance to Harrison Street to allow kids to sit in trucks and experience equipment on the
street before the start of the school year. The event would not conflict with any other scheduled
performance or event downtown. If approved, the City would provide barricades to facilitate
closure of the street.

The Coldwater Downtown Development Authority implemented the first public art initiative in
2025. The public art initiative consists of a mixture of mediums including sculptures, murals, and
art-centered events. The DDA renewed the public art initiative for 2026 and has selected new
artwork to be displayed in downtown Coldwater for the enjoyment of all.
Attached is a resolution and agreement relative to a license agreement for an art piece entitled
the Caterpillar by Cole Stiemsma. This art is proposed to be placed on City of Coldwater property,
specifically in the SE corner of 4-Corners Park adjacent to the Library.
If introduced at the July 27, 2026, City Council meeting the agreement will be eligible for passage
on September 14, 2026. It is anticipated that the artwork will be installed on or about September
18, 2026 and will be on display for one year.

an Art Program Committee to receive and process applications and make recommendations to

WHEREAS, the DDA Design Committee has selected an art piece created by a selected
artist to design, execute, fabricate and/or install the submitted public artwork, and such selection
has been approved by the DDA for placement in the designated public space; and
WHEREAS, the public art project aims to encourage visitorship and bring beautification to
Downtown Coldwater through an annual rotating display of public art in the downtown; and
WHEREAS, in support of this project the City and the DDA have developed a Public Art
License Agreement to establish guidelines for art installations; and
WHEREAS, the 2026 public art initiative proposes placement of the artwork entitled
“Caterpillar” by artist Cole Stiemsma in the Downtown Four Corners Southeast Park near the
Library, as outlined in the attached License Agreement (A26-21) to enhance the public spaces
and opportunity for community connection; and
WHEREAS, the location for display is property owned by the City of Coldwater and the
City is authorized by the Home Rule City Act, Public Act 279 of 1909, and Section 2.1 of the City
Charter to manage its interests in real property.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF COLDWATER:
1. That the City Council of the City of Coldwater hereby adopts Resolution No. 26-73 to
approve the installation of the Public Art piece in the Southeast portion of Four
Corners Park in downtown Coldwater.
2. That the City Council authorizes the Mayor and the Clerk to execute any necessary
documents on behalf of the City of Coldwater including the Public Art License
Agreement, Agreement No. A26-21.

AGREEMENT NO. A26-21
PUBLIC ART
LICENSE AGREEMENT
This License Agreement is made as of ____________, 2026, between the City of Coldwater, a
Michigan municipal corporation, of 1 Grand Street, Coldwater, Michigan 49036 (the "City"),
and Cole Stiemsma, an individual residing at 231 W. Chicago Road, Coldwater, Michigan
49036 (the "Licensee" or “Artist”), each a “Party” and together the “Parties.”
WHEREAS, the City of Coldwater recognizes the importance and benefits of public art; and
WHEREAS, public spaces have been identified in downtown Coldwater for presentation of
public art; and
WHEREAS, the Downtown Development Authority (“DDA”) has allocated funds to develop an
Art Advisory Committee to receive and process applications and make recommendations to
DDA; and
WHEREAS, the Art Advisory Committee has selected an art piece created by Artist to design,
execute, fabricate and/or install the submitted public artwork as described in Exhibit A
(“Artwork”), and such selection has been approved by the DDA for placement in the designated
public place described in Exhibit B, hereinafter the “Licensed Area” subject to the terms and
conditions described herein;
NOW THEREFORE, in consideration of the above-stated premises and mutual exchange of
promises and subject to the conditions stated below, the Parties agree as follows:
TERMS AND CONDITIONS
1. License. The City hereby grants a License to Artist to use the area designated on the
attached Exhibit B ("Licensed Area") to display the public artwork described in Exhibit A.
The Artwork will be placed directly onto the designated Licensed Area or attached thereto
as specified by the City in selection criteria or any other directed by the City of Coldwater.
2. Artwork. Licensee agrees to make the Artwork consistent with the approved design and in
compliance with City of Coldwater and DDA criteria. Licensee acknowledges that the
Licensed Area is outdoors and is not sheltered in any way and agrees to construct the
Artwork in a manner that will withstand changes in weather. Further, the Artwork shall not
interfere with the intended use of the Licensed Area, pedestrian and other traffic flow,
parking, or safety devices.
3. Artwork Construction and Maintenance. The Licensee shall, without cost to the City,
perform all services and furnish all supplies, materials and equipment as necessary for the
design and fabrication of the Artwork and shall complete installation between September

21, 2026 and October 2, 2026. Licensee shall be responsible for any maintenance needs of
the Artwork to ensure proper function, safety and general appearance. Artist agrees to
perform one on-site touch-up should repair or repaint is needed within one-year of
installation. The determination of repair or repaint shall be in the discretion of the Coldwater
Downtown Development Authority.
4. Licensed Area Maintenance. The City shall remain responsible for maintenance of the
Licensed Area including maintenance of the paved surface. Should the License Area
necessitate removal of the Artwork to perform any repair or maintenance the City shall notify
the Licensee as soon as is reasonable.
5. License to Display. The Licensee acknowledges and agrees that if the City Council decides
to use or develop the Licensed Area for any other purpose, the Licensee shall be required
to cease using the Licensed Area and to restore the Licensed Area to the condition it was in
prior to the Licensee's use of the Licensed Area at his sole cost and expense. Such
determination by the City Council shall serve to terminate this Agreement in accordance with
paragraph 15 below.
6. Representations and Warranties.
(a) The Licensee accepts the Licensed Area "AS IS" and with all faults. The City has not
made, does not make, and has not authorized anyone else to make any representation
or warranty as to the Licensed Area. Without limiting the generality of the previous
statement, the City makes no representation about the presence or absence of any
hazardous substances or materials or other contaminants on the Licensed Area and
makes no representation about the suitability of the Licensed Area for any purpose or
use.
(b) The Licensee expressly waives any rights the Artist may have under applicable law
relating to the ownership, display and copyright including but not limited to the Visual
Artists Rights Act of 1990, 17 USC § 106A (“VARA”). This waiver is for the specific
Artwork described in Exhibit A and is intended to include within the scope of the waiver
all rights including but not limited to the right to decide when and in what form the
Artwork should be presented to the public. Artist specifically agrees that the City may
remove the Artwork at any time in its sole discretion. However, the City may not
substantially modify the Artwork without the Artist’s prior consent.
(c) The Licensee further warrants that the Artwork is free and clear of any liens from any
source whatsoever and the Artist has not sold, assigned, transferred, licensed, granted or
encumbered the Artwork or an element of the Artwork, or any copyright related thereto
which may affect or impair the rights granted under this Agreement.
7. Assignment or Use by Others Prohibited. The Licensee may not assign the License or the
License Agreement or its rights, privileges, duties, or obligations under this License
Agreement without the City's prior written consent.
8. Property Rights. This License does not grant or convey to the Licensee any right, title, or
interest in the Licensed Area. The City retains all of its property rights in the Licensed Area,

including its rights to maintain the sidewalk in the Licensed Area.
9. Sale of the Artwork. Licensee may offer for sale or convey the Artwork subject to terms of
this Agreement. Should the Artwork sell during the display period of this Agreement the
Artwork shall remain for public display until the end of the term unless mutually agreed by
the Parties otherwise.
10. No Partnership. Any intention to create a joint venture or partnership between the Parties is
expressly disclaimed.
11. Compliance with Law. The Licensee shall comply with and observe all applicable laws,
ordinances, rules, regulations and orders of all public authorities including but not limited
to building code, laws, and regulations.
12. Indemnification and Insurance. The Licensee shall hold the City (defined for purposes of
this paragraph to include the City's officers and employees) harmless from, indemnify it
for, and defend it (with legal counsel reasonably acceptable to the City) against any demand,
claim, judgment, award, legal proceeding, or loss of any kind arising from the Licensee's
use or maintenance (or failure to maintain) of the Licensed Area. The Licensee shall obtain
and maintain a policy of general liability insurance that covers Licensee's obligations under
this paragraph in minimal coverage amounts of $1,000,000 per occurrence for property
damage and not less than $1,000,000 per occurrence for injury to persons. All policies
shall name the City as an additional insured. Upon request, Licensee shall provide the City
copies of certificates of insurance showing the coverage to be in place, that the premiums
are fully paid, and that coverage cannot be terminated or modified except after 30 days'
prior written notice to the City. Upon request, the Licensee shall also provide the City
copies of the policies of insurance and all endorsements. Nothing in this paragraph is
intended, nor shall be construed to waive the governmental immunity of the City as provided
by statutes and judicial decisions.
13. Breach and Remedies. All remedies in this Agreement are cumulative of all other remedies
available at law or in equity. Remedies may be exercised simultaneously or sequentially.
The failure to initially use any remedy is not a waiver of that remedy. To the extent not
otherwise prohibited by law, the prevailing party in any action brought pursuant to or to
enforce any provision of this Agreement shall, in addition to any other remedies, be entitled
to recover its actual costs, including without limitation, actual reasonable attorneys' fees,
incurred to bring, maintain, or defend such action from the first demand through any and all
appellate proceedings, and jurisdiction and venue of any action brought pursuant to or to
enforce this Agreement shall be solely in the state courts in Branch County, Michigan.
The failure of either party to act upon any breach of this Agreement shall not be deemed
a waiver of that breach.
14. Termination. The license granted pursuant to this Agreement is terminable at the will of
either the City Council of the City of Coldwater or the Licensee. Prior to terminating the
license either for violation of a term of this Agreement or in exercising its right to
terminate at will, the City shall first give written notice that it is considering such
action and the date and time of the City Council meeting at which such action

will initially be considered so that the Licensee may address the City Council. Upon the
termination of this License Agreement, the Licensee shall, unless the City otherwise
consents by resolution of the City Council, without cost to the City, restore the Licensed
Area to the condition it was in prior to its use by Licensee.
15. Binding Effect. This Agreement shall be binding upon the parties to this Agreement as well
as their permitted successors and assigns.
16. Choice of Law/Conflicts of Law/Severability. If any term covenant, condition provision of
this Agreement, or the application thereof to any person or circumstance, shall be held by a
court of competent jurisdiction or arbitration panel or mediation procedure to be in conflict
with the laws, rules, and/or regulations of the United States or State of Michigan, invalid,
void or unenforceable, the remainder of the terms, covenants, conditions, or provisions of
this Agreement, or the application thereof to any person or circumstance, shall remain in full
force and effect. This contract shall be governed by the laws of the State of Michigan both
for interpretation and performance. The Parties hereby expressly submit to the exclusive
jurisdiction of Michigan, more specifically the courts of Branch County or the Western
District Court of Michigan.
17. Miscellaneous.
(a) This is the entire agreement between the parties regarding its subject matter. There are
no prior or contemporaneous agreements. This License Agreement may not be modified
or amended except in writing, signed by all parties after approval of both the City
Council and the Licensee. This License Agreement shall not be affected by any course
of dealing. The captions are for reference only and shall not affect its interpretation.
More than one copy of this License Agreement may be signed, but all constitute but one
agreement.
(b) Any notices shall be made in writing to the addresses first written above or such other
addresses as indicated by notice and shall be made by personal delivery or by postage
prepaid United States first-class mail and shall be deemed completed when actually
received or, if by first-class mail, three business days after mailing.
(c) This Agreement may be executed in separate counterparts (including facsimile
signatures, electronic transmissions, or signatures in compliance with the Michigan
Uniform Electronic Transactions Act, the Electronic Signatures in Global and National
Commerce Act, and other applicable domestic and/or foreign laws) each of which shall
be deemed an original and shall have the same effect as if the Parties simultaneously
executed a single document. The Parties waive any right to challenge the admissibility
or authenticity of this Agreement based solely on the absence of an original signature.
"Electronic Transmission" means the transmission of information in electronic form or
the transmission of the exact visual image of a document by way of electronic equipment.
Electronic Transmission includes, but is not limited to, transmission by email, scanned
portable data format (PDF), JPEG, or other format, or other similar transmission by
computer link, modem, network, or other communication via electronic or digital means.
The parties have caused this Agreement to be executed as of the date first above written.

12. Compliance with Law. The Licensee shall comply with and observe all applicable laws,
ordinances, rules, regulations and orders of all public authorities including but not limited
to building code, laws, and regulations.
13. Indemnification and Insurance. The Licensee shall hold the City (defined for purposes of
this paragraph to include the City's officers and employees) harmless from, indemnify it
for, and defend it (with legal counsel reasonably acceptable to the City) against any demand,
claim, judgment, award, legal proceeding, or loss of any kind arising from the Licensee's
use or maintenance (or failure to maintain) of the Licensed Area. The Licensee shall obtain
and maintain a policy of general liability insurance that covers Licensee's obligations under
this paragraph in minimal coverage amounts of $1,000,000 per occurrence for property
damage and not less than $1,000,000 per occurrence for injury to persons. All policies
shall name the City as an additional insured. Upon request, Licensee shall provide the City
copies of certificates of insurance showing the coverage to be in place, that the premiums
are fully paid, and that coverage cannot be terminated or modified except after 30 days'
prior written notice to the City. Upon request, the Licensee shall also provide the City
copies of the policies of insurance and all endorsements. Nothing in this paragraph is
intended, nor shall be construed to waive the governmental immunity of the City as provided
by statutes and judicial decisions.
14. Breach and Remedies. All remedies in this Agreement are cumulative of all other remedies
available at law or in equity. Remedies may be exercised simultaneously or sequentially.
The failure to initially use any remedy is not a waiver of that remedy. To the extent not
otherwise prohibited by law, the prevailing party in any action brought pursuant to or to
enforce any provision of this Agreement shall, in addition to any other remedies, be entitled
to recover its actual costs, including without limitation, actual reasonable attorneys' fees,
incurred to bring, maintain, or defend such action from the first demand through any and all
appellate proceedings, and jurisdiction and venue of any action brought pursuant to or to
enforce this Agreement shall be solely in the state courts in Branch County, Michigan.
The failure of either party to act upon any breach of this Agreement shall not be deemed
a waiver of that breach.
15. Termination. The license granted pursuant to this Agreement is terminable at the will of
either the City Council of the City of Coldwater or the Licensee. Prior to terminating the
license either for violation of a term of this Agreement or in exercising its right to

terminate at will, the City shall first give written notice that it is considering such
action and the date and time of the City Council meeting at which such action
will initially be considered so that the Licensee may address the City Council. Upon the
termination of this License Agreement, the Licensee shall, unless the City otherwise
consents by resolution of the City Council, without cost to the City, restore the Licensed
Area to the condition it was in prior to its use by Licensee. The City reserves the right to
repave, powerwash, or paint over the artwork if Licensee fails to do so.
16. Binding Effect. This Agreement shall be binding upon the parties to this Agreement as well
as their permitted successors and assigns.
17. Choice of Law/Conflicts of Law/Severability. If any term covenant, condition provision of
this Agreement, or the application thereof to any person or circumstance, shall be held by a
court of competent jurisdiction or arbitration panel or mediation procedure to be in conflict
with the laws, rules, and/or regulations of the United States or State of Michigan, invalid,
void or unenforceable, the remainder of the terms, covenants, conditions, or provisions of
this Agreement, or the application thereof to any person or circumstance, shall remain in full
force and effect. This contract shall be governed by the laws of the State of Michigan both
for interpretation and performance. The Parties hereby expressly submit to the exclusive
jurisdiction of Michigan, more specifically the courts of Branch County or the Western
District Court of Michigan.
18. Miscellaneous.
(a) This is the entire agreement between the parties regarding its subject matter. There are
no prior or contemporaneous agreements. This License Agreement may not be modified
or amended except in writing, signed by all parties after approval of both the City
Council and the Licensee. This License Agreement shall not be affected by any course
of dealing. The captions are for reference only and shall not affect its interpretation.
More than one copy of this License Agreement may be signed, but all constitute but one
agreement.
(b) Any notices shall be made in writing to the addresses first written above or such other
addresses as indicated by notice and shall be made by personal delivery or by postage
prepaid United States first-class mail and shall be deemed completed when actually
received or, if by first-class mail, three business days after mailing.

(c) This Agreement may be executed in separate counterparts (including facsimile
signatures, electronic transmissions, or signatures in compliance with the Michigan
Uniform Electronic Transactions Act, the Electronic Signatures in Global and National
Commerce Act, and other applicable domestic and/or foreign laws) each of which shall
be deemed an original and shall have the same effect as if the Parties simultaneously
executed a single document. The Parties waive any right to challenge the admissibility
or authenticity of this Agreement based solely on the absence of an original signature.
"Electronic Transmission" means the transmission of information in electronic form or
the transmission of the exact visual image of a document by way of electronic equipment.
Electronic Transmission includes, but is not limited to, transmission by email, scanned
portable data format (PDF), JPEG, or other format, or other similar transmission by
computer link, modem, network, or other communication via electronic or digital means.
The parties have caused this Agreement to be executed as of the date first above written.

MEMORANDUM OF AGREEMENT
This Memorandum of Agreement is made as of ______________, 2026, between the City of
Coldwater Downtown Development Authority, a political subdivision of the State of Michigan,
having its principal place of business at 1 Grand Street, Coldwater, Michigan 49036 (the
"DDA"), City of Coldwater, a Michigan municipal corporation, of 1 Grand Street, Coldwater,
Michigan 49036 (the "City" or “Property Owner”), and Loren Kauffman, an individual
residing at 8 North Main Street, Quincy, Michigan 49082 (the "Licensee" or “Artist”).
RECITALS
1.
DDA is empowered by Public Act 57 of 2018, to promote economic growth of the
Downtown District; and
2.
The DDA is authorized to enter into agreements regarding real or personal property when
reasonably necessary; and
3.
Respondents to the 2024 Downtown Corridor and Public Amenity Survey identified public
art as a top priority for improving downtown Coldwater; and
4.
The DDA has adopted a list of priority projects for improving the downtown that includes
the development of a public art program; and
5.
Public spaces have been identified in downtown Coldwater for presentation of public art;
and
6.
The City of Coldwater, owns property in downtown Coldwater that has undergone recent
renovations and contributing to downtown improvements; and
7.
The City of Coldwater is agreeable to use of the surface of South Monroe Street for purpose
of displaying public art; and
8.
The mural concept titled “Northern Chain of Lakes” was submitted to the DDA by Loren
Kauffman and approved during the Board’s June 24, 2026, meeting; and
9.
Loren Kauffman agrees to create and display public art as described in this memorandum
of understanding;

NOW THEREFORE, in consideration of the above-stated premises and mutual exchange of
promises and subject to the conditions stated below, the Parties agree as follows:
RESPONSIBILITIES OF THE DDA
1. Payment. Upon satisfactory completion of the work outlined in this agreement the DDA
agrees to pay Loren Kauffman a total sum of ten thousand dollars ($10,000.00).
RESPONSIBILITIES OF THE CITY OF COLDWATER
1. Authorization and Cooperation. The City of Coldwater asserts that it owns and maintains the
public roads within its jurisdiction including South Monroe Street and authorizes the
placement of public art upon said street. It further agrees to cooperate with the DDA and
Loren Kauffman as to installation of the public art.
2. Street Closure. The City of Coldwater agrees to take steps to close South Monroe Street to
vehicular traffic for the duration of installation.
3. Non-Interference. The City of Coldwater agrees not to take any action that may interfere
with the installation or display of said public art.
RESPONSIBILITIES OF LOREN KAUFFMAN
1. Artwork. Loren Kauffman agrees to design, create and install a street mural of original
artwork as identified in Exhibit A for placement on the roadway surface area of South
Monroe Street. Loren Kauffman acknowledges that the area for display is outdoors and is
not sheltered in any way and agrees to construct the Artwork in a manner that will withstand
changes in weather and will withstand vehicular traffic. Further, Loren Kauffman agrees that
the public art will not interfere with the intended use of the area, pedestrian and other traffic
flow, parking, or safety devices. The Artist further agrees to perform a one-time touch-up of
the work within one year of completion of the Artwork upon request of the DDA.
a. The Artist agrees to commence work on or about September 21, 2026. The
estimated duration of the project is eleven calendar days. The parties may mutually
agree to extend this commencement date.
2. Warranties. As of the date of the DDA’s acceptance of the Artwork, the Artist represents and
warrants that: (A) the Artwork is the original creation of the Artist; (B) the Artwork does not
infringe upon any copyright, trademark, or any other property or personal right; (C) the
Artwork is free and clear of liens and encumbrances from any sources whatsoever; (D) the
Artist knows of no adverse claims to the Artwork; and (E) the Artwork is free of any defects
in material and workmanship.

3. Indemnification and Hold Harmless. The Artist shall indemnify and hold the DDA and City
of Coldwater (defined for purposes of this paragraph to include the City's officers and
employees) harmless from, indemnify it for, and defend it (with legal counsel reasonably
acceptable to the City) against any demand, claim, judgment, award, legal proceeding, or
loss of any kind arising for and damage to the Artwork, personal injury, death or other
property damage which is the result of any act, omission, fraud, wrongful or reckless
conduct, or negligence related to the handling or displaying the Artwork. Nothing in this
agreement shall be construed as to require the Artist to indemnify or defend the City of
Coldwater or DDA for its gross negligence or willful misconduct. This section shall survive
the early termination or expiration of this Agreement and shall apply to all claims regardless
of whether they arise before or after the completion of the work under this agreement.
4. Property Rights. Loren Kauffman asserts that she has the right to display any artwork created
through this Agreement. Loren Kauffman expressly waives any rights she may have had
relating to rights preventing the distortion, mutilation, or modification of the Artwork under
the Visual Artists Rights Act of 1990, 17 USC § 106A (“VARA”) to the extent that the
Artwork deteriorates, degrades, is vandalized in any manner that necessitates removal or
covering up of the Artwork.
MISCELLANEOUS.
1. Recording. The Artwork may be photographed and recorded as video, and the images
reproduced for normal publicity, including on DDA and City of Coldwater promotional
materials. When reasonably feasible a credit line shall be included stating the Artist’s name
and title of the Artwork. The Artist waives any and all claims that might arise from any
application of the Visual Artist’s Rights Amendments to the Copyright Law of the United
States, 17 USC 106A (“VARA”).
2. All Parties agree that:
(a) Any Party may terminate this Agreement at any time upon 30 days’ notice.
(b) This Agreement shall be perpetual until terminated by any Party or Parties.
(c) This is the entire agreement between the Parties regarding its subject matter. There are
no prior or contemporaneous agreements. This Agreement may not be modified or
amended except in writing, signed by all parties. More than one copy of this Agreement
may be signed, but all constitute but one agreement.
(d) Any intention to create a joint venture or partnership between the Parties is expressly

including its employees, agents, or contractors in performance or omission of any
act or responsibility outlined in this Agreement. In the event that a claim is made,
the Parties agree to cooperate in the defense of such claim to the extent that multiple
parties are named or the nature of the claim involves acts or responsibilities of
multiple parties. However, the Parties shall retain the right to take any and all
actions necessary to protect their own interests. This provision shall survive the
termination of this Agreement.

The Coldwater Downtown Development Authority implemented the first public art initiative in
2025. The public art initiative consists of a mixture of mediums including sculptures, murals, and
art-centered events. The DDA renewed the public art initiative for 2026 and has selected new
artwork to be displayed in downtown Coldwater for the enjoyment of all.
Attached is a resolution relative to a street closure request to facilitate installation of a street art
mural piece entitled “Northern Chain of Lakes” by Loren Kauffman. This art is proposed to be
placed on City of Coldwater property, specifically in the middle of a portion of S. Monroe Street.
The City and DDA have been promoting increased activity downtown, therefore I am
recommending that the City Council consider adoption of Resolution No. 26-82 to authorize the
closure of S. Monroe St. from September 21, 2026 to October 2, 2026 and authorize the City Clerk
to sign.

bids from contractors. One bid is for replacement of the existing flat roof; four are for replacement
with a gable roof and steel roofing. Although the flat roof replacement is $1,339 less than the
recommended option, a gable roof with steel is the better long term choice because it is less prone
to leaks and less vulnerable to ice dams. Based on cost and durability, I recommend selecting Dan
Hershberger for the project.

WHEREAS, the Department of Public Safety is requesting the replacement of two patrol
vehicles and has allocated for the purchase of such patrol vehicles and the additional cost of
outfitting the patrol cars with screens, radio consoles, lighting, and equipment transfer, from the
2026-2027 fiscal year budget; and
WHEREAS, the bid price from LaFontaine CDJR in Lansing for a 2027 Dodge Durango SUV
Police AWD V6 patrol car including the options of driver and passenger side LED spotlights, a
courtesy lamp disconnect, and rear doors that cannot be opened from the inside is $43,575.00;
and
WHEREAS, LaFontaine CDJR in Lansing, MI is the automotive dealership that was awarded
and supplies Dodge Durango SUV patrol vehicles under the State of Michigan cooperative bid
program MiDeals;
NOW, THEREFORE, BE IT RESOLVED, the City of Coldwater Council hereby adopts
Resolution No. 26-78 approving the purchase of two patrol vehicles with options from LaFontaine
CDJR in Lansing, Michigan, for a total of $87,150.00, as shown.

Sir:
The Fire Department tries to replace our staff vehicles every 10 years, therefore we are
requesting to replace our 2016 Ford Explorer. The 2026-2027 budget has funds allocated in the
Capital Improvement line item for us to purchase a new staff vehicle.
Due to Fire Department staff vehicles being almost identical to the Police Patrol Units, the
quotes obtained by the Police Department staff were used for this request. Listed below are the

Purchase of a new SCBA Compressor
Sir:
There are primarily two parts to an SCBA Cascade System. Our current system has been pieced
together over the years. The compressor and cascade system were purchased sometime in the
early 1980’s with the original fill station being replaced in 2004 with the current one. Our
request is to replace the compressor. Since then there have been three new versions of NFPA
1989 released and when the compressor was installed it appears that there was no NFPA
standard at that time.
Besides the age of the unit and wanting to be compliant with the most current NFPA standard, it
was identified in 2017 that compressor struggled to completely fill the new 4500 psi bottles. The
department switched to 4500 psi bottles from 2216 psi. when we received the AFG grant to
purchase all new packs.
The 2026-2027 budget has funds allocated in the Capital Improvement line item for us to
purchase a new compressor.
Quotes were solicited and received from numerous manufacturers for a new SCBA compressor
that would work with our current fill station. We received quotes from Pro Air, Breathing Air
Systems, and Arctic Compressors. The below quotes meet the current NFPA 1989 standard and
also include delivery as well as installation:

WHEREAS, the National Fire Protection Association (NFPA) is a global self-funded
nonprofit organization, established in 1896, devoted to eliminating death, injury, property and
economic loss due to fire, electrical and related hazards; and
WHEREAS, NFPA 1989, is the standard that establishes requirements for the selection,
care, and maintenance of Self Contained Breathing Apparatus (SCBA) systems; and
WHEREAS, there are two primary parts to an SCBA system, the compressor and cascade
system, and the City’s compressor was purchased in the 1980s and has exceeded its useful life
and struggles to completely fill the 4500 psi bottles that were purchased in 2017 through an
Assistance to Firefighters Grant (AFG) to purchase all new SCBA packs; and
WHEREAS, there have been three new versions of NFPA 1989 adopted since the
Coldwater Fire Department’s current compressor was purchased and installed; and
WHEREAS, the purchase of the SCBA compressor was planned in city’s Capital Budget for
the current 2026-2027 fiscal year; and
WHEREAS, quotes from three manufactures of SCBA compressor equipment have been
obtained, the lowest of which is from Pro Air in the amount of $42,500.00;

Resolution No. 26-81 - Bid Award for the Robert W. Browne Recreation Center
Multi-Purpose Floor
Dear Mayor and City Council Members:
The Recreation Department strives to keep the Dr. Browne Recreation Center in great condition.
An important part of the Center is to maintain the floors so that they will last forever. The center
has been open for over eleven years. The wooden floor was completely refinished in 2025 and
over the past two weeks the multipurpose floor and track were resurfaced as approved by the
city council in 2025.
To be fiscally cautious, the decision was made at the time to not seek approval or consider the
use of a clearcoat sealer when the floor was resurfaced. However, while not required by the
manufacturer, after seeing the finished project and upon further consideration, staff would
recommend having a maintenance clear coat applied that would further protect the finished floor
from daily wear and use.
The proposed project would furnish and install a maintenance clear coating over both the
multipurpose courts and track flooring. The maintenance coating will make it much easier to
clean scuffs, marks and abrasions from the floor. The quoted price to complete this work is
$32,138.00. The maintenance coat will require 1-day to install and requires a 3-day cure time. If
council approves the request, the product would be ordered on Tuesday July 28th for installation
the following week while the recreation center is still closed.
The Recreation Department’s recommendation would be to award the bid to Kuhn Specialty
Flooring since they are the contractor currently on site completing the new floor surface
installation and are available to return to apply the seal coat before the reopening of the center
and busy fall and winter seasons. They are a Michigan based company that we have worked with
before. They installed the original floor in 2015 in addition to the current resurfacing project and
have been a great company to work with.
Therefore, staff is requesting the City Council consider approval of Resolution No. 26-81,
approving the bid of Kuhn Specialty Flooring in the amount of $32,138.00 and authorize the
Mayor and Clerk to sign.

including without limitation through the construction, maintenance, operation, and
improvement of structures and facilities that are devoted to or intended for public purposes,

WHEREAS, the Dr. Robert W. Browne Recreation Center has had its multi-purpose sports
courts and track resurfaced; and
WHEREAS, the City would like to apply a clear maintenance sealant on the finished floors
to extend their useful life and reduce wear and damage; and
WHEREAS, Kuhn Specialty Flooring installed the original recreation center multipurpose
flooring and is currently completing the resurfacing of the center’s courts and track; and
WHEREAS, the City has been satisfied with their work in both cases; and
WHEREAS, due to the expedited nature of the request and need to complete the work
prior to reopening the center to the public, staff is recommending that the bid be awarded to
Kuhn Specialty Flooring; and
WHEREAS, funding for the project would be allocated from existing reserves from the
City’s General Fund;
NOW, THEREFORE, BE IT RESOLVED, the Council of the City of Coldwater hereby adopts
Resolution No. 26-81 to award the bid for the maintenance coat for the Dr. Robert W. Browne
Recreation Center indoor multi-purpose track and courts to Kuhn Specialty Flooring of Beverly
Hills, Michigan, in the amount of $32,138.00 and authorize the Mayor and City Clerk to execute
required documents.
