The Le Sueur County Board of Commissioners met in regular session on Tuesday, May 26, 2026 at 9:00
a.m. in the Government Center at Le Center, Minnesota. Board members present were John King, Danny
O’Keefe, David Preisler, Steve Rohlfing and Dennis Tietz. Also present were Brent Christian, Joe Martin
and Pam Herrmann.
Tietz moved, King seconded, motion carried unanimously to approve the agenda for the business of the
day.

New Hire: Devon Taft, full-time 911 Telecommunicator, Sheriff’s Office, Grade 7, Step A/1, $27.33 per
hour, effective, June 8, 2026.
Resignation: Tori Casello-Jerde, full-time Eligibility Worker, Human Services, effective May 31, 2026.
Tori has been employed with Le Sueur County since June 2024.
Anna Freundschuh, Drainage & Environmental Compliance Specialist, & Brad Rademacher, Senior
Environmental Programs Inspector, came before the Board with bids for County Ditch Mowing and
Spraying Services.
Preisler moved, Rohlfing seconded, motion carried unanimously to approve the County Ditch Mowing
with Barnett for $32,979.69 and Spraying Services with Carr’s Tree Service for $32,955.
The Board recessed until the Public Hearing at 10 a.m.

Establishing a Moratorium on the Permitting of Data Centers within the Unincorporated Areas of Le
Sueur County.
PURPOSE:

TO ADOPT AN INTERIM ORDINANCE ESTABLISHING A MORATORIUM
ON THE PERMITTING OF DATA CENTERS WITHIN THE
UNINCORPORATED AREAS OF LE SUEUR COUNTY.

Le Sueur County hereby finds and declares as follows:
WHEREAS, the purpose of this Interim Ordinance is to protect the public health, safety, and general
welfare of residents of Le Sueur County by temporarily prohibiting the establishment, expansion, or
permitting of data centers while the County undertakes a study to develop appropriate performance
standards, zoning controls, and regulatory frameworks for such facilities; and
WHEREAS, the County Board finds that Data Centers are an emerging land use with significant
impacts related to energy demand, water consumption, noise, heat generation, stormwater
management, and land use compatibility; and

WHEREAS, the County’s existing zoning and performance standards do not adequately address these
impacts; and
WHEREAS, Minn. Stat. § 394.34 authorizes counties to adopt interim ordinances to regulate, restrict,
or prohibit land uses while studies or plans are being conducted; and
WHEREAS, a temporary moratorium is necessary to allow the County sufficient time to study, draft,
and adopt appropriate regulations; and
WHEREAS, this Interim Ordinance is adopted pursuant to Minnesota Statutes §§ 394.21–394.37,
including the authority to adopt interim ordinances under § 394.34;
NOW, THEREFORE, BE IT ORDAINED BY THE LE SUEUR COUNTY BOARD OF
COMMISSIONERS THAT THE BOARD HEREBY ADOPTS THE FOLLOWING INTERIM
ORDINANCE:
SECTION 1. DEFINITION
For purposes of this Interim Ordinance, “Data Center” means a facility whose primary purpose is the
commercial storage, management, or processing of digital data for external clients or tenants. The term
does not include internal IT rooms, server rooms, or technology infrastructure spaces located within a
business and used solely to support that business’s internal operations.
SECTION 2. MORATORIUM
A. No new Data Center may be established, constructed, or permitted within the unincorporated
areas of Le Sueur County for the duration of this Interim Ordinance.
B. No land use or zoning permit applications related to a Data Center within the unincorporated
areas of Le Sueur County shall be accepted, processed, or approved during the moratorium.
SECTION 3. STUDY
During the moratorium period, County staff, in coordination with the Le Sueur County Board of
Commissioners, shall conduct a study addressing:

Energy consumption and electrical infrastructure impacts

Water use and cooling technologies

Noise, vibration, and heat emissions

Air quality and environmental impacts

Stormwater and wastewater management

Emergency services and hazard mitigation

Land use compatibility and siting criteria

Potential taxation, economic, and infrastructure cost impacts

Best practices from other Minnesota counties and jurisdictions

The study shall result in recommended performance standards and zoning amendments for
consideration by the County Board.
SECTION 4. DURATION

This Interim Ordinance shall remain in effect for twelve (12) months from the date of adoption,
unless earlier repealed or extended as permitted under Minn. Stat. § 394.34.
SECTION 5. SEVERABILITY
If any section, subsection, sentence, clause, or phrase of this Interim Ordinance is determined to be
invalid or unconstitutional by a court of competent jurisdiction, such decision shall not affect the
validity of the remaining portions of the Ordinance, which shall remain in full force and effect.
SECTION 6. EFFECTIVE DATE
This Ordinance shall become effective June 4, 2026.

Request the County grant an Interim Use Permit to establish and operate a Level II Home Occupation for the
fabrication and fitting of boat upholstery and boat covers. The subject property is located in part of
Government Lots 2 & 3, Section 28 of Lanesburgh Township.
WHEREAS, the Le Sueur County Planning Commission held a public hearing on May 21, 2026, in order to
hear public testimony from the applicants as well as interested parties pertaining to and as provided by the
Zoning Ordinance of Le Sueur County.
WHEREAS, the Le Sueur County Planning Commission, acting as an advisory board to the Le Sueur
County Board of Commissioners recommends APPROVAL of the request due to the following findings:
1.

The Interim Use would not be injurious to the use and enjoyment of other property in the immediate vicinity for the
purposes already permitted, nor substantially diminishes and impairs property values within the immediate vicinity.

• All members agreed with the proposed finding in the staff report.

2.

The establishment of the Interim Use will not impede the normal and orderly development and improvement of
surrounding vacant property for uses predominant in the area. (5-0 in support)
• All members agreed with the proposed finding in the staff report.

Adequate utilities, access roads, drainage and other facilities have been or are being provided. (5-0 in support)
• All members agreed with the proposed finding in the staff report.

4.

Adequate measures have been or will be taken to provide sufficient off-street parking and loading space to service

WHEREAS, On June 2, 2026, at their regularly scheduled meeting, the Le Sueur County Board of
Commissioners APPROVED/DENIED the application for an Interim Use Permit to allow the applicant to
establish and operate a Level II Home Occupation for the fabrication and fitting of boat upholstery and boat
covers in the Agriculture "A" District as requested by Jeffrey & Leah Peterson.
NOW, THEREFORE, IT IS HEREBY RESOLVED, the following Findings of Fact were adopted at the
June 2, 2026, Le Sueur County Board of Commissioners meeting in order to protect the public health, safety
and general welfare of the citizens of Le Sueur County.
1.

The Interim Use would not be injurious to the use and enjoyment of other property in the immediate vicinity for the
purposes already permitted, nor substantially diminishes and impairs property values within the immediate vicinity.

BE IT FURTHER RESOLVED, by the Le Sueur County Board of Commissioners that based on the above
Findings of Fact, Interim Use Permit # PCIUP-001260-2026, a request to allow the applicant to establish
and operate a Level II Home Occupation for boat upholstery and boat covers in the Agriculture "A" District,
is APPROVED / DENIED.
If approved, the following conditions shall be attached to the request:
1. The Interim Use Permit shall remain valid provided all requirements of the Ordinance and approved
conditions are being met.
2. An extension must be requested in writing and filed with the Department at least 30 days prior to the
expiration of the Interim Use Permit.
3. The site plan (submitted April 20, 2026) shall become a part of the permit. Any deviation from the
submitted plans shall first be reviewed by the Department for determination of whether the Interim Use
Permit needs to be amended.
4. County Staff shall conduct an annual inspection of the property to ensure compliance with the Ordinance
and approved conditions of the permit.
5. The property shall be maintained and kept in a reasonably clean and neat condition as to prevent a
nuisance.
6. All parking for the business shall occur within the designated parking areas.
7. There shall be no exterior evidence of a Home Occupation on the subject parcel other than one (1) sign,
not to exceed sixteen (16) square feet.
8. The applicants/landowners shall contact staff prior to switching to phase two or phase three of their plan.
9. Proof of insurance for the business shall be kept current and on file with the Environmental Services

INITIAL QUESTIONS FROM THE PLANNING COMMISSION:
Chairperson Doheny asked the applicants if have plans to start the business. Mrs. Peterson stated they have already
started the business in November of 2024 at their previous home.
Chairperson Doheny asked the applicants whether they have done any interior remodeling of the existing sheds on the
subject property. Mrs. Peterson stated they have not since they were waiting for Variance approval which they received
in May of 2026. Mr. Peterson stated he put up a few temporary lights, but they want to wait to receive the proper
permitting to make sure everything is done correctly.
Commissioner King asked the applicants if they live on the property. Mrs. Peterson stated they live on the property. Mr.
Peterson stated they purchased the property specifically to live on and operate the Home Occupation business.
Member Katzenmeyer asked the applicants if the two sheds are separate buildings or if they are connected. Mrs.
Peterson stated they are separate buildings.
Member Katzenmeyer asked the applicants if there are different operations in each structure. Mrs. Peterson stated the
southern shed will be used for pontoons and taller boats, and the northern shed will be used for the sewing machine and
smaller boats.
Member Katzenmeyer asked the applicants how many boats they have the capacity to work on. Mr. Peterson stated she
currently works part time for the business, so it takes about a week in a half to complete a boat cover.
Member Katzenmeyer asked the applicants if they imprint on the canvas covers. Mr. Peterson stated they have the
ability to, but it’s not something they expect.
Member Gehrke asked the applicants if they would venture into repairing awnings. Mrs. Peterson stated she does not
want to as they just want to stick to the boat covers and marine upholstery.
Commissioner King asked staff what are the checks and balances that the business will not grow into a business that is
larger than this property can support. Mr. Stubbs stated the Zoning Ordinance has requirements that limit the number of
employees and size of the Home Occupation. Mrs. Peterson stated they moved to the rural area because it was secluded
and they do not want to disturb the area with lots of traffic. Mrs. Peterson also stated she is aware that if the business
grew that they would need to purchase another property to operate the business on.
Chairperson Doheny asked the applicants if the neighbors are aware of the proposed Home Occupation. Mr. Peterson
stated they have not had the opportunity to talk to the neighbors since they just moved, but they were informed with the
public notice the County mailed out.
Chairperson Doheny asked the applicants how much traffic they anticipate on a daily basis. Mrs. Peterson stated they
anticipate maybe one vehicle a day. Mr. Peterson stated they have discussed requiring customers to make an
appointment prior to visiting to the property.
Chairperson Doheny asked the applicants if they have a lot of leftover materials to dispose of. Mrs. Peterson stated there
are not many materials besides some scrap cuts. Mrs. Peterson stated that she saves most of the scrap cuts to use for
patching holes if needed.

covered by State requirements such as distance to water table and setbacks to a water feature.
There was also discussion about the proposed items required in an Odor Management Plan.
There was also discussion and agreement with the proposed change that would require non-registered feedlots to submit
updated paperwork with the County every five years and require inspections to identify potential pollution problems.

AGREEMENT FOR WELL SEALING PROJECT WELL#2 (ID# 218262)
THIS AGREEMENT (“Agreement”) is made by Scott Churchill (the “Owner”), the City
of Le Sueur (the “City), and the County of Le Sueur, a political subdivision under the laws of
the State of Minnesota (the “County”); (collectively the “Parties”).
WHEREAS, Scott Churchill is the owner of certain real property located at 1200
Commerce Street North in the City of Le Sueur, County of Le Sueur, State of Minnesota, Parcel
Number: 21.520.0330, legally described on Exhibit A, which is attached hereto and incorporated
herein by reference (the “Property”); and
WHEREAS, the City of Le Sueur has identified two old private Green Giant wells on the
property, “Well #1 and Well #2”, (collectively, the “wells”), which wells are now owned by the
Owner and depicted in Exhibit B, attached hereto and incorporated herein by reference; and
WHEREAS, the State of Minnesota (the “State”) provides drinking water protection
grants to seal abandoned wells, and the County qualifies for such a State grant provided the
County follows Minnesota Statues and Rules 103I (MN Well Code) and uses a State licensed
well contractor to perform such work; and
WHEREAS, the County was awarded grant funds to assist with the financial costs to seal
Well#2. The County, will retain a State licensed well contractor to perform the well sealing for
the project, retain the City of Le Sueur’s Public Services Department to perform the electrical
work within the City Utility Easement for the project, and retain a licensed contractor to perform
the concrete removal and final grading and seeding work for the project, on the Property;
WHEREAS, it will be the Owner’s responsibility for any costs incurred for the project
above the amount of the awarded grant funds; and
WHEREAS, the Owner understands that the Owner has the right to perform the work for
the project or hire independent licensed contractor(s) to perform the work for the project on the
Property at the Owner’s sole cost and expense; and
WHEREAS, the Owner has granted permission for the County, the City, and its
contractor(s) to enter upon the Property and perform the work for the project; and
WHEREAS, the County is willing to contract with a licensed contractors and the City of
Le Sueur to perform the work for the project on the Property, consistent with the project scope of
work and the project estimated cost (the “scope of work”), which scope of work is attached
hereto and incorporated herein by reference as Exhibit C, in accordance with the Minnesota
State Statute and County bidding laws and requirements and in accordance with the Board of
Water and Soil Resources Grants Administration Manual; and
WHEREAS, the Parties agree to the work to be performed by the County, City, and
licensed contractors (the “roles”), which is attached to hereto and incorporated herein by
reference under Exhibit D, under this Agreement; and

WHEREAS, the County’s agreement to proceed accordingly with the project scope of
work is further contingent upon the Owner’s, and any lienholder of record’s, consent(s), in
writing, to the County and/or its authorized contractor entering upon the Property and performing
the scope of work for the project and subsequently charging all of the costs thereof incurred by
the County in so acting, in excess of the grant funds received by the County, if any, to the
Owner, which costs if unpaid by the Owner within thirty (30) days of such County invoice, will
be charged/assessed by the County against the Property and certified to the Le Sueur County
Auditor for payment in like manner as property taxes on the Property; and
WHEREAS, the Parties understand the work to be performed under this agreement is for
Well#2 and the Parties would be required to execute a separate agreement related to the
investigation, excavation and potential sealing of Well #1; and
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, the Parties agree as follows:
1. Consent(s) to Project. The Owner, and any lienholder of record, hereby agree(s) and
consent(s) to the County’s selected contractor or agent, including representatives and
agents of the City, entering upon the Property and performing the scope or work for the
project as provided in Exhibit C on a date determined by the County and its selected
contractor subject to the County first being awarded grant funding for the project. The
project work shall be subject to all applicable laws, ordinances, codes, regulations, and
policies pertaining to the same.
2. Estimate of Project Costs. As provided in Exhibit C, the estimated total cost of the
project scope of work is approximately $105,473.65. The County was awarded a
$181,363.00 grant from the State for said project costs related to the sealing of Well #2.
Amendment to Project Scope and Costs. The scope of work and total costs of the project
may change due to unforeseen circumstances. The additional work that may be needed
should only be pursued if it is required to be completed in order to meet the Minnesota
Department of Health’s standards for properly sealing a well. If the scope of the project
and total project costs need to be amended, the following items will be required prior to
completing the work: 1) An estimate for the additional work with justification as to why
it is needed, 2) Amendment to the cost-share contract, and 3) Landowner and County
Board approval.
3. Responsibility for Costs. The Owner acknowledges and agrees that the estimated total
cost of the project is subject to reasonable variation owing to unexpected circumstances
or conditions on the Property. The Owner shall pay the actual costs incurred by the
County for the project scope of work if the same exceed any amounts that were awarded
in grant funds. The County shall provide not less than seven (7) days written notice to
the Owner of its intent to perform the scope of work on the Property following Owner’s
failure to complete the work pursuant to paragraph 10 of this Agreement. The Owner
understands, acknowledges and agrees that the cost for the project scope of work in
excess of any grant funds received by the County will be charged by the County to the

Owner, and which cost if unpaid by the Owner within thirty (30) days of such County
invoice, will subsequently be charged/assessed by the County against the Property as a
special assessment certified to Le Sueur County to be collected in like manner with
property taxes on the Property. The Owner acknowledges that the County is not
responsible for any project costs which exceed any grant funds the County may receive
for the project and what is agreed upon in the required State Cost-share Contract.
4. Benefit and Waiver of Objection and Appeal. The Owner acknowledges the benefit to
the Property and to the Owner of having the County’s contractor perform the project
work on the Property, and hereby waives any objections or rights of appeal whether the
same be based upon procedural error under Minnesota Statutes c. 429 or other law,
ordinance or regulation, or upon a claim that the amount of the assessment is excessive,
or upon any other alleged defect, which Owner may otherwise have with respect to the
costs of the project scope of work or the subsequent assessment of such costs in the event
the same are not timely paid by the Owner.
5. Payment for Services. Payment for services must be completed through a Joint Payment
process. Reimbursement will be sent after completion of services upon the presentation
of a claim in the manner provided by law for payment of claims against the County and
the project has been verified complete through a site visit by County Staff. During
payment for services, item number 3 (responsibility of costs) of this agreement shall not
be triggered while a properly issued joint-payee check is pending the landowner’s
signatures.
Reimbursement will be issued separately for each contractor through a partial payment
request. The following steps must be followed during the reimbursement process:
a. An itemized invoice must be submitted to the County for reimbursement. For the
well sealing contractor, a well sealing log must also be submitted with the invoice.
b. Prior to starting the reimbursement process, a site visit is required by the County to
verify the project is considered complete in accordance with Minnesota Well Code
103I. Additionally, a site visit is required by the Owner to verify the work has been
completed.
c. A state cost-share voucher form will need to be completed and signed by the
landowner, the contractor, a technical service provider (someone licensed and
certified to verify project is needed), and the County Board in order to complete the
request for reimbursement.
d. Once the items above are considered complete, reimbursement can take place.
Reimbursement will need to be endorsed by both the landowner and the contractor.
Reimbursement will first be sent to the landowner and endorsement of the joint-payee
check shall be completed within two weeks of receiving. Once the landowner
endorses the joint-payee check, it shall be returned to the County. Once the County
receives the endorsed joint-payee check from the landowner, reimbursement will be
sent to the contractor for their endorsement. Le Sueur County will be responsible for
sending reimbursement to the landowner and the contractor.
6. Term. This Agreement shall be in effect until such time as the project is completed and

when state grant funds and the Owner have paid all costs incurred by the County for the
project as provided above. The obligation to pay for the project and the waiver of
objections and appeal rights shall continue until the amount owed is paid in full by the
Owner. If the project is awarded grant funds, it must abide by timeline requirements
stated within any applicable grant agreement.
7. Termination. This Agreement may be terminated by the County for any reason or for
convenience upon thirty (30) days written notice. In the event of termination prior to
commencement of project work, neither the County nor the City shall have any further
obligation. In the event of termination during either phase of project work, neither the
County nor the City shall have any obligation to proceed with any subsequent phase of
project work.
8. Warranties of Owner. The Owner warrants that he owns the Property in fee. The Owner
warrants that the Owner is in good standing with all public entities having any authority
or jurisdiction over the Owner or the Property, and the Owner is in compliance and shall
at all times remain in compliance with all federal, state and local laws, rules and
regulations which apply to the project on the Property, and the Owner is current on local
property tax and special assessment payments owing on the Property. The Owner
warrants that he has communicated with any lienholders of record on the Property and
received their consent(s) to this Agreement.
9. Use of Grant Funds. The Owner acknowledges and agrees that any grant funds received
by the County pertaining to this Agreement shall only be used for the project and pay
only costs associated therewith in strict adherence to the terms and conditions of this
Agreement. The Owner acknowledges that grant funding for the project is contingent
upon the execution of this Agreement and that the County may be required to enter into
grant agreements with any of the State, Federal, or other grant funding resources from
which the County seeks grant funding. Any changes to the scope and expenses as
contained in this Agreement require prior approval and may require the execution of an
amendment to this Agreement.
10. Notice of Project Commencement. The County shall contact the Owner to notify the
Owner of the date when the County or its contractor will enter upon the Property for the
purpose of performing the project scope of work as provided in Exhibit C. Such notice to
the Owner shall be provided to the Owner at least twenty-four hours in advance of the
commencement of the project scope of work. In the event that the County is proceeding
with any portion of work less than the full project scope of work, the County shall notify
the Owner of the particular phase of work which the County or its contractor will be
performing when it enters upon the Property.
11. Lienholder(s). The Owner certifies that he has communicated this Agreement to any
lienholders of record and received consent(s) to this Agreement and the project therefrom
and further acknowledges that the costs of the project shall be paid in full by the Owner
and charged against the Property as provided herein if not timely paid by the Owner.

12. Insurance. The County agrees to require each contractor to procure and maintain, at its
expense, General Liability insurance, automobile liability insurance, professional liability
insurance, and workers compensation insurance coverages insuring the County and the
Owner against claims for bodily injury or death, or for damage to property, including loss
of use, which may arise out of operations under this Agreement. The County agrees to
require each contractor to procure and maintain, at its expense, the following insurance
policies, including the minimum coverages and limits of liability specified below, or as
specified in the applicable insurance certificate(s), or as required by law, whichever is
greater: General Liability – single limit or combined limit or excess umbrella, not less
than $1,500,000 for property damage arising from one occurrence, $1,500,000 for total
bodily or personal injuries or death and/or damages arising from one occurrence,
Automobile Liability- single limit or combined limit or excess umbrella, not less than
$1,500,000 per accident for property damage, $500,000 for bodily injuries and/or
damages to any one person, and $1,500,000 for total bodily injuries and/or damages
arising from any one accident, Professional Liability- naming the County as an additional
insured in the following amounts: $500,000 per claimant for personal injuries, bodily
injuries, death, and/or damages, and $1,500,000 for total bodily injuries, personal
injuries, death, and/or damages arising from one occurrence and naming the Owner as an
additional insured in the following amounts: $500,000 per claimant for personal injuries,
bodily injuries, death, and/or damages, and $1,500,000 for total bodily injuries, personal
injuries, death, and/or damages arising from one occurrence, and Workers’ Compensation
insurance-assumption of work related injury risk if no employees are hired.
The Owner and the County reserves the right to immediately terminate this Agreement if
the selected contractors are not in compliance with the insurance requirements contained
herein.
13. Indemnification. The Owner shall indemnify, save, and hold harmless the County and
the City, and their respective officers, directors, employees, members and agents, from
and against any claims, liability, damages, costs, judgments, or expenses, including
reasonable attorney’s fees, with respect to the Property, this Agreement, or the project.
The Owner hereby irrevocably waives any and all claims against the County, the City or
any of their officials, employees or agents for any bodily injury (including death), loss or
property damage incurred by the Owner or any person using the Property or related to the
wells located on the Property, and hereby irrevocably releases and discharges the County,
the City and any of their officials, employees or agents from any and all such claims of
liability related in any way to the Property, the project, the well or this Agreement.
The County shall indemnify, save, and hold harmless the Owner for claims arising out of
the acts or omissions of the County, its employees, and its selected contractors, subject to
the statutory limits of Minn. Stat. ch. 466. The County hereby irrevocably waives any
and all claims against the Owner and the City for any bodily injury (including death), loss
or property damage incurred by the County arising out of the project work performed by
the County or its contractors, and hereby irrevocably releases and discharges the Owner
and the City from any and all such claims of liability related in any way to the Property,
the project, the well or this Agreement.

The indemnification provision of this Section shall not apply to damages or other losses
proximately caused by or resulting from the negligence or willful misconduct of the
Owner or the County. The Owner and the County knows, understands and acknowledges
the risks and hazards associated with the project and hereby assumes any and all risks and
hazards associated therewith.
All indemnification obligations shall survive termination, expiration or cancellation of
this Agreement. The County shall ensure that all contractors performing work under this
Agreement maintain at all times during the term of this Agreement the policies of
insurance required in the Paragraph entitled, “Insurance.” Nothing in this Agreement
shall be construed to waive any immunities or limitations to which the County and the
City are entitled under Minn. Stat. Chapter 466 or otherwise.
14. Default. If the Owner fails to satisfy any of the provisions of this Agreement or so fails
to perform and/or administer this Agreement, in such a manner as to endanger the
performance of this Agreement or the scope of work provided hereunder, this shall
constitute default. Unless the Owner’s default is excused by the County or cured by the
Owner within seven (7) days of notice from the County, the County may, upon written
notice to the Owner, take one or more of the following actions:
a. Perform the project scope of work itself or through licensed contractor(s) and the
Owner shall promptly reimburse the County for any expense incurred by the
County. When the County does any such work, the County may, in addition to its
other remedies, assess the cost in whole or in part for collection with the property
taxes on the Property in the event of non-payment by Owner;
b. Obtain an order from a court of competent jurisdiction requiring Owner to
perform its obligations pursuant to the terms and provisions of this Agreement;
c. Cancel/terminate this Agreement without further obligation by the City or
County, or
d. Exercise any other rights or remedies available to the County under this
Agreement or law.
In the event of the Owner’s default, Owner shall be liable to the County for any and all
costs, disbursements, attorneys and consultant fees reasonably incurred by the County in
enforcing this Agreement.
15. General Terms.
a. Voluntary and Knowing Action. The Parties, by executing this Agreement, state
that they have carefully read this Agreement and understand fully the contents
thereof; that in executing this Agreement they voluntarily accept all terms

described in this Agreement without duress, coercion, undue influence, or
otherwise, and that they intend to be legally bound thereby.
b. Authorized Signatories. The Parties each represent and warrant to the other that
(1) the persons signing this Agreement are authorized signatories for the entities
represented, and (2) no further approvals, actions or ratifications are needed for
the full enforceability of this Agreement against it; each Party indemnifies and
holds the other harmless against any breach of the foregoing representation and
warranty.
c. Recitals. The recitals to this Agreement are made a part hereof and incorporated
herein by reference.
d. Assignment. This Agreement may not be assigned by either party without the
written consent of the other party.
e. Modifications/Amendment. Any alterations, variations, modifications,
amendments or waivers of the provisions of this Agreement shall only be valid
when they have been reduced to writing, and signed by authorized representative
of the Parties.
f. Compliance with Laws. Owner shall abide by all Federal, State and local laws,
statutes, ordinances, rules and regulations now in effect or hereinafter adopted
pertaining to this Agreement or to the facilities, programs and staff for which
Owner is responsible.
g. Cumulative Rights. Except as otherwise expressly stated herein, no right or
remedy herein conferred on or reserved to the City or County is intended to be
exclusive of any other right or remedy hereby provided by law, but each shall be
cumulative in, and in addition to, every other right or remedy given herein or
hereafter existing at law, in equity, or by statute.
h. Governing Law. This Agreement shall be deemed to have been made and
accepted in Le Sueur County, Minnesota, and the laws of the State of Minnesota
shall govern any interpretations or constructions of the Agreement without regard
to its choice of law or conflict of laws principles.
i. Data Practices. The parties acknowledge that this Agreement is subject to the
requirements of Minnesota’s Government Data Practices Act, Minnesota Statutes,
Section 13.01 et seq.
j. No Waiver. Any party’s failure in any one or more instances to insist upon strict
performance of any of the terms and conditions of this Agreement or to exercise
any right herein conferred shall not be construed as a waiver or relinquishment of
that right or of that party’s right to assert or rely upon the terms and conditions of
this Agreement. Any express waiver of a term of this Agreement shall not be

binding and effective unless made in writing and properly executed by the
waiving party.
k. Severability. The invalidity or unenforceability of any provision of this
Agreement shall not affect the validity or enforceability of any other provision.
Any invalid or unenforceable provision shall be deemed severed from this
Agreement to the extent of its invalidity or unenforceability, and this Agreement
shall be construed and enforced as if the Agreement did not contain that particular
provision to the extent of its invalidity or unenforceability.
l. Entire Agreement. These terms and conditions constitute the entire Agreement
between the parties regarding the subject matter hereof. All discussions and
negotiations are deemed merged in this Agreement.
m. Binding Effect. This Agreement shall inure to the benefit of and be binding upon
the successors in interest of all parties. Owner shall notify any successor to
Owner's interest in the Property of the existence and terms of this Agreement.
n. Headings and Captions. Headings and captions contained in this Agreement are
for convenience only and are not intended to alter any of the provisions of this
Agreement and shall not be used for the interpretation of the validity of the
Agreement or any provision hereof.
o. Survivability. All covenants, indemnities, guarantees, releases, representations
and warranties by any party, and any undischarged obligations of the County and
Owner arising prior to the expiration of this Agreement (whether by completion
or earlier termination), shall survive such expiration.
p. Execution. This Agreement may be executed simultaneously in two or more
counterparts that, when taken together, shall be deemed an original and constitute
one and the same document. The signature of any party to the counterpart shall be
deemed a signature to the Agreement, and may be appended to, any other
counterpart. Facsimile and email transmissions of executed signature pages shall
be deemed as originals and sufficient to bind the executing party.

Professional
Services Agreement Well Sealing
THIS AGREEMENT is made and entered into by and between the County of Le Sueur, State of
Minnesota (County), through Environmental Services, (Department), located at 88 S Park Ave,
Le Center, MN 56057, and Bohn Well Drilling Company, (Contractor), located at 18190 Dairy
Lane, Suite 101, Jordan, MN 55352, to complete the scope of services listed in Appendix A that
will take place at 1200 Commerce St, Le Sueur, MN 56058.
RECITALS
WHEREAS, the County, through the Department, wishes to purchase the services of Contractor
for an industrial well sealing project; and
WHEREAS, there are state grant funds available for purchase of these services;
NOW, THEREFORE, in consideration of the mutual undertakings and agreements hereinafter
set forth, the County, through the Department, and the Contractor agree as follows:
1) Term. The Contractor agrees to furnish services on behalf of the County and the Owner
during until such time as the project is completed and when state grant funds have paid
all costs incurred for the project. The expiration date of this agreement must abide by the
timeline requirements of the state grant agreement. The anticipated project completion
date is December 31, 2027.
2) Scope of Services. A detailed summary of the scope of services and project costs are
provided in Appendix A. The estimated total cost of the project is $69,962.75
3) Amendment to Project Scope and Costs. The scope of work and total costs of the
project may change due to unforeseen circumstances. The additional work that may be
needed should only be pursued if it is required to be completed in order to meet the
Minnesota Department of Health’s standards for properly sealing a well. If the scope of
the project and total project costs need to be amended, the following items will be
required prior to completing the work:
a. An estimate for the additional work with justification as to why it is needed.
b. Amendment to the cost-share contract.
c. Landowner and County Board approval.
4) Payment for Services. Payment for services must be completed through a Joint Payment
process. Reimbursement will be sent after completion of services upon the presentation
of a claim in the manner provided by law for payment of claims against the County. A
cost-share voucher will need to be completed and signed by the landowner and the
contractor in order to request reimbursement. Once the cost-share voucher has been
approved by the County Board, reimbursement can take place. The reimbursement check

will need to be signed by both the landowner and the contractor. Reimbursement will
first be sent to the landowner for signature and then to the contractor for signature. Once
both parties sign, the reimbursement check may be deposited.
5) Independent Contractor Status. That at all times and for all purposes hereunder,
Contractor shall be an independent contractor and is not an employee of the County for
any purpose. No statement contained in this Agreement shall be construed so as to find
Contractor to be an employee of the County, and Contractor shall not be entitled to any of
the rights, privileges, or benefits of employees of the County of Le Sueur , including but
not limited to, workers’ compensation, health/death benefits, and indemnification for
third-party personal injury/property damage claims;
Contractor acknowledges and agrees that no withholding or deduction for State or
Federal income taxes, FICA, FUTA, or otherwise, will be made from the payments due
Contractor and that it is Contractor’s sole obligation to comply with the applicable
provisions of all Federal and State Tax laws;
Contractor shall at all times be free to exercise initiative, judgment and discretion as to
how to best perform or provide services identified herein;
Contractor is responsible for hiring sufficient workers to perform the services/duties
required by this contract, withholding their taxes, and paying all other employment tax
obligations on their behalf;
6)

Indemnification and Insurance. The Contractor agrees it will defend, indemnify and
hold harmless the Owner, it will defend, indemnify and hold harmless the County, their
officers and employees against any and all liability, loss, costs, damages and expenses,
and it will defend, indemnify and hold harmless the City, their officers and employees
against any and all liability, loss, costs, damages and expenses, which the Owner, the
County, its officers or employees, and the City, their officers or employees, may hereafter
sustain, incur, or be required to pay arising out of the Contractor's performance or failure
to adequately perform its obligations pursuant to this contract.
Contractor further agrees that in order to protect itself as well as the County and the
Owner under the indemnity provision set forth above, it will at all times during the term
of this contract keep in force:
a. A single limit or combined limit or excess umbrella general liability insurance
policy of an amount of not less than $1,500,000 for property damage arising from
one occurrence, $1,500,000 for total bodily or personal injuries or death and/or
damages arising from one occurrence. Such policy shall also include contractual
liability coverage protecting the County, its officers, agents, and employees by
specific endorsement or certificate acknowledging the contract between the
Contractor and the County, naming the County as an additional insured.
b. A single limit or combined limit or excess umbrella automobile liability insurance
policy, if applicable, covering agency-owned, non-owned, and hired vehicles used

regularly in the provision of services under this Agreement, in an amount of not
less than $1,500,000 per accident for property damage, $500,000 for bodily
injuries and/or damages to any one person, and $1,500,000 for total bodily
injuries and/or damages arising from any one accident.
c. A professional liability insurance policy covering personnel of the Contractor
while performing services under this Agreement naming the County as an
additional insured in the following amounts: $500,000 per claimant for personal
injuries, bodily injuries, death, and/or damages, and $1,500,000 for total bodily
injuries, personal injuries, death, and/or damages arising from one occurrence.
d. Workers’ Compensation insurance or assumption of work related injury risk if no
employees are hired.
Prior to the effective date of this contract, and as a condition precedent to this contract, the
Contractor will furnish the County with certificates of insurance.
7) Data Practices. All data collected, created, received, maintained, or disseminated for
any purposes by the activities of Contractor because of this contract is governed by the
Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as amended,
the Minnesota Rules implementing such act now in force or as adopted, as well as federal
regulations on data privacy.
8) Records-Availability and Retention. Pursuant to Minn. Stat. § 16C.05, subd. 5, the
Contractor agrees that the County, the State Auditor, or any of their duly authorized
representatives at any time during normal business hours and as often as they may
reasonable deem necessary, shall have access to and the right to examine, audit, excerpt,
and transcribe any books, documents, papers, records, etc., which are pertinent to the
accounting practices and procedures of the Contractor and involve transactions relating to
this Agreement.
Contractor agrees to maintain these records for a period of six years from the date of
termination of this Agreement.
9) Merger and Modification
a. It is understood and agreed that the entire Agreement between the parties is
contained here and that this Agreement supersedes all oral agreements and
negotiations between the parties relating to the subject matter. All items referred
to in this Agreement are incorporated or attached and are deemed to be part of this
Agreement.
b. Any material alterations, variations, modifications, or waivers of provisions of
this Agreement shall be valid only when they have been reduced to writing as an
amendment and signed by the parties.

10) Default and Cancellation
a)

If the Contractor fails to perform any of the provisions of this Agreement or so
fails to administer the work as to endanger the performance of the Agreement, this
shall constitute default.
Unless the Contractor's default is excused, the County, through the Department,
may, upon written notice, immediately cancel this Agreement in its entirety.

b)

This Agreement may be cancelled with or without cause by either party upon
thirty days' written notice.

11) Subcontracting and Assignment. Contractor shall not enter into any subcontract for
performance of any services contemplated tinder this Contract without the prior written
approval of the County and subject to such conditions and provisions as the County may
deem necessary. The Contractor shall be responsible for the performance of all
subcontractors.
12) Nondiscrimination. During the performance of this Agreement, the Contractor agrees to
the following: No person shall, on the grounds of race, color, religion, age, sex,
disability, marital status, public assistance status, criminal record, creed or national origin
be excluded from full employment rights in, participation in, be denied the benefits of or
be otherwise subjected to discrimination tinder any and all applicable federal and state
laws against discrimination.
