Policy: Winona County Board Ground Rules

Date Approved by County Board: February 28, 2023
Supersedes Policy Date: June 9, 2020

Policy
It is a goal of Winona County to foster open and transparent government. These Ground Rules provide
guidance in the management of public meetings and related activities conducted on behalf of Winona
County and its affiliates. The rules adopted herein provide a framework within which to share topics and
opinions in a civil, fair, and equitable manner.
These rules apply to Winona County Commissioners, appointed officials, meeting attendees and others
herein mentioned. This policy and these rules promote decorum and foster smooth operation of the
County’s public meetings.
A. Meeting Decorum
1. All cell phones and other electronic devices that have the potential to disrupt the meeting must be
turned off or on silent.
2. All attendees will adhere to Winona County’s Respectful Workplace Policy.
3. Except for the public comment section of the agenda or unless there is a published public hearing,
audience members cannot speak unless asked a direct question. Board members will not
circumvent this rule by asking non-specific questions. Members of the public may only speak at a
public County Board meeting after being recognized by the Chairperson and after stating their
name and city or township of residence. Comments are limited to two minutes unless otherwise
determined by the County Board. Advisory committees do not need to allow public comments
unless desired, however, should public comments be allowed, the same rules and procedures for
public comments session will apply to all board meetings and advisory committee meetings.
4. Board members will not engage in debate with the public. All participants in the meeting should
respect the rights of others when speaking and refrain from talking over each other or speaking at
the same time.
5. During the County Board Meetings, County Board members, the County Attorney, and County
Administrator must raise their hand to be recognized and to speak, except for motions and
seconds. The County Attorney and County Administrator may take part in any discussion but shall
not vote.
6. Unless otherwise authorized by the County Board or required by statute, these rules, and Robert’s
Rules of Order (see Appendix B, Ladder of Motions) will serve as the model for conducting
meetings. Where conflicts exist between Robert’s Rules and this policy, this policy shall prevail.
7. Appendix A, Summary of Motions, provides a detailed list of motion types, definitions, voting
requirements and procedures to be followed during public meetings.
County Board Agenda Packet, Page 3

Page 4 of 99

8. Policy decisions shall not be revisited for a one (1) year period unless the situation or circumstance
change substantially, and a four-fifths majority of the County Board agrees to reopen the policy for
discussion.
B. Agendas
1. The County Administrator prepares and places items on County Board public meeting agendas.
Public meeting notices must be reviewed by the County Administrator’s office before public
release.
2. Any two (2) Commissioners can request an item be added to the Committee of the Board meeting
by each Commissioner sending an email to the County Administrator or verbally requesting during
a County Board meeting. A Commissioner can discuss an item outside of a County Board meeting
with only one other Commissioner. The Committee of the Board is a standing meeting on the same
day of each regular County Board meeting, occurs after the morning meeting and before the night
meeting, last no more than one (1) hour, no formal decisions can be made, and if a majority of the
Board wishes to move the item forward it would come back to the next regular Board meeting.
3. Agenda items should be limited to legislative actions, quasi-judicial decisions, policy discussions,
or informational presentations or reports.
4. All agendas will include the County Board Ground Rules and the Respectful Workplace policy.
C. Role of the Chairperson
1. The role of the Chairperson is to preside over meetings of the County Board, facilitate courteous
discussion and conduct the County Board’s business in an orderly fashion. When the group is not
in session, the Chairperson’s duties include acting as the head of the County Board, its
representative to the outside world and its spokesperson.
2. The Chairperson may sign documents approved by the County Board on their behalf. The
Chairperson may also sign documents of a ceremonial nature on behalf of the County Board.
3. While respecting the right of the Chairperson to express their views, the Chairperson should seek
to move the discussion forward by finding common ground among the varying views of the
Commissioners where possible and promote civil resolution of differences.
4. The Chairperson may participate in discussion just as any other board member and may also make
motions and vote on all questions. The County Board Chairperson shall vote on all questions
before the Board unless there is a conflict of interest, in which case the Chairperson must abstain
or recuse himself/herself. The County Board Chair shall cast the last vote on all questions unless it
is a voice vote. The Chairperson should not use the chair position as a means to stifle debate.
5. The Chair is responsible for facilitating discussion by recognizing speakers in order based on the
sequence of when the Chair observes the raising of their hand. The Chairperson may voice their
opinion just as any other board member but must wait and speak last to any issue.
6. If the Chair makes a motion or seconds a motion, the Chair must pass the gavel to the Vice Chair
unless the Vice Chair seconded the motion in which case the gavel will be passed to the next
senior Commissioner. The gavel is passed for discussion of the motion and taking a vote on the
motion. The gavel will be returned to the Chair once a vote is taken on the motion.
7. All Public Hearings open with a motion and close with a motion.
8. Commissioners will refer to each other in Board Meeting as Commissioner (last name), but at
Committee of the Board, the use of first names is permissible.
County Board Agenda Packet, Page 4

Page 5 of 99

D. Management
1. Individual Commissioners are not to direct employee(s).
2. Commissioners set policy and should not micro-manage.
3. All inquiries for information (other than simple requests) go through Administration. The
expectation is that the County Administrator will respond within one to two business days.
4. Commissioners and the County Administrator will attempt to keep everyone informed and work
toward good communication using caution not to violate the open meeting laws.
5. Commissioners will not pressure or otherwise seek to persuade staff to promote their agenda. Staff
shall be neutral in the performance of their job duties and seek to assist elected officials equally
and on a non-partisan basis. This provision does not restrict the rights of employees in the exercise
of their personal beliefs when not acting in their official capacity as County employees.
6. When a staff member believes a potential conflict of interest exists involving individual gain, it is
the employee’s duty to avoid any situation which he/she believes has the potential for a conflict of
interest.
7. Staff should follow the chain of command and try to resolve issues at the lowest level possible.
E. Modification and Scope
1. Modifications, additions, or deletions to this policy may be proposed at any meeting (special or
regular) of the Commissioners but cannot be voted on until the next regular County Board
meeting. A simple majority is needed to modify, add or delete rules at that time.
2. Commissioners should respectfully remind each other and Administration if they observe a breach
of these ground rules.
3. Commissioners should be deliberate in making a distinction between their view and that of the
County Board. Caution should be exercised when using the title in a public setting, as it tends to
foster the belief that the entire Board supports the speaker’s action or viewpoint. When speaking in
public, Commissioners should disclose their title and indicate whether they are speaking in an
official or non-official capacity.
F. Goals
1. The County Board will set goals annually as part of the Strategic Planning process. Administration
and all departments will work to support and facilitate the accomplishment of the County Board’s
goals by establishing annual goals in alignment with those of the County Board.
2. County Board overarching goals will be prominently displayed in the agenda of County Board
public meetings.
This policy supersedes all previous policies of the same nature. Where any policy adopted by the County
Board or otherwise enacted by the County conflicts with this policy, this policy shall govern.

CAPITAL IMPROVEMENT AND CAPITAL REPLACEMENT FUND POLICY
Responsible Department: Finance/County Administration
Approved By: Winona County Board of Commissioners
SECTION 1. PURPOSE
The purpose of this Capital Improvement and Capital Replacement Fund Policy ("Policy") is to
establish a long-term, disciplined, and financially sustainable process for identifying, prioritizing,
funding, and managing capital improvements and capital asset replacements for Winona County.
The policy is intended to ensure that the County:
1. Preserves and maintains public assets necessary to provide County services;
2. Plans for capital expenditures before assets reach failure or become substantially more
expensive to replace;
3. Provides a predictable and recurring source of funding for capital needs;
4. Reduces reliance on emergency appropriations, unplanned tax increases, or excessive
borrowing;
5. Promotes equitable allocation of capital costs across the useful life of public assets;
6. Coordinates capital expenditure with the County's long-term financial plan;
7. Maintains sufficient reserves for known and reasonably foreseeable capital replacement
needs;
8. Uses objective criteria to prioritize competing capital requests;
9. Identifies the full life-cycle cost of capital projects, including future operations and
maintenance; and
10. Provides transparency to the County Board, taxpayers, and residents regarding the
County's capital needs and the resources available to meet them.
This Policy is intended to complement, and not replace, applicable Minnesota statutes, County
ordinances, financial policies, accounting standards, bond covenants, grant requirements, and
other legal requirements.
SECTION 2. STATUTORY AUTHORITY
Minnesota Statutes § 373.40 authorizes counties to adopt a capital improvement plan covering at
least five years. The statute requires the plan to identify the estimated schedule, timing, details,
cost, need, and revenue sources for specific capital improvements. It further identifies
infrastructure condition, demand, available resources, debt, alternative uses of funds, operating
costs, and opportunities for shared facilities as factors the County Board must consider.
Minnesota Statutes § 373.40 also establishes procedures and limitations applicable to certain
capital improvement bonds. This Policy does not independently authorize the issuance of debt.
Any proposed borrowing shall comply with applicable Minnesota law and shall be separately

County Board Agenda Packet, Page 19

Page 20 of 99

reviewed by the County's Finance Department, bond counsel, County Attorney, and other
appropriate advisors.
Where this Policy conflicts with applicable law, applicable law shall control.
SECTION 3. DEFINITIONS
3.1 Capital Improvement
A Capital Improvement is an expenditure for the acquisition, construction, major rehabilitation,
expansion, or replacement of a county asset that has a useful life generally exceeding five years
and meets applicable County capitalization requirements.
Examples may include:

County buildings;

major building systems;

roofs;

HVAC systems;

roads and bridges;

public works facilities;

parks and major park infrastructure;

major vehicles and equipment;

information technology infrastructure;

records and data infrastructure;

major security systems;

land acquisition;

major renovations;

energy and efficiency improvements; and

other long-lived assets designated by the County Board.

Minnesota's capital improvement statute similarly uses a five-year expected useful life threshold
for capital improvements qualifying under that statute.
3.2 Capital Replacement
A Capital Replacement is the planned replacement of an existing County asset when the asset
has reached, or is approaching, the end of its useful life or when replacement is more
economically appropriate than continued repair.
3.3 Capital Improvement Program

County Board Agenda Packet, Page 20

Page 21 of 99

The Capital Improvement Program ("CIP") is the County's formally adopted multi-year schedule
of capital projects, including project timing, estimated costs, priorities, funding sources, and
anticipated operating impacts.
3.4 Capital Fund
The Capital Improvement and Capital Replacement Fund ("Capital Fund") is the County fund
established to accumulate and expend resources for eligible capital improvements and capital
replacements.
3.5 Cash-Funded Capital Need
A Cash-Funded Capital Need is the portion of planned capital expenditure expected to be funded
from current or accumulated County resources rather than debt, grants, reimbursements, or other
dedicated external sources.
3.6 Annual Capital Contribution
The Annual Capital Contribution is the recurring amount appropriated or transferred to the
Capital Fund through the County's annual budget and property tax levy process.
SECTION 4. CAPITAL PLANNING HORIZON
Winona County shall maintain:
A. Ten-Year Capital Needs Forecast
A ten-year forecast shall identify anticipated capital replacement and improvement needs,
whether or not sufficient funding currently exists.
B. Five-Year Capital Improvement Program
The first five years of the ten-year forecast shall constitute the County's formal CIP.
The CIP shall be updated annually.
The County's statutory CIP shall meet the requirements of Minnesota Statutes § 373.40,
including identification of project timing, cost, need, and revenue sources.
C. Annual Capital Budget
The County shall establish an annual capital budget identifying the projects authorized for the
upcoming fiscal year and the resources available to fund them.
SECTION 5. CAPITAL IMPROVEMENT AND REPLACEMENT FUND
5.1 Establishment
Winona County shall maintain a Capital Improvement and Capital Replacement Fund for the
purpose of accumulating and expending resources for approved capital needs.
The Capital Fund shall be managed as a long-term capital reserve, not as a temporary holding
account.
5.2 Eligible Uses

County Board Agenda Packet, Page 21

Page 22 of 99

Capital Fund resources may be used for:

acquisition of capital assets;

construction;

major renovation;

major rehabilitation;

capital replacement;

project design and engineering;

architectural and professional services associated with capital projects;

major equipment;

capital project contingencies;

land acquisition;

technology infrastructure;

other eligible capital expenditures approved by the County Board.

5.3 Prohibited Routine Uses
The Capital Fund should not routinely be used for:

ordinary salaries;

routine supplies;

normal operating costs;

ordinary maintenance;

recurring contractual services;

routine repairs that do not materially extend useful life; or

ongoing departmental operating programs.

The County Administrator or Finance Director may determine whether the proposed expenditure
constitutes an eligible capital expenditure, subject to review by the County Board when
appropriate.
SECTION 6. RECURRING ANNUAL CAPITAL LEVY
6.1 Policy
Winona County shall establish a recurring annual property-tax-supported contribution to the
Capital Fund as part of the annual budget and levy process.
The County shall not rely solely upon an annual "replenishment" of the Fund when the balance
becomes low.

County Board Agenda Packet, Page 22

Page 23 of 99

The recurring contribution is intended to provide predictable, sustainable funding for the
County's long-term capital obligations.
6.2 Annual Review
The annual contribution shall be reviewed each year based upon:
1. the five-year CIP;
2. the ten-year capital needs forecast;
3. projected capital expenditures;
4. existing Capital Fund balance;
5. the adopted reserve target;
6. expected grants and reimbursements;
7. anticipated debt financing;
8. projected inflation and construction costs;
9. asset condition;
10. the County's overall financial condition; and
11. other significant financial or operational factors.
6.3 No Permanent Fixed Dollar Amount
The County Board should not establish a permanently fixed dollar contribution that is unrelated
to actual capital needs.
Instead, the County shall establish a recurring annual contribution that is calculated and reviewed
annually.
This allows the levy to increase when capital needs increase and decrease when the County is
sufficiently funded.
SECTION 7. ANNUAL CAPITAL LEVY FORMULA
The following formula shall be used by the Finance Department as the starting point for
determining the recommended annual Capital Fund contribution.
Formula
Annual Capital Contribution =
10-Year Average Annual Cash-Funded Capital Need
+ Reserve Target Adjustment
− Recurring Non-Levy Capital Revenue
− Other Dedicated Capital Funding

County Board Agenda Packet, Page 23

Page 24 of 99

± Approved Capital Funding Adjustments
7.1 Ten-Year Average Annual Cash-Funded Capital Need
Finance shall calculate the average annual capital requirement over the ten-year planning period
after excluding reasonably anticipated:

grants;

state or federal reimbursements;

dedicated fees;

bond proceeds;

other restricted revenue;

one-time extraordinary revenue.

This calculation is intended to smooth fluctuations between years.
For example:
Year

Cash-Funded Need

Year 1 $1,000,000
Year 2 $1,500,000
Year 3 $2,000,000
Year 4 $1,000,000
Year 5 $2,500,000
Year 6 $1,500,000
Year 7 $2,000,000
Year 8 $1,500,000
Year 9 $2,500,000
Year 10 $2,000,000
Total

$17,500,000

Average annual need:
$17,500,000 ÷ 10 = $1,750,000
The starting point for the recurring capital contribution would therefore be approximately $1.75
million annually, before considering the reserve adjustment and other funding.
SECTION 8. CAPITAL FUND RESERVE TARGET

County Board Agenda Packet, Page 24

Page 25 of 99

Winona County should maintain a reserve sufficient to absorb normal fluctuations in capital
expenditure without requiring emergency tax increases.
8.1 Minimum Reserve
The Capital Fund should generally maintain a minimum unrestricted balance equal to:
One year of average annual cash-funded capital expenditures.
8.2 Target Reserve
The recommended policy target is:
Two years of average annual cash-funded capital expenditures.
8.3 Maximum Working Reserve
A balance greater than:
Three years of average annual cash-funded capital expenditure should generally trigger a review
of whether the County should:

accelerate capital projects;

reduce the following year's capital contribution;

address deferred maintenance;

fund additional capital needs; or

use excess resources for another legally appropriate capital purpose.

This is a policy target, not a mandatory spending rule. A higher balance may be appropriate
when the County has an identified major project within the CIP.
SECTION 9. EXAMPLES OF RESERVE TARGETS AND ANNUAL FUNDING
Assuming no other information is available:
Average Annual Cash
Capital Need

Years

$6,000,000

$3,000,000

$3,000,000

$6,000,000

$9,000,000

Example A — $1 Million Annual Need
If Winona County's long-term cash-funded capital need averages $1 million per year, the target
Capital Fund balance would be approximately:
$1 million × 2 = $2 million.

County Board Agenda Packet, Page 25

Page 26 of 99

Once the target is funded and assuming $1 million of annual capital expenditures, the recurring
annual contribution would generally be approximately $1 million, adjusted for grants, other
capital revenue, inflation, and changes in the CIP.
Example B - $2 Million Annual Need
At $2 million per year, the target reserve would be:
$2 million × 2 = $4 million.
A recurring annual contribution of approximately $2 million would generally be appropriate
once the target reserve is established, subject to the annual CIP analysis.
Example C - $3 Million Annual Need
At $3 million per year, the target reserve would be:
$3 million × 2 = $6 million.
The recurring annual contribution would generally be approximately $3 million once the target
reserve is established.
SECTION 10. CATCH-UP FUNDING
The County may be below its target reserve when this Policy is adopted or when capital needs
materially increase.
In that circumstance, Finance shall calculate a Reserve Catch-Up Adjustment.
Formula
Reserve Catch-Up Adjustment =
Target Reserve − Projected Beginning Capital Fund Balance
divided by
Catch-Up Period
The recommended catch-up period is three to five years, unless the County Board determines
another period is appropriate.
Example
Suppose:

Average annual capital need = $2 million;

Target reserve = $4 million;

Beginning Capital Fund = $1 million;

Reserve shortfall = $3 million.

If the County chooses a five-year catch-up:
$3 million ÷ 5 = $600,000 annual catch-up contribution.

County Board Agenda Packet, Page 26

Page 27 of 99

Therefore:
$2,000,000 base contribution
+ $600,000 catch-up
= $2,600,000 recommended annual contribution.
Once the reserve reaches the target, the $600,000 catch-up component would normally expire.
This approach avoids forcing taxpayers to fund an entire historic capital shortfall in a single year.
SECTION 11. PROJECT PRIORITIZATION
All significant capital requests shall be evaluated using a standardized scoring system.
Capital Project Scoring Matrix — 100 Points

11.1 Life Safety/Legal - 20 points
Projects receive higher scores when necessary to:

protect life;

address significant public safety risks;

meet legal requirements;

comply with regulatory requirements; or

correct a significant code deficiency.

11.2 Asset Condition - 20 points
Consider:

current condition;

Page 28 of 99

remaining useful life;

probability of failure;

consequences of failure;

availability of replacement parts;

increasing maintenance costs.

11.3 Essential Services - 15 points
Consider the effect of failure or delay on:

public safety;

public health;

statutory County services;

emergency response;

continuity of government operations.

11.4 Cost of Deferral - 15 points
Projects should receive higher scores where delay is likely to result in:

substantially higher construction costs;

greater deterioration;

emergency replacement;

service disruption;

loss of grant opportunities.

11.5 Financial Efficiency - 10 points
Consider:

operating savings;

maintenance savings;

energy savings;

avoided costs;

Life-cycle cost.

11.6 Strategic Alignment - 10 points
Consider whether the project advances adopted County strategic priorities.
11.7 Outside Funding - 5 points
Projects with reasonably available grants or other outside funding may receive additional points.

County Board Agenda Packet, Page 28

Page 29 of 99

Grant availability should not, however, cause the County to undertake an otherwise unjustified
project.
11.8 Sustainability - 5 points
Consider:

energy efficiency;

emissions reduction;

resilience;

resource conservation;

environmental benefits.

SECTION 12. PROJECT PRIORITY CATEGORIES
After scoring, projects shall generally be classified as:
Tier 1 - Critical
80–100 points
Projects necessary to protect life, maintain essential services, address major asset failure, or
satisfy legal requirements.
Tier 2 - High Priority
65–79 points
Projects necessary to preserve assets, prevent significant deterioration, or avoid substantial future
costs.
Tier 3 - Moderate Priority
50–64 points
Projects that improve efficiency, service delivery, or strategic objectives.
Tier 4 - Discretionary
Below 50 points
Projects that may be desirable but can generally be deferred if adequate funding is not available.
The score is an aid to decision-making and does not eliminate County Board discretion.
SECTION 13. LIFE-CYCLE COST ANALYSIS
Significant capital projects should be evaluated on a life-cycle basis.
The County should consider:
Initial Cost
+ Financing Cost

County Board Agenda Packet, Page 29

Page 30 of 99

+ Expected Maintenance
+ Utilities
+ Staffing/Operating Impact
+ Future Replacement Cost
− Grants/Other Revenue
= Estimated Life-Cycle Cost
A project with a lower initial cost should not automatically be selected if it creates substantially
greater long-term operating or replacement costs.
SECTION 14. CAPITAL PROJECT FUNDING SOURCES
Capital projects may be financed through:
1. Capital Fund cash;
2. annual property tax levy;
3. grants;
4. state or federal funding;
5. dedicated fees;
6. intergovernmental contributions;
7. bond proceeds;
8. other legally available funds;
9. a combination of the above.
The County should generally prioritize cash funding for shorter-lived or smaller capital
replacements and consider debt for appropriately long-lived, major capital assets where
intergenerational financing is justified.
Any proposed debt financing must be separately evaluated for legal authority, affordability,
repayment capacity, and compliance with applicable Minnesota law. Minnesota Statutes §
373.40 contains specific requirements for bonds issued under an approved CIP.
SECTION 15. CAPITAL FUNDING GAP
Each annual CIP shall identify the County's:
A. Funded Capital Needs
Projects for which sufficient funding is reasonably available.
B. Partially Funded Needs
Projects for which some but not all funding is identified.

County Board Agenda Packet, Page 30

Page 31 of 99

C. Unfunded Capital Needs
Projects included in the long-term plan for which adequate funding is not currently identified.
The County shall publish the estimated five-year and ten-year unfunded capital need annually.
This is important because a capital reserve should not be judged solely by its current balance. A
$5 million reserve may be inadequate if the County has $25 million of known capital obligations
approaching within the planning period.
SECTION 16. ANNUAL CAPITAL PLANNING PROCESS
The County shall follow an annual capital planning cycle substantially as follows:
January–March
Departments:

inspect assets;

update condition assessments;

identify replacement needs;

update project costs;

identify grants;

complete CIP worksheets.

April–May
Finance/Administration:

compile departmental requests;

update the ten-year capital forecast;

calculate the Capital Fund reserve position;

calculate the preliminary annual contribution;

rank projects.

June–July
County Board:

reviews priorities;

reviews funding alternatives;

evaluates tax implications;

identifies projects for the proposed CIP.

August

County Board Agenda Packet, Page 31

Page 32 of 99

The proposed CIP and capital budget are incorporated into the County's annual budget process.
Fall/Winter
The County Board considers and adopts the CIP and annual budget consistent with applicable
law.
Where Minnesota Statutes § 373.40 applies, the statutory CIP and amendments shall be handled
in accordance with its public-hearing and approval requirements.
SECTION 17. ANNUAL CAPITAL FUND REPORT
The Finance Department shall provide an annual report to the County Board containing at least:
Capital Fund

beginning balance;

annual levy contribution;

other revenues;

expenditures;

transfers;

ending balance.

CIP

projects completed;

projects underway;

projects deferred;

SECTION 18. BOARD OVERSIGHT
The County Board retains final authority over:

adoption of the CIP;

annual capital appropriations;

annual levy;

Capital Fund transfers;

major project authorization;

debt issuance;

amendments to this Policy.

The County Administrator and Finance Department are responsible for implementing the Policy
and presenting recommendations to the County Board.
SECTION 19. EMERGENCY CAPITAL EXPENDITURES
Emergency capital expenditures may be authorized when necessary to:

protect life or safety;

prevent substantial property damage;

maintain essential County services; or

respond to an unforeseen failure of critical infrastructure.

The County Administrator shall report emergency capital expenditures to the County Board at
the earliest practical opportunity.
An emergency project shall be incorporated into the next CIP update.
SECTION 20. POLICY REVIEW
This Policy shall be reviewed at least every three years, or sooner if:

major changes occur in Minnesota law;

the County adopts a new strategic plan;

significant capital needs emerge;

the County undertakes a major capital project;

financial conditions materially change; or

County Board Agenda Packet, Page 33

Page 34 of 99

the County Board determines that revision is appropriate.

SECTION 21. BOARD POLICY ON ANNUAL LEVY
The County shall make a recurring annual contribution to the Capital Improvement and Capital
Replacement Fund through the annual property tax levy and budget process. The annual
contribution shall be calculated using the County's ten-year cash-funded capital needs, the
adopted Capital Fund reserve target, projected Fund balance, anticipated non-levy capital
revenues, and the approved five-year Capital Improvement Program.
The annual contribution shall be reviewed and established each year and shall not be a
permanently fixed dollar amount. The County Board may increase, decrease, or temporarily
modify the contribution when supported by the County's long-term capital and financial analysis.
The objective of the annual contribution shall be to provide sustainable funding for capital needs
while maintaining the Capital Fund at a level sufficient to absorb normal variations in capital
expenditures and avoid unnecessary emergency tax increases or borrowing.

APPENDIX C
EXAMPLE OF A 10-YEAR CAPITAL FUNDING PLAN
For illustration, assume Winona County identifies the following average cash-funded needs:
Scenario

Average Annual
Need

Target Reserve

Suggested Recurring Annual
Contribution*

Low

$1,000,000

$2,000,000

~$1,000,000

Moderate $2,000,000

$4,000,000

~$2,000,000

High

$6,000,000

~$3,000,000

$3,000,000

*Assumes the target reserve has already been established and that other capital revenues, major
one-time projects, inflation adjustments, and catch-up requirements do not materially alter the
calculation.
If the County is below its reserve target, the contribution should temporarily be higher.
For example:
$2 Million Annual Need
Target reserve:
$2M × 2 = $4M
Current reserve:
$1M
Shortfall:
$3M
Five-year catch-up:
$3M ÷ 5 = $600,000
Base annual contribution:
$2,000,000
Catch-up:
+$600,000
Recommended temporary annual contribution:
$2,600,000
After the reserve reaches the $4 million target, the $600,000 catch-up component would
normally end, returning the recurring contribution toward approximately $2 million, subject to
the updated CIP.

APPENDIX D
BOARD RESOLUTION NO. _________
Establish a Capital Improvement and Capital Replacement Fund and Adopting a Capital
Planning Policy
WHEREAS, Winona County has a responsibility to maintain and preserve the public assets
necessary to provide County services; and
WHEREAS, prudent financial management requires the County to plan for capital acquisition,
major rehabilitation, and eventual replacement before assets fail or become substantially more
expensive to replace; and
WHEREAS, Minnesota Statutes § 373.40 authorizes counties to adopt capital improvement
plans covering at least five years and establishes requirements concerning the identification,
timing, cost, need, and financing of capital improvements; and
WHEREAS, the County Board recognizes that a recurring and predictable source of capital
funding is preferable to relying solely upon emergency appropriations or discretionary
replenishment of capital reserves; and
WHEREAS, the County Board further recognizes that the appropriate annual capital
contribution should be based upon long-term capital needs rather than an arbitrary fixed dollar
amount; and
NOW, THEREFORE, BE IT RESOLVED, that the Winona County Board of Commissioners
hereby establishes the Winona County Capital Improvement and Capital Replacement Fund; and
BE IT FURTHER RESOLVED, that the County shall maintain a ten-year capital needs
forecast and a minimum five-year Capital Improvement Program; and
BE IT FURTHER RESOLVED, that the County shall make a recurring annual contribution to
the Capital Fund through the annual budget and property tax levy process; and
BE IT FURTHER RESOLVED, that the annual contribution shall be calculated with reference
to the County's ten-year average cash-funded capital needs, adopted Capital Fund reserve target,
projected Fund balance, anticipated grants and other capital revenues, and adopted Capital
Improvement Program; and
BE IT FURTHER RESOLVED, that the County's policy target for the Capital Fund shall
generally be a balance equal to approximately two years of average annual cash-funded capital
expenditures, with a minimum target of one year and a review threshold at three years; and
BE IT FURTHER RESOLVED, that the annual capital contribution may be increased,
decreased, or temporarily modified by the County Board based upon the annual capital and
financial analysis; and
BE IT FURTHER RESOLVED, that the County Administrator and Finance Department shall
present an annual Capital Fund and Capital Improvement Program report to the County Board;

Approve Additional $30,000 from Fund 42 for 2026 Plow Truck Replacements

======================================================================
Background:
The 2026 budget includes replacement of two snowplow trucks. The purchase was approved by the county board in
two stages, with an April 14, 2026 approval of two truck chassis from DeBauche Truck & Diesel, Inc. of La Crosse
for $119,430 each after $30,000 trade-in; and a July 14, 2026 approval of two dump box and snowplow packages
from Universal Truck Equipment Inc. of Galesville WI for $196,708 each.
Plow truck unit 1301, which had been designated for trade-in, had a catastrophic engine failure on July 28, 2026, and
is no longer an acceptable trade. The truck was being driven on Highway 14 near Farmers Park with nothing out of
the ordinary, when the driver heard a “bang” and the oil pressure went to zero. It was driven to the side of the road as
quickly as possible and shut off. The unit was towed to DeBauche in La Crosse, where it remains as of this writing.
The damage appears to have originated in the oil pump gear, with metal shards being distributed with the oil to other
areas of the engine and quickly rendering it unrepairable.
There is nothing in this truck’s maintenance history to explain or predict this engine failure. Neither the county’s
senior mechanic, who has over 20 years of experience, nor the service manager at DeBauche has ever seen an engine
failure like this. All evidence suggests this is a one-off occurrence.
Replacing the engine is not feasible. Replacement with a factory remanufactured engine at an estimated cost of
$48,500 would exceed the trade-in value. Replacement with a used engine from a salvage yard, at an estimated cost
of $26,500, is not feasible because DeBauche will no longer pay $30,000 trade-in for a truck with a questionable
engine of unknown history.
A salvage yard offered $3,100 for the truck. However, retaining it for parts is more cost-effective. We tabulated the
truck has over $45,000 in salvageable parts compared to buying them new. While we won’t need everything, we will
easily use more than $3,100 worth of components over the next few years. The remainder can then be sold for scrap.
Insurance on the truck through MCIT does not cover mechanical breakdown.

Summary of the Issue:
Due to a catastrophic engine failure of plow truck unit 1301, it is no longer available as a $30,000 trade-in. This
necessitates an additional $30,000 from Fund 42 to accomplish the two plow truck replacements budgeted for 2026.
Unit 1301 will be retained for parts, as this is the most cost-advantageous option. Some of the $30,000 will be
recouped over time in savings on parts, but the amount is unknown at this time.

Policy
The County Board appoints individuals to various boards, committees or commissions,
(hereinafter referred to as advisory committees) which have been established by the County
Board or pursuant to Minnesota Statute. Authority for establishment of the committees is
prescribed in Minnesota Statutes and in Board policy. The County Administrator will maintain a
complete list of committees and their underlying source of creation.
The current list of citizen advisory committees is:

Role and Purpose of Committees
Each committee serves a statutory, policy, or operational purpose with Winona County. Each
committee has specific staff assigned and designated to support its function. The function and
reporting relationship to the Board varies from committee to committee.
Committees are established to serve a variety of functions. The fundamental purposes for
utilizing committees in support of County Government are:
1.
2.
3.
4.
5.

To involve members of the public in the decision making process.
To meet requirements of state law.
To ask residents to help define community standards and norms.
To provide technical expertise in certain areas.
To provide an independent sounding board for issues, ideas, and policy matters.

Operating Procedures
The process for recruiting applicants to serve on advisory committees is established by the
County Administrator. The recruitment process shall take place annually, during the months of

November and December. The actual appointments are made by the County Board or, in the
case of the Planning Commission, the County Board Chair, with the advice of the County Board
as specified in the Winona County Zoning Ordinance.
Individuals appointed by the Board to certain advisory committees receive a per diem
reimbursement (established by County Board resolution annually) for attendance at regular or
special meetings of such advisory committees unless otherwise stated by the County Board.
Individuals appointed by the Board to advisory Committees may be eligible for reimbursement
of travel expenses as outlined in Policy 3.08 Travel Expenses and Reimbursements.
Anyone seeking appointment or reappointment must formally communicate their intention prior
to the deadline established by the County Administrator each year. An official application will
be made available by the County Administrator and must be completed for members whose
terms are expiring and wish to be reappointed as well as any applicants currently not serving on a
County advisory committee who wish to be considered for appointment.
Attendance Policy
An appointee who is absent for three consecutive meetings or 50% of the meetings in a 12 month
period may forfeit membership on the committee. If the County Board removes a member who
has violated this section of the policy the position becomes vacant until the County Board takes
action to fill the vacancy. The County Board may consider the desire of the member to continue
serving, any mitigating circumstances for the absences, and the recommendation of the
committee chair and whether notice was given in advance of the absences in determining if the
member should be removed from the committee. The County Board reserves the right to remove
a committee member for violation of the attendance policy regardless of the circumstances if
they so choose.
Where an “individual or his/her designee” is appointed to a committee, either person may be
noted as present. If an appointee will be absent from a meeting, he/she cannot send someone to
vote in his/her place unless the appointment also included “or his/her designee.” When an
appointee does not have an approved “designee” and the appointee sends someone to take the
appointee’s place at a meeting, the appointee will be marked as absent.
This may vary by Committee and at County Board discretion.
County staff is to notify the County Administrator if an appointee has excessive absences, in
accordance with this policy. The County Administrator, after consulting with the Board Member
from the district of the appointee or with all members in case of an at-large appointment, notifies
the appointee (in writing) that he/she has missed three meetings and has forfeited membership on

the committee. Solicitation of applicants for filling vacancies as a result of removal of an
appointee is handled through an open application process, directed by the County Administrator.
An individual who has been removed may be reinstated as a member upon recommendation by a
Board member and approval of the County Board.
Appointment Process
Appointments to the Planning Commission and Board of Adjustment will be done in accordance
with the Winona County Zoning Ordinance.
With the exception of the liaison from the Board of Adjustment to the Planning Commission, the
County Chair will appoint the Planning Commission prior to all other advisory committee
appointments being appointed by the County Board.
Following the appointment of the Planning Commission, the County Board Chair, with the input
from the Board of Adjustment, shall name one member of the Board of Adjustment to be a
member of the Planning Commission.
With the exception of the Planning Commission, all members of advisory committees whose
term is expiring will be considered before any new applicants for reappointment to their
respective committees. If the member wishes to serve on another committee they will be treated
as a new applicant.
New applicants who meet committee requirements and who meet the first advertising deadline
will be appointed unless there are more applicants available than positions to fill on any one
advisory committee. In that event, consensus of the County Board will be the primary selection
criteria.
An applicant not appointed to a committee may be appointed to another committee in which they
have expressed official interest once all members with expiring terms who seek reappointment
are reappointed and when the pool of initial applicants for the committee have been exhausted.
Notwithstanding the Board of Adjustment liaison to the Planning Commission, an individual will
not serve on more than one committee.
Residency Requirements
In the absence of specific legislation required to the contrary, County Board appointees to
advisory committees are required to forfeit the appointment upon failure to maintain a principal
residence within Winona County. In accordance with the Winona County Zoning Ordinance,
appointees to the Planning Commission and Board of Adjustment may be required to forfeit their

appointment if they fail to maintain their principal residence in the county locations where they
resided when they were appointed. An appointee to an advisory committee is responsible for
notifying the County Administrator if their principal residency is changed.
Resignations
Resignations should be submitted to the County Administrator. The County Administrator will
advise the County Board of all resignations.
Removal
Appointees to committees are subject to the provisions of the Winona County Respectful
Workplace Policy, Section 6.30. The Winona County Board reserves the right to remove any
committee member found in violation of this policy.
Notification
County staff shall inform all appointees to committees at the initial yearly meeting, or at the first
meeting attended by a member, of the contents of all applicable attendance, residency
requirements and other pertinent information needed to perform the duties of a committee
member.
Terms
The terms of appointees to various committees are for one, two, or three years and vary per
committee pursuant to Minnesota Statute and Board policy. No appointee shall serve more than
three consecutive terms or six years, whichever is less.
Reporting Requirements
The Committees report their activities to the County Board or the appropriate Board Committee
as needed or on a periodic basis.

This policy has been established to provide order and stability to the advisory committee
appointment process, however, the County Board Chair and County Board reserve the right to
not reappoint members or appoint new applicants for any reason. The County Board also
reserves the right to change this policy at any time.

Chapter 5
CHAPTER 5: ADMINISTRATION
5.1 Office of Planning Director
The Office of the Planning Director serves under the administrative
direction of the County Administrator, and directs and coordinates the
activities of the Planning Department. The office term of the Planning
Director shall be indefinite and shall terminate at the discretion of the
County Administrator.

5.1.1 Powers And Duties of Planning Director
The Planning Director shall have the following powers and duties:
1. Enforce this Ordinance through the proper legal channels.
2. Issue Development Certificates and any other permits as required
by the terms of this Ordinance.
3. Conduct inspections of the use of buildings and land to determine
compliance with the terms of this Ordinance.
4. Maintain permanent and current records of this Ordinance
including but not limited to all permits/certificates, maps,
amendments, conditional uses, variances, appeals and application
therefor.
5. Receive, publish legal notices about, research and report upon all
applications for appeals, variances, conditional uses, amendments
and other matters to the designated official bodies.
6. Assist and advise the County Board, Planning Commission and
Board of Adjustment upon matters of land use.
7. Provide and maintain a public information bureau relative to
matters arising out of this Ordinance.
8. Designate a County Floodplain and Shoreland Manager.
9. Designate a Environmental Review Program Coordinator.
10. Designate a Feedlot Officer.

5.2 Planning Commission
5.2.1 Creation and Membership
1. The Winona County Board of Commissioners hereby establishes the
Winona County Planning Commission.
2. The Planning Commission shall consist of nine (9) members.
One (1) Planning Commission member shall be a member of the
Board of County Commissioners. At least five (5) of the appointed
members shall be residents of the portion of the County outside
the corporate limits of municipalities excluding the County Board
member and his or her appointed alternate. Given the importance
of having a Planning Commission with a geographically diverse
membership and a solid grounding in agriculture, the Board Chair
should strive to accomplish this in appointments to the Planning
Commission. Ordinarily the County Board member on the Planning
Commission would be one (1) of the County Board members
serving a predominately rural/agricultural constituency. No more
than one (1) voting member shall be an officer or employee of the
60 - WINONA COUNTY ZONING ORDINANCE

ADMINISTRATION
County. No voting member of the Commission shall have received,
during the two (2) years prior to appointment, any substantial
portion of his or her income from business operations involving the
development of land within the County for urban or urban-related
purposes.
3. The regular members of the Planning Commission shall be
appointed by the County Board Chair after being fully advised
by and with input from the Planning Director and the full County
Board. The term of office for eight (8) Planning Commission
members, who do not sit on the County Board, shall be staggered.
Appointments shall be for two (2) year terms. No Planning
Commission member shall serve more than three (3) consecutive
two (2) year terms. Time served filling the unexpired term of a
previous Planning Commission member does not count toward
this three (3) consecutive term limit. A Planning Commission
member who earlier served three (3) consecutive terms is eligible
to serve additional terms on the Planning Commission after at
least one (1) year passes between the former appointment and
the subsequent appointment. Four (4) of those eight (8) seats (to
be designated seats A, B, C and D) shall be up for appointment in
odd-numbered years and the other four (4) of those eight (8) seats
(to be designated E, F, G and H) shall be up for appointment in
even-numbered years. The first time this appointment approach
is put into effect (January 2004), seats A, B, C and D shall be
appointed to serve one (1) year terms to allow for staggering the
terms. Thereafter, all eight seats (A-H) shall serve two (2) year
terms. Sitting Planning Commissioners must re-apply for the seat
when the seat is up for appointment. All persons interested in
serving on the Planning Commission, including sitting Planning
Commissioners, must submit an official application form to the
County Administrator. The Planning Director will review those
applications and make recommendations from among those
applicants for the Board’s consideration, but all applications,
even those not recommended by the Planning Director, shall be
forwarded to the full County Board for their review and information.
The County Board member who is appointed to serve on the
Planning Commission shall serve a one (1) year term. The County
Board Chair may also appoint a County Board member to serve
as a nonvoting alternate member of the Planning Commission.
All appointments to the Planning Commission shall be discussed
by the full County Board at a regularly scheduled meeting of the
County Board and shall be made part of the permanent minutes of
that County Board meeting. These appointments shall be made no
later than the last regularly scheduled meeting in January of each
year.

5.2.2 Organization
1. The Planning Commission shall elect a chairperson, vicechairperson, and a secretary from among its members. Those

three (3) officers shall serve terms of one (1) year each and shall
be elected at the first meeting in each calendar year. Any vacancy
created during a term shall be filled by appointment by the County
Board, for the remainder of the term. The Planning Director shall
serve as recording secretary to the Planning Commission.
2. The Planning Commission shall adopt rules of procedure governing
its operations. Those rules of procedure shall be reviewed at the
first meeting in each calendar year. They may be amended at that
time by majority vote.
3. The members of the Planning Commission, other than members
of the Board of County Commissioners, may be compensated
for meeting attendance in an amount determined by the Board
of County Commissioners. All Planning Commission members,
including County Commissioners, may be paid their necessary
expenses in attending meetings of the Planning Commission and
in the conduct of business of the Planning Commission. Nothing in
this subsection shall be construed to prohibit the payment of per
diem to County Commissioners pursuant to Minnesota Statutes
375.055, Subdivision 1.

5.2.3 Powers and Duties
1. The Planning Commission shall hold public hearings on all
applications for conditional use permits, all plans for subdivisions of
land, all proposals for comprehensive plans and official controls and
all proposals for amendments thereto.
2. The Planning Commission shall perform such other duties as are
assigned by the Board of County Commissioners, including but not
restricted to the conduct of public hearings.
3. The Planning Commission shall make recommendations to the
Winona County Board based on Ordinance requirements.

5.3 Board of Adjustment
5.3.1 Creation and Membership
1. The Board of Adjustment is hereby established and vested with
such authority as is hereinafter provided.
2. The Board of Adjustment shall consist of five (5) members. At least
four (4) members must be residents of the portion of the County
outside the corporate limits of municipalities. One (1) member of
the Board of Adjustment shall also be a member of the Planning
Commission. No elected officer of the County nor any employee of
the Board of County Commissioners shall serve as a member of the
Board of Adjustment.

ADMINISTRATION
3. The regular members of the Board of Adjustment shall be
appointed by the Board of County Commissioners. The term
of office for the persons so appointed shall be staggered.
Appointments shall be limited to three (3) two (2) year terms per
person and shall expire upon the appointment and acceptance of a
new member.
4. Members of the Board of Adjustment shall serve out their
appointed terms unless:
a. They submit a written resignation to the Board of County
Commissioners;
b. They are absent from three (3) consecutive meetings of the
Board of Adjustment, in which case they shall be automatically
removed for nonperformance of duty; or
c. They are removed from office by majority vote of the Board of
County Commissioners for misconduct in office.
5. Any vacancy created during a term shall be filled by appointment
by the County Board, for the remainder of the term. The Planning
Director shall serve as recording secretary to the Board of
Adjustment.

5.3.2 Organization
1. The Board of Adjustment shall elect a chairperson and a vicechairperson from among its members. They shall serve terms of
one (1) year each and shall be elected at the first meeting in each
calendar year. Any vacancy created during a term shall be filled
by special election for the remainder of the term. The Planning
Director shall serve as secretary to the Board of Adjustment.
2. The Board of Adjustment shall adopt rules of procedure governing
its operations. Those rules of procedure shall be reviewed at the
first meeting in each calendar year and readopted. They may be
amended at that time by majority vote.
3. The meetings of the Board of Adjustment shall be held at the call of
the chairperson and such other times as the Board of Adjustment in
its rules of procedures may specify.
4. Members of the Board of Adjustment may be paid compensation
for meeting attendance in an amount determined by the Board of
County Commissioners and may be paid their necessary expenses
in attending meetings of the Board of Adjustment and in the
conduct of the business of the Board of Adjustment.

Approve Exercising Option to Extend License Center Lease

======================================================================
Background:
On March 26, 2024, the Winona County Board approved the attached lease for building space for the license center.
The initial term is April 1, 2024, through December 31, 2026, and includes an option for a two-year extension through
December 31, 2028. Notice of exercising the lease extension would need to be provided by October 2, 2026.

Summary of the Issue:
This exercises the option for a two-year lease extension for the license center space, extending the term through
December 31, 2028.
If the LEC is renovated and the license center relocates there, this lease extension aligns well with the anticipated
design, construction, and relocation timeline.

Funding:
The existing lease sets rent at $3,936.75 per month for 2027, and $4,094.22 per month for 2028. The 2027 amount is
accounted for in the draft 2027 budget.

Recommendation:
Approve Exercising Option to Extend License Center Lease.

Approve Addendum to Intergovernmental Agreement for Emergency
Communications Support Services with Rice and Steele 911 Center

======================================================================
Background:
In June 2026, the Winona County Board approved an Intergovernmental Agreement with the Rice and Steele 911
Center (RSC911) to provide temporary emergency communications support during a Public Safety Telecommunicator
staffing shortage. Under the agreement, RSC911 provides one dedicated telecommunicator for Winona County
operations during designated daytime hours while Winona County retains overall operational responsibility.
Since approval of the original agreement, Winona County has hired three Public Safety Telecommunicators and
currently has one additional candidate in the background process. All three newly hired telecommunicators remain in
training. Based on the anticipated training timelines, they are expected to continue in training through the end of the
proposed three-month addendum. Continuing RSC911 support during this period will help maintain continuity of
emergency communications operations, provide adequate staffing while training is completed, and reduce reliance on
mandatory overtime.

Summary of the Issue:
The proposed First Addendum extends the existing agreement for an additional three months and addresses
anticipated service interruptions associated with RSC911’s transition to its new 911 center.
Key Terms:
 Extends the agreement for three (3) months, from October 13, 2026 through January 12, 2027.
 RSC911 may designate blackout dates, or portions of dates, when service is unavailable due to employee
training, system preparation/testing, cutover, relocation, transition, or stabilization activities associated with its
new 911 center.
 Winona County will be responsible for arranging staffing and operational coverage during blackout dates.
 RSC911 will not bill Winona County for Public Safety Telecommunicator services not provided during
blackout dates.

Funding:
Funding will continue to come from budgeted wages and benefits line items. RSC911 will continue to be reimbursed
in accordance with the existing agreement, and Winona County will not be billed for telecommunicator services not
provided during designated blackout dates.

Recommendation:
Approve First Addendum to Intergovernmental Agreement for Emergency Communications Support Services with
Rice and Steele 911 Center.

FIRST ADDENDUM TO
INTERGOVERNMENTAL AGREEMENT FOR
EMERGENCY COMMUNICATIONS SUPPORT SERVICES
Three-Month Extension and Training/Transition Blackout Dates
This First Addendum ("Addendum") is entered into by and between the Rice & Steele 911 Center, a joint
powers entity organized under the laws of the State of Minnesota ("RSC911"), and Winona County, on
behalf of the Winona County Sheriff's Office ("WCSO"). RSC911 and WCSO may each be referred to as a
"Party" and collectively as the "Parties."
WHEREAS, the Parties entered into an Intergovernmental Agreement for Emergency Communications
Support Services commencing July 13, 2026 (the "Agreement"); and
WHEREAS, the Parties desire to extend the Agreement for an additional three months and to
accommodate RSC911's training, transition, cutover, and relocation activities associated with its new 911
center.
NOW, THEREFORE, the Parties agree as follows:
1. Extension of Term. The Agreement is extended for an additional three (3) months, beginning October
13, 2026, and continuing through January 12, 2027, unless earlier terminated under Section 11 of the
Agreement. Any continuation beyond January 12, 2027, must be mutually agreed upon in writing by
authorized representatives of both Parties.
2. RSC911 Blackout Dates. During the extension term, RSC911 may designate dates or portions of dates
on which services under the Agreement will not be provided ("Blackout Dates") when reasonably necessary
for employee training related to the new 911 center; system preparation, testing, or cutover; the operational
transition to the new center; the physical move or relocation; or related stabilization activities. RSC911 will
provide WCSO written notice of a Blackout Date at least 10 days prior. The notice will identify the
anticipated date, time, and duration of the service interruption. When practicable, the Parties will coordinate
to reduce the operational impact of a Blackout Date.
3. Coverage and Billing During Blackout Dates. WCSO is responsible for arranging and maintaining all
staffing and operational coverage during Blackout Dates. RSC911 will not bill WCSO for Public Safety
Telecommunicator services not provided during a Blackout Date. A Blackout Date designated under this
Addendum does not constitute a breach, service failure, or termination of the Agreement.
4. No Other Changes. Except as expressly modified by this Addendum, all provisions of the Agreement
remain unchanged and in full force and effect. If this Addendum conflicts with the Agreement, this
Addendum controls.
5. Effective Date. This Addendum becomes effective when it has been signed by authorized
representatives of both Parties.
6. Counterparts and Electronic Signatures. This Addendum may be signed in counterparts and by
electronic signature. Each counterpart will be deemed an original, and all counterparts together constitute
one instrument.

RESOLUTION #2026-22
Authorizing Appointment of Acting Winona County Auditor-Treasurer
WHEREAS, Winona County Auditor-Treasurer Chelsi Wilbright is a member of the
United States Air Force Reserve; and
WHEREAS, Ms. Wilbright has informed County Administration that she will be deployed
for a period of approximately six months beginning in September 23, 2026; and
WHEREAS, due to the upcoming early voting starting on October 16, 2026, the general
election on November 3, 2026, and the many other critical and necessary functions of the office of
the elected Auditor-Treasurer, it is necessary and in the public interest for Winona County to
provide for the performance of the duties of the Winona County Auditor-Treasurer during Mr.
Wilbright’s deployment.
WHEREAS, Under Minn. Stat. § 192.263, in any case where a public officer or employee
is absent with leave for military service … and where it is necessary in the public interest to provide
for the performance of the duties of the position during the absence, the authority having power to
fill a vacancy in the position may appoint a substitute; and
WHEREAS, the County Board has the authority pursuant to Minn. Stat. 375.08 to fill a
vacancy when one occurs in an elected Winona County office, and in this matter, a temporary
vacancy caused by the anticipated six-month military deployment of Winona County AuditorTreasurer Chelsi Wilbright.
NOW THEREFORE, BE IT RESOLVED that effective on 11:59:59 PM on the day before
Ms. Wilbright’s active military service deployment begins, or upon such other day deemed

Kathleen Barnholtz as Acting Winona County Auditor-Treasurer.
BE IT FURTHER RESOLVED, the appointment will be formalized and in effect under
the terms of an Employment Agreement for Temporary Assignment.
BE IT FURTHER RESOLVED, pursuant to Section 192.261, Subd. 4, if Ms. Wilbright is
elected on November 3, 2026, to the office of Winona County Auditor-Treasurer, and as is
anticipated, due to her six-month military deployment, is prevented by active military deployment
[…] “from taking office in person, [she] may file an oath of office, and a bond, if required, by mail

all the provisions of sections 192.26 to 192.264, so far as applicable.” If that occurs, this
appointment of an Acting Winona County Auditor-Treasurer will continue to serve while Ms.
Wilbright remains on active military service deployment if and when Ms. Wilbright is re-elected,
takes the oath of office pursuant to Subd. 4 when her new term of office begins on January 4, 2027.
BE IT RESOLVED, that if Ms. Wilbright’s military orders are delayed, modified, or
canceled, and she is not deployed to active military service, and her leave of absence is not

commenced, this Resolution is null and void, and there would exist by virtue of that fact, no
vacancy in the office of the Winona County Auditor-Treasurer.
BE IT RESOLVED, that the temporary appointment of an Acting Winona County AuditorTreasurer will automatically terminate upon the end of Ms. Wilbright’s leave of absence due to
her military deployment and Ms. Wilbright informing County Administration of the ending date
her military leave, with notice given pursuant to the 14 days provided in the Professional Services
Agreement.
BE IT RESOLVED, that this Resolution shall not become effective until Ms. Wilbright
