Discussion and possible action to approve Exhibit E, Project Costs Payment Notice No.
01, submitted by Syntrias Development Partners, LLC, pursuant to the Economic
Development Agreement for Increment District No. 3, City of Yukon, and to authorize the
disbursement of Tax Increment revenues in the amount of $533,988.00 for reimbursement
of eligible Project Costs incurred through September 30, 2026, as supported by the
accompanying AIA Document G702, Application and Certification for Payment No. 01.
Bryce Johnson and Michael Carnuccio was introduced during consideration of the payment
application. The development representatives discussed the costs incurred to advance the
project and answered questions concerning the application.
Economic Development Director Damian Denmark explained that Syntrias Development
Partners submits invoices, which are reviewed with bond counsel to verify costs and reviewed
internally by Finance before presentation to the Authority. He stated that the submitted invoice
met the P3 public-private partnership funding requirements and required Authority approval
before the bank could release the first payment.
The loan was reported closed at approximately $7.6 million, with the application representing
the first draw. In response to a request for information on amounts drawn and funds remaining,
YEDA Regular Meeting Minutes – October 6, 2026
Page 2
Damian Denmark stated that Finance would provide financial reports in each meeting packet
beginning with the next Authority meeting. The reports would show financial activity,
approvals, and the remaining draw balance. He also stated that each payment would require
separate Authority approval and sign-off, rather than a blanket authorization. Repayment
through OTC collections was discussed.
Development representatives reported that the application included design, engineering,
cost modeling, estimates, and pre-construction services for the Trey Young Athletic Facility,
parking garage, hotels, restaurants, and retail. They also discussed the September 4
groundbreaking and national coverage through ESPN.
It was reported that the P3 application process approved through the ODFA board required
a monthly draw schedule identifying anticipated use and encumbrance of funds. The
payment application was below the anticipated approved funding limit for that draw.
Trinity Builds' anticipated subcontractor agreements were described as generally providing net
30 payment terms. A request was made for Authority meetings at least every 30 days to
accommodate those payments. It was stated that Authority meetings were scheduled to
coincide with City Council meetings.
The Board discussed the Authority's responsibility for reviewing and approving payments for TIF
improvements. Chairman Justin Ellis noted that these matters required action by the Authority
rather than simply being forwarded to City Council. Development representatives also
discussed their work with City staff on a Main Street building and the larger development, and
stated that they were considering another project in 2027.
A motion to approve Exhibit E, Project Costs Payment Notice No. 01, submitted by Syntrias
Development Partners, LLC, and authorize the disbursement of $533,988.00 in Tax Increment
revenues for reimbursement of eligible Project Costs incurred through September 30, 2026, as
supported by AIA Document G702, Application and Certification for Payment No. 01 was
made by Goodwin and seconded by Westfall.

Discussion regarding the use of Non-Disclosure Agreements (NDAs) in economic
development activities, including the potential benefits and risks of NDAs and the role
and authority of the City of Yukon and the Yukon Economic Development Authority in
entering into such agreements.
Board Member Westfall stated that the item had been requested to explain the benefits and
risks of municipal NDAs, their relationship to Freedom of Information requests, and their use in
communications with corporations.
Damian Denmark reported that he had discussed NDAs with City Attorney Micheal Oglesby.
He explained that an NDA could restrict his voluntary disclosure of project information but
would not supersede public records requirements. Emails, communications, and call logs could
remain subject to a records request, including a request using a retailer's name as a search
term. He stated that, in two situations in Yukon, prospective parties did not issue NDAs after
learning that the agreements would not provide the exemption from disclosure they expected.
YEDA Regular Meeting Minutes – October 6, 2026
Page 3
Damian Denmark discussed confidentiality as a means of limiting premature announcements,
protecting development negotiations and land costs, and maintaining Yukon's position when
competing with Oklahoma City, El Reno, and other municipalities for sales tax-generating
businesses. He cited a reported increase of 60 to 70 percent in land costs in the Cimarron area
after a Buc-ee's rumor circulated before a deal was completed. He also noted that brokers
may negotiate without initially identifying the end user.
In response to questions about whether an NDA was necessary to avoid voluntary disclosure,
Damian Denmark stated that his department generally does not publicly announce ongoing
recruitment projects, whether or not an NDA is signed. He explained that confidentiality
requirements vary by project and may involve a new retailer, an additional location, or
overlapping discussions between a developer and City staff. He cautioned that initial site work
does not establish that a project will be completed.
A Board member asked how far the City might become committed to a project before
information became available to the public. Damian Denmark stated that NDAs are often
requested when site plans or specific end-user information are to be shared, after discussions
have progressed. He said that he would consult City leadership and the City Attorney before
signing an NDA because it could affect the City as well as his department.
Chairman Justin Ellis discussed the need to balance residents' access to information with
protection of development negotiations and municipal competitiveness. Damian Denmark
stated that staff was considering how to provide updates on economic development
activities, potentially through work sessions or other presentations, while protecting prospective
retailers from premature announcements. He stated that records responsive to requests would
be provided through the clerk's office in accordance with the law.
Stephanie Burdine stated that she supported protecting retail recruitment from competing
municipalities but distinguished retail NDAs from agreements concerning developments with
substantial effects on residents. She discussed a data center, citing 20 buildings, noise 24 hours
a day, seven days a week, and a distance of 300 feet from homes. She raised concerns
regarding residents' use and enjoyment of their property and potential property value effects,
and requested that those effects be considered before an NDA is signed. She also stated that
additional grocery options were needed.
Dillon Leone stated that he supported economic development and businesses providing
employment, goods, or services. He requested disclosure when a development could cause
noise pollution, consume water or power, or impose costs on residents. He questioned whether
signing an NDA was appropriate where a project could substantially affect the community.
Jeff Bratcher asked whether confidentiality agreements had been used before the Authority's
use of NDAs. No historical explanation was provided. He also asked whether such agreements
could override the Oklahoma Open Records Act or Open Meetings Act and requested
assurances that information concerning taxpayer incentives, public infrastructure costs, utility
commitments, land transactions, and other public obligations would not be withheld.
In response, it was stated that an actual agreement would have to go before City Council
and that an NDA would not override applicable open records or open meetings requirements.
A Board member stated that the data center NDA did not direct any Council, board, or
commission vote, change ordinances, or create laws, and that information could have been
requested before a vote. It was also stated that the Authority does not sign NDAs. No formal
commitment or action was taken in response to the request.
YEDA Regular Meeting Minutes – October 6, 2026
Page 4
Further discussion distinguished an agreement not to disclose information from approval of
ordinances, promises, favors, or other commitments. Jeff Bratcher asked whether a
confidentiality agreement could be used instead, and it was noted that the two terms
appeared similar.
The City Attorney stated that records would be provided in compliance with the Open Records
Act.

Reports
This section is intended for Board Members and staff to make announcements
concerning economic development matters.
a) Economic Development Director
Damian Denmark reported that he attended Retail LIVE in Austin, Texas, and spoke with
approximately nine new-to-market retailers interested in Oklahoma that had already acquired
sites in the state. Contacts included QSR businesses and a potential sporting goods retailer.
After his return, a clothing store boutique franchise also contacted the department regarding
the Oklahoma market. He reported continuing work on prospective industrial and retail
projects.
Damian Denmark reported that recruitment efforts were focused on the Homeland grocery
store, CVS Pharmacy, and Gold's Gym locations. The department prepared three pitch decks
for grocery retailers already operating in the Oklahoma City market and was awaiting
responses from tenant brokers and store real estate managers.
In response to a question about the Homeland location, Damian Denmark stated that there
was no commitment. He reported contacting Homeland's real estate representative and
obtaining cost information. He identified property access and its position away from Northwest
10th, which he said carries 60,000 to 70,000 vehicles daily, as difficulties in marketing the
location. Holiday traffic was also discussed.
Damian Denmark reported that the Gold's Gym location had generated the strongest grocery
interest because of its parking layout and structure. He stated that the owner, located in
Beverly Hills, was also open to a food hall or brewery hall with multiple kitchens and willing to
offer tenant improvement incentives. He noted that retailers were concentrating on holiday
sales and that recruitment conversations might resume in January of the following year.
Damian Denmark reported that, with City Hall relocating, staff was preparing a master
development RFP for all City-owned downtown properties. He anticipated further
development of the RFP within the next couple of weeks, after final revisions were addressed
through the city clerk's office, to seek proposals concerning downtown's future development.
b) City Manager
Jeff Deckard reported on the Czech Day celebration held Saturday. He discussed the City's
partnership with the Czechs, the event's attendance, and the City's work with the organization.
c) Board Members
