Also Present: Brian Pincelli, Executive Director; Katie Bronson, Deputy Director; Ryan Gentile, Fiscal

Members of the PILOT Present: Ryan Black, Greenspark Representative; Brooke Mayer via ZOOM,
Greenspark Representative (Both left at 9:34 AM)
The meeting was called to order at 9:11 A.M. by Mr. David Fantuzzo.
The Board meeting began with reviewing meeting minutes from the April 2026 meeting. No questions or
changes were presented. Ms. DiLella made a motion to approve the minutes; Mr. VanFleet seconded the
motion. All present approved – minutes were approved.
The first topic review was the resolution authorizing the new Assistant Secretary and Records Management
Officer Mrs. Rebekah Howell. Following a brief introduction of the board members to Mrs. Howell, Ms.
Heald made a motion to approve; Ms. McDonald seconded the motion. All present approved.
The next topic under review was authorizing the PILOT resolution for WO Walworth Solar LLC. Ms.
Bronson opened the topic by introducing Mr. Black and Ms. Mayer of Greenspark, who briefly discussed
the Walworth public hearing. No comments were provided at the public hearing and no one sent any
comments to Brian Pincelli. Ms. DiLella noted the project has secured approval to interconnect to the
RG&E utility grid, and has paid the 25% down payment to secure this approval. Mr. Black confirmed the
down payment is to support and reinforce the existing infrastructure and upgrade the local grid at their own
cost. The Board briefly discussed the logistics of maintaining the land and payments would be made to the
town through the Bond Lease. Mr. Pincelli confirmed the town has approved and deferred to Mr. Black for
further clarification from the Town public hearing with the agricultural concerns. Ms. McDonald made a
motion to approve; Ms. Heald seconded. All present approved. Mr. Black and Ms. Mayer departed from
the meeting at 9:34 A.M.
Next, The Board then briefly discussed their role in the decision-making process for reviewing Solar
Projects, Battery Storage projects, permitting Data Centers, and additional Nuclear Power Facilities. Mr.
Humbert and Mr. Fantuzzo agreed that although they may bring value to the community, but it may hinder
the community with decommissioning as well. Ms. DiLella added that there needs to be more preparation,
and emergency planning infrastructure in place for the local fire departments, in conjunction with the
increased risk for battery energy storage projects; further addressing needs to be made with the Wayne
County Fire Commissioner, Jeremiah Shufelt. Ms. Heald questioned the IDA and County’s role in review
of these project details. Mr. Fantuzzo stated that the responsibility of the County is to educate the Towns
including what questions to ask project developers and how to better respond to these project applications.
Mr. Gentile opened the Fiscal Officer’s Report with Account Balances. He then reviewed the Money
Market. Ms. Heald noted that February 2025 VS February 2026 the balance remained roughly the same

while the yield was less but the dividend was higher. Ms. Bronson added that there was a deposit of
$1,000,000 into the Money Market account. Mr. Gentile then reviewed the 2026 Budget vs Actuals report.
No other questions were presented.
Mr. Pincelli then presented the Executive Director’s Update, including a note on Drumlins Brewing set to
open soon in Palmyra, and update on the Ontario Midland Railroad annual meeting and report, and raising
topics for conversation including Data Center development and anticipated battery energy storage (BES)
development. Ms. Heald asked if the NY Sugar project in Ontario would result in increased traffic on Rt
104. Mr. Pincelli confirmed that he would expect it to, but that the use of rail would divert a significant
amount of traffic, and that the road is maintained by the NYS DOT and there was review and approval of
the project and traffic impacts. Ms. Bronson also noted that none of the Solar Projects with the WCIDA
have Battery Storage components. Mr. Pincelli noted he is reviewing BES local permitting and code to
share with Towns to get appropriate review and local code in place. Ms. McDonald followed up with
questions on the decommissioning bond set in place for these projects acts as a contingency if projects were
abandoned. It is the responsibility of the Towns to confirm decommissioning funds are available if needed,
btu the IDA collects proof of decommissioning funds through its annual reporting from solar projects. Mr.
Humbert stated that in the case of a breach in contract, most of the smaller towns cannot support the failure
of these projects. Mr. Pincelli stated that the county planning board has the ability to approve or deny site
plan approval for these projects but if not approved, the municipality can approve with supermajority to
move the project forward. Ms. Heald proposed a meeting between the Supervisors of the Towns, the
Planning Board and the WCIDA Board to create a plan for the future and speak more on the countywide
impact.
Ms. Heald asked if the audit from the Comptroller’s office was complete. Mr. Pincelli said they were in the
office on multiple occasions in the last month, and that they had stated they would return for a few more
visits to finish the audit, but that there was no firm time set at the moment.
Mr. Humbert mentioned the announcement regarding the pending closure of the labor and delivery services
at Newark-Wayne Community Hospital.
Mr. Fantuzzo announced the next WCIDA Board meeting is scheduled for Monday, June 15, 2026.
Ms. DiLella made a motion to adjourn the WCIDA meeting; Ms. Heald seconded the motion. Mr. Dave
Fantuzzo adjourned the meeting at 10:07 A.M.
The next WCIDA Board meeting is scheduled for Monday, June 15, 2026.
Respectfully Submitted,

Rebekah Howell, Assistant Secretary

NYSERDA memo on state's 2019 climate law costs is latest signal of coming budget fight
over its mandates- https://spectrumlocalnews.com/nys/buffalo/politics/2026/02/27/nyserdamemo-foreshadows-budget-fight
o “Current estimates indicate that the most impacted households — upstate, twocar households that rely on heating oil — would likely experience gross cost
impacts in excess of $4,100 annually. Even after affordability benefits, this
amount remains above $2,400,”
o “Absent changes, by 2031, the impact of CLCPA on the price of gasoline could reach or
exceed $2.23 per gallon on top of current prices at that time; the cost for an MMBtu of
natural gas $16.96; and comparable increases to other fuels. Upstate oil and natural gas
households would see costs in excess of $4,000 a year, and New York City natural gas
households could anticipate annual gross costs of $2,300. Only a portion of these costs
could be offset by current policy design.”
