New Business
Background: The City previously undertook a redraft of the ordinance and bylaws governing the
Goddard Senior Citizens Advisory Board in order to clarify administrative oversight of the Senior
Center, confirm that City employees assigned to the Senior Center report through the City’s
administrative structure, and establish City Council approval authority over the Advisory Board’s
bylaws. The final drafts now before Council continue those objectives while also reflecting
substantial revisions made in response to feedback submitted by several Advisory Board members.
The modified ordinance continues the Board, affirms its mission to support the Senior Center
through community input, volunteer leadership, fundraising assistance, liaison services, and
preservation of institutional knowledge, while reserving day-to-day administration, personnel
supervision, and operational oversight to City staff. The final ordinance also adds language
emphasizing that the Board is intended to remain a meaningful partner in shaping the Center’s
activities, traditions, and member experience, that the City will solicit Board input during
recruitment of the Senior Center Director, that regular financial and program reporting will be
provided, and that the Board may serve in an enhanced collaborative support role during a Director
vacancy, without altering the City’s administrative authority.
The final bylaws similarly reflect significant refinement from the earlier redraft. Compared to the
earlier draft, the revised bylaws shift to language recognizing the Board as an important supporting
partner, add express recognition of the Board’s institutional knowledge and traditions, encourage
collaboration and consensus-building on routine programming and services, provide for regular
financial and budget updates to the Chair and Board, welcome hands-on volunteer support, protect
good-faith advocacy and candid feedback from being treated as misconduct, and establish interim
support language during a Director vacancy. The revised drafts also route proposed bylaw
amendments through the Deputy City Administrator (or designee) and City Attorney for review
before City Council consideration. In short, the final drafts maintain the appropriate lines of City
authority while incorporating a substantial amount of Advisory Board feedback intended to
preserve the collaborative culture of the Senior Center.
Analysis: The principal policy issue before Council is how to preserve the Advisory Board’s
valuable role in the life of the Senior Center while ensuring that legal authority, employee
supervision, financial administration, and operational accountability remain with the City. The
final drafts attempt to strike that balance. The ordinance clearly states that the Board does not hire,
supervise, or discipline City employees, enter contracts on behalf of the City, authorize
expenditures outside the City’s normal budget process, or direct day-to-day operations of the
Senior Center. At the same time, the final version goes much further than the earlier redraft in
affirmatively recognizing the Board’s importance by adding objectives related to hands-on
volunteer support and preservation of institutional knowledge, and by stating that the Director
should ordinarily work toward consensus with the Board on routine programming, event, outreach,
hospitality, and service matters whenever reasonably possible.
The revisions also respond directly to concerns raised by Advisory Board members regarding
transparency, continuity, and respect for the Board’s experience. The final drafts provide for
periodic reporting to the Board regarding expenditures, fundraising, grants, and budget status;
designate the Chairperson to receive those financial and budget updates for communication to the
Board; and establish that the City will solicit Board input during recruitment of the Senior Center
Director and as part of the Director’s annual performance evaluation. In addition, the bylaw
revisions now expressly state that respectful disagreement, good-faith advocacy, strong
participation, and candid feedback are not prohibited, and that active volunteer leadership and
hands-on support are not, by themselves, to be treated as directing or supervising City employees.
These revisions are intended to reduce the perception that the Board’s role is being diminished
while still preserving the City’s responsibility to manage personnel, operations, and legal
compliance.
The final drafts also address the practical issue of the current vacancy in the Senior Center Director
position. Both the ordinance and bylaws now contemplate that, during a Director vacancy, the
Advisory Board may serve in an enhanced collaborative support role in coordination with the
Deputy City Administrator or designee to assist with continuity of programming, volunteer
coordination, community engagement, and communication, while expressly stating that such
interim support does not confer personnel, contracting, or expenditure authority. This addition
recognizes the current realities at the Senior Center and the need to preserve continuity without
blurring the City’s chain of command.
Financial: There is no direct fiscal impact associated with adoption of the modified ordinance
and bylaws. The revisions are governance and administrative in nature. To the extent the final
drafts provide for regular expenditure, fundraising, grant, and budget reporting to the Advisory
Board, those activities will be incorporated into normal staff administration of the Senior Center.
Legal Considerations: Approved as to form.
Recommendations/Actions: It is recommended the City Council: Move to adopt the Ordinance
and Bylaws attached in Exhibit B.

AN ORDINANCE REPEALING AND RESTATING ARTICLE 10 OF
CHAPTER 1 OF THE CITY CODE OF THE CITY OF GODDARD, KANSAS
CONCERNING THE GODDARD SENIOR CITIZENS ADVISORY
BOARD; CLARIFYING THE ADMINISTRATIVE OVERSIGHT OF THE
GODDARD SENIOR CENTER; CLARIFYING THE ROLE OF THE
ADVISORY BOARD AS ADVISORY; ESTABLISHING CITY COUNCIL
AUTHORITY OVER THE ADVISORY BOARD’S BYLAWS; AND
PROVIDING FOR RELATED MATTERS.
WHEREAS, the City of Goddard, Kansas (the “City”) previously established the Goddard
Senior Citizens Advisory Board (the “Advisory Board”) and codified its governing structure in
Article 10 of Chapter 1 of the City Code; and
WHEREAS, the City employs the Senior Center Director and other Senior Center paid
staff as City employees subject to the City’s personnel policies and administrative oversight; and
WHEREAS, the City Council has determined that the Senior Center Director and other
Senior Center paid staff shall report through the City’s administrative structure in the same manner
as employees of other City programs, with day-to-day supervision and operational oversight vested
in City administration; and
WHEREAS, the City Council finds that community involvement and input remain valuable
to the Senior Center’s mission and wishes to continue the Advisory Board under a revised
framework that clearly defines its role as advisory without supervisory authority over City
employees or operations; and
WHEREAS, the City Council has determined that the bylaws governing the Advisory
Board shall be adopted and controlled by the City Council to ensure continued alignment with the
City’s governance structure; and
WHEREAS, the existing members of the Advisory Board shall continue in their current
roles under the restated structure without interruption and their current staggered terms shall
remain in effect;
NOW, THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY
OF GODDARD, KANSAS, AS FOLLOWS:
Section 1. Repeal and Restatement of Article 10 of Chapter 1 of the City Code.
Article 10 of Chapter 1 of the City Code is hereby repealed in its entirety and restated as
follows:
1-1001.
Creation; purpose.
The Goddard Senior Citizens Advisory Board (the “Advisory Board”) is hereby continued
for the City of Goddard. The purpose of the Advisory Board is to support the mission of the
Goddard Senior Center by providing community input, programming ideas, volunteer leadership,
fundraising assistance, and liaison services between the senior community and the City. The
Advisory Board plays an important supporting role in helping the Senior Center thrive, while dayto-day administration and personnel supervision remain with City staff through the City’s
administrative structure.
1-1002.
Members; terms of office.
The Advisory Board shall consist of seven (7) members appointed by the Mayor with the
consent of the Governing Body of the City of Goddard. No less than four (4) of the seven (7)
members shall be residents of the City of Goddard. Members shall demonstrate a commitment to
advocating for and supporting older adults in the community.
The first board shall be appointed as follows: two (2) members shall be appointed for a
term expiring after one (1) year, two (2) members shall be appointed for a term expiring after two
(2) years, and three (3) members shall be appointed for a term expiring after three (3) years. Upon
the expiration of the terms of members first appointed, succeeding members shall be appointed in
a like manner for terms of three (3) years. Vacancies by resignation or otherwise shall be filled in
a like manner for the remainder of the unexpired term. Members may serve up to two (2)
consecutive terms. A member appointed to fill a vacancy serving less than half of an unexpired
term shall not have that partial term counted toward the two-consecutive-term limit. Upon
completion of two consecutive terms, a member is eligible for reappointment after a one-year
absence from the Advisory Board.
Board.
The Senior Center Director shall serve as a non-voting ex officio member of the Advisory

Officers.
The Advisory Board shall have the following officers: Chairperson, Vice Chairperson, and
Secretary. The Chairperson is responsible for leading the board and facilitating meetings. The Vice
Chairperson takes on the role of the Chairperson in his or her absence. The Secretary is responsible
for official communications with board members and recording meetings, along with maintaining
other board records. The board shall elect from its members these officers during the January board
meeting to serve one (1) year terms.

Meetings.
The Advisory Board shall meet monthly or more frequently at the call of the Chairperson
or a majority of the board members. All meetings shall be open to the public and conducted in
compliance with the Kansas Open Meetings Act, K.S.A. § 75-4317 et seq. Meetings upon call shall
be initiated by notice to the City Clerk. A quorum shall consist of four (4) members. Actions shall
require a simple majority vote of members present.

Administrative oversight of the Senior Center.
The Goddard Senior Center and its employees shall be administered through the City’s
administrative structure. The Senior Center Director shall report to the Deputy City Administrator
(or City Administrator designee). All employment decisions, supervision of City employees
assigned to the Senior Center, and operational oversight of Senior Center programs shall be carried
out through the City’s established administrative chain of command, consistent with the City’s
personnel policies and the direction of the City Administrator. The specific duties, reporting
relationships, and organizational structure of the Senior Center shall be established and may be
modified from time to time by administrative action of the City Administrator without the need for
further ordinance amendment.

nutritional, physical, recreational, and intellectual well-being of the senior citizens of the
community. The Advisory Board will be advisory to the City Council and will forward its
suggestions and recommendations to the City Council through the City Administrator or his or her
designee.

Objectives.
The main objectives of the Advisory Board are as follows:
(a) Provide community input and recommendations regarding Senior Center
programming, services, and the needs of the senior community.
(b) Assist with community outreach, volunteer recruitment and coordination, and
fundraising efforts in support of the Senior Center.
(c) Encourage and provide hands-on volunteer support for the Senior Center,
including hospitality, activity support, outreach, and program promotion,
provided such efforts are coordinated with the Senior Center Director or
designated City staff to ensure consistency with Center operations.
(d) Maintain open communication with the senior citizen community through
multiple modes of communication.

(e) Serve as a liaison between the senior community, local organizations, and the
City with respect to matters affecting older adults in Goddard.
(f) Support the Senior Center’s grant compliance obligations and assist with grant
development efforts, provided that any grant applications submitted on behalf
of the City shall be reviewed and approved by the City Administrator prior to
submission.
(g) Preserve and utilize the institutional knowledge, community relationships,
traditions, and member preferences developed through the Advisory Board’s
longstanding involvement with the Senior Center.

Role of the Advisory Board and Relationship with City Staff
The Advisory Board shall serve in an advisory capacity to the City Council, Deputy City
Administrator (or City Administrator designee), and the Senior Center Director.
In keeping with this supporting role, the Advisory Board does not hire, supervise, or
discipline City employees (including Senior Center staff), enter contracts on behalf of the City,
authorize expenditures outside the City’s normal budget process, or direct day-to-day operations
of the Senior Center.
The Advisory Board may engage in fundraising efforts to provide additional support to the
Senior Center. Any funds raised shall be administered in accordance with City financial policies
and procedures.
The City administration shall solicit input from the Advisory Board as part of the Senior
Center Director’s annual performance evaluation process. Such input shall be advisory only. The
City administration shall retain sole authority to conduct, finalize, and act upon the Director’s
annual performance evaluation. The Advisory Board’s input shall not create any right of appeal,
reconsideration, or further review by the Advisory Board.
The Senior Center Director shall work collaboratively with the Advisory Board and shall
keep the Advisory Board reasonably informed about Senior Center programs, activities, and
operations. The Director shall give good-faith consideration to input and recommendations
provided by the Advisory Board. The City intends for the Advisory Board to remain a meaningful
partner in shaping the Senior Center’s activities, traditions, and member experience. For routine
programming, event, outreach, hospitality, and service matters, the Director should ordinarily work
toward consensus with the Advisory Board whenever reasonably possible. The Director’s
obligation to consider Advisory Board input shall not be construed to require the Director to
implement Advisory Board recommendations or to seek Advisory Board approval prior to making
operational decisions.
The City administration shall solicit input from the Advisory Board during recruitment of
the Senior Center Director. Final hiring authority shall remain with the City.

The Senior Center Director shall provide regular reports to the Advisory Board regarding
expenditures, fundraising, grants, and budget status, in coordination with City finance staff as
appropriate.
In the event of a vacancy in the Senior Center Director position, the Advisory Board may
serve in an enhanced collaborative support role, in coordination with the Deputy City
Administrator or City Administrator designee, to assist with continuity of programming, volunteer
coordination, community engagement, and communication during the vacancy. This interim role
shall not be interpreted as granting the Advisory Board authority to supervise City employees,
make personnel decisions, enter contracts, approve expenditures outside the City’s normal budget
process, or otherwise alter its advisory status under this Article.
Nothing in this Article is intended to discourage good-faith advocacy, candid feedback, or
active volunteer leadership by Advisory Board members when expressed respectfully,
constructively, and through appropriate channels consistent with law and City policy.

Bylaws.
The Advisory Board shall operate under bylaws adopted by the City Council. The Advisory
Board may propose amendments to its bylaws by submitting proposed revisions to the Deputy City
Administrator (or City Administrator designee) and City Attorney for review and then to the City
Council for approval. No bylaw provision or amendment shall take effect without City Council
approval. The bylaws shall not expand the Advisory Board’s authority beyond that provided in this
Article. In the event of any conflict between the bylaws and this Article, this Article shall control.

Attendance and removal.
A member who misses three (3) consecutive regular meetings, or fifty percent (50%) of all
regular meetings within any twelve-month period, without excuse approved by the Chairperson,
may be removed from the Advisory Board by the Mayor with the consent of the City Council.
A member may also be removed by the Mayor with the consent of the City Council for
conduct detrimental to the Advisory Board’s mission, conflict of interest, or such other cause as
the City Council may determine in its sole discretion. Prior to removal, the member shall be
provided written notice of the grounds for removal and an opportunity to be heard before the City
Council.
A member may also be removed by the Mayor with the consent of the City Council for
material misconduct, repeated violation of the Code of Conduct or City policy, unaddressed
conflict of interest, conduct materially detrimental to the Advisory Board’s mission, or other
substantial cause related to the member’s service on the Advisory Board. Prior to removal, the
member shall be provided written notice of the grounds for removal and an opportunity to be heard
before the City Council.

Compensation.
Advisory Board members shall receive no compensation for their services as members of
the board.
Section 2. Continuation of Existing Members and Terms.
The members currently serving on the Goddard Senior Citizens Advisory Board shall
continue to serve without interruption. Their existing staggered terms of appointment shall remain
in effect and shall not be affected by the adoption of this Ordinance. Nothing in this Ordinance
shall be construed to require reappointment of current members or to create a vacancy on the
Advisory Board.
Section 3. Severability.
If any section, subsection, sentence, clause, or phrase of this Ordinance is for any reason
held to be invalid or unconstitutional by a court of competent jurisdiction, such invalidity shall not
affect the validity of the remaining portions of this Ordinance.
Section 4. Effective Date.

These Bylaws govern the internal operations of the Goddard Senior Citizens Advisory
Board (the “Advisory Board”). These Bylaws are adopted by the City Council of the City of
Goddard, Kansas pursuant to Article 10 of Chapter 1 of the City Code. In the event of any conflict
between these Bylaws and the City Code or any ordinance of the City of Goddard, the City Code
and ordinances shall control. These Bylaws may be amended only by action of the City Council
as provided in Article 10 of Chapter 1 of the City Code.
ARTICLE 1 – NAME AND PURPOSE
1.1
Name
The name of this body is the Goddard Senior Citizens Advisory Board.
1.2
Purpose
The Advisory Board serves in an advisory capacity to the City Council, the Deputy City
Administrator (or City Administrator designee), and the Senior Center Director. Its purpose is to
support the mission of the Goddard Senior Center by providing community input, programming
ideas, volunteer leadership, fundraising assistance, and liaison services between the senior
community and the City. The Advisory Board plays an important supporting role in helping the
Senior Center thrive, while day-to-day administration and personnel supervision remain with City
staff through the City’s administrative structure.
1.3
Mission
The mission of the Advisory Board is to promote the social, health, educational, nutritional,
physical, recreational, and intellectual well-being of the senior citizens of the Goddard community,
and to serve as a bridge between the senior community and the City of Goddard.
ARTICLE 2 – MEMBERSHIP
2.1
Composition
The Advisory Board shall consist of seven (7) members appointed by the Mayor with the
consent of the City Council. No fewer than four (4) members shall be residents of the City of
Goddard. All members shall demonstrate a commitment to advocating for and supporting older
adults in the community.
2.2
Terms
Members serve staggered three-year terms as provided in the City Code. Members may
serve up to two (2) consecutive full terms. Upon completion of two consecutive terms, a member
is eligible for reappointment after a one-year absence from the Advisory Board.
2.3
Vacancies
Vacancies arising by resignation or otherwise shall be filled by the Mayor with the consent
of the City Council for the remainder of the unexpired term. A member appointed to fill a vacancy
serving less than half of an unexpired term shall not have that partial term counted toward the twoconsecutive-term limit.
2.4
Ex Officio Member
The Senior Center Director shall serve as a non-voting ex officio member of the Advisory
Board. The ex officio member may participate in discussions, but shall not vote on any matter
before the Advisory Board and shall not be counted for purposes of establishing a quorum.
2.5
Compensation
Members of the Advisory Board shall receive no compensation for their services.
ARTICLE 3 – OFFICERS
3.1
Officers
The Advisory Board shall have three (3) officers – Chairperson, Vice Chairperson, and
Secretary.
3.2
Election and Terms
Officers shall be elected by majority vote of the Advisory Board members present at the
first regular meeting of each calendar year. Officers shall serve one-year terms and may be reelected. If an officer position becomes vacant during the year, the Advisory Board shall elect a
replacement at its next regular meeting to serve the remainder of the unexpired term.
3.3
Chairperson
The Chairperson shall preside over all meetings of the Advisory Board, represent the
Advisory Board in its official capacity, coordinate with City staff on matters of mutual concern,
receive periodic financial and budget updates from the Senior Center Director and City staff for
communication to the Advisory Board, and appoint subcommittees and working groups as
provided in these Bylaws. The Chairperson shall ensure that meetings are conducted in an orderly
and productive manner consistent with the Advisory Board’s advisory role and these Bylaws.

3.4
Vice Chairperson
The Vice Chairperson shall assume the duties of the Chairperson in the Chairperson’s
absence or inability to serve. The Vice Chairperson shall assist the Chairperson as requested and
perform such other duties as the Advisory Board may assign.
3.5
Secretary
The Secretary shall be responsible for official communications with Advisory Board
members, recording the proceedings of all meetings, maintaining Advisory Board records, and
distributing meeting minutes as provided in these Bylaws. The Secretary shall provide notice of
all regular and special meetings as required by these Bylaws.
ARTICLE 4 – MEETINGS
4.1
Regular Meetings
The Advisory Board shall meet monthly at a time and place established by the Advisory
Board at the beginning of each calendar year. The schedule of regular meetings shall be filed with
the City Clerk and posted as required by the Kansas Open Meetings Act.
4.2
Special Meetings
Special meetings may be called by the Chairperson or by a majority of the Advisory Board
members. Notice of a special meeting shall be provided to all members and to the City Clerk at
least twenty-four (24) hours in advance of the meeting. Notice shall state the time, place, and
purpose of the special meeting. Only business stated in the notice may be conducted at a special
meeting.
4.3
Open Meetings
All meetings of the Advisory Board shall be open to the public and conducted in
compliance with the Kansas Open Meetings Act, K.S.A. § 75-4317 et seq. Executive sessions may
be held only as authorized by law and only upon proper motion identifying the applicable statutory
exception.
4.4
Location and Format
Meetings shall be held at a location accessible to the public as coordinated with the City.
Members may participate in meetings by telephone or video conference. A member participating
remotely shall be counted toward quorum and may vote on any matter before the Advisory Board.
4.5
Quorum

A quorum shall consist of four (4) members of the Advisory Board, not including the ex
officio member. No official business may be conducted in the absence of a quorum.
4.6
Voting
All recommendations voted upon by the Advisory Board shall require a simple majority
vote of members present, provided a quorum exists. Voting shall be conducted by voice vote, show
of hands, or roll call at the discretion of the Chairperson. There shall be no voting by proxy. There
shall be no voting by email or other electronic means outside of a properly noticed meeting. Voting
to approve the minutes, agendas, and officer appointments shall be considered binding action.
4.7
Agenda
The Senior Center Director, in coordination with the Chairperson and City staff, shall
prepare an agenda for each regular and special meeting. The agenda shall be distributed to
Advisory Board members and filed with the City Clerk in advance of each meeting. Members may
request agenda items by contacting the Chairperson or Secretary prior to the agenda being
finalized.
4.8
Meeting Minutes
The Secretary shall prepare written minutes of each meeting of the Advisory Board. Draft
minutes shall be distributed to all Advisory Board members prior to the next regular meeting for
review. Minutes shall be presented for approval at the following regular meeting. Upon approval,
the minutes shall be submitted to the City Clerk for posting on the City’s website. Approved
minutes are public records.
ARTICLE 5 – SUBCOMMITTEES AND WORKING GROUPS
5.1
Appointment
The Chairperson may appoint subcommittees or working groups to assist the Advisory
Board in carrying out its advisory functions. Each subcommittee or working group shall have a
defined purpose and shall report its findings and recommendations to the full Advisory Board.
Subcommittees and working groups may include non-members of the Advisory Board, such as
community volunteers or Senior Center staff, in a non-voting capacity.
5.2
Limitations
Subcommittees and working groups shall operate in a advisory capacity and shall have no
independent authority to act on behalf of the Advisory Board or the City. All recommendations
from subcommittees and working groups are subject to review and action by the full Advisory
Board.
ARTICLE 6 – CODE OF CONDUCT

6.1
General Standards
Advisory Board members shall conduct themselves in a manner that reflects positively on
the Advisory Board and the City of Goddard and that supports the Advisory Board’s mission of
serving the senior community. Members are expected to act with integrity, respect, and
professionalism in all Advisory Board activities.
6.2
Respectful Conduct
Members shall treat fellow Advisory Board members, City employees (including Senior
Center staff), volunteers, seniors, and members of the public with courtesy and respect. Members
shall not make disparaging, demeaning, or personally attacking remarks about City employees
(including Senior Center staff), seniors, the public, or other individuals in the context of Advisory
Board meetings, public forums, or official communications. Disagreements regarding policy or
operations shall be expressed constructively and through appropriate channels. Nothing in this
section is intended to prohibit respectful disagreement, good-faith advocacy, strong participation,
or candid feedback regarding Senior Center programs, policies, or operations when expressed
constructively and through appropriate channels.
6.3
Conduct Consistent with Advisory Role
Members shall conduct themselves in a manner consistent with the Advisory Board’s
advisory role. Members shall not, individually or collectively, attempt to direct or supervise City
employees (including Senior Center staff) regarding operational matters. Members are encouraged
to share ideas, concerns, and differing viewpoints in a constructive and respectful manner that
supports productive relationships with fellow board members, City employees (including Senior
Center staff), volunteers, seniors, and the public. When questions or concerns arise regarding
Senior Center operations, members should bring them forward through the Board’s established
communication channels so they can be addressed collaboratively and at the appropriate
administrative level- starting with the Senior Center Director, the Deputy City Administrator (or
City Administrator designee), or the City Council through the City Administrator –not through the
directing of individual City employees (including Senior Center staff). Active volunteer leadership,
program ideas, fundraising efforts, community engagement, and hands-on support consistent with
Article 8 shall not, by themselves, be considered directing or supervising City employees.
6.4
Conflict of Interest
Members shall disclose any actual or perceived conflict of interest before participating in
any discussion or vote on a matter in which they have a personal or financial interest. A member
with a conflict of interest shall recuse themselves from discussion and voting on the matter and
shall note the recusal in the meeting minutes. Questions regarding whether a conflict of interest
exist shall be directed to the Deputy City Administrator (or City Administrator designee) and City
Attorney.
6.5
Confidentiality

Members shall maintain the confidentiality of information designated as confidential by
the City, including personnel matters, legal matters, and other information that the City determines
should not be publicly disclosed. Members shall not share confidential information with persons
outside the Advisory Board without authorization from the Deputy City Administrator (or City
Administrator designee) and City Attorney.
6.6
Consequences of Conduct Violations
Conduct inconsistent with these standards may constitute grounds for removal from the
Advisory Board as provided in Article 7. Nothing in this Article shall limit the City Council’s
authority to remove a member for conduct detrimental to the Advisory Board’s mission as provided
in the City Code.
ARTICLE 7 – ATTENDANCE AND REMOVAL
7.1
Attendance Expectations
Regular attendance at Advisory Board meetings is essential to effective service. Members
are expected to attend all regular meetings and to notify the Chairperson in advance if they are
unable to attend.
7.2
Attendance-Based Removal
A member who misses three (3) consecutive regular meetings, or fifty percent (50%) of all
regular meetings within any twelve-month period, without an excuse approved by the Chairperson,
may be removed from the Advisory Board by the Mayor with the consent of the City Council. The
Chairperson shall notify the Deputy City Administrator (or City Administrator designee) when a
member’s attendance falls below these standards.
7.3
Removal for Cause
A member may be removed by the Mayor with the consent of the City Council for conduct
detrimental to the Advisory Board’s mission, violation of the Code of Conduct described in Article
6, conflict of interest, or such other cause as the City Council may determine in its sole discretion.
Prior to removal, the member shall be provided written notice of the grounds for removal and an
opportunity to be heard before the City Council.
A member may be removed by the Mayor with the consent of the City Council for
material misconduct, repeated violation of these Bylaws or the Code of Conduct, failure to disclose
a conflict of interest, conduct materially detrimental to the Advisory Board’s mission, or other
substantial cause related to the member’s service. Prior to removal, the member shall be provided
written notice of the grounds for removal and an opportunity to be heard before the City Council.

7.4
Resignation
A member wishing to resign shall submit written notice of resignation to the Chairperson
and the City Clerk. The resignation shall be effective upon receipt unless a later effective date is
specified. The Chairperson shall promptly notify the Deputy City Administrator (or City
Administrator designee) of any vacancy.
ARTICLE 8 – RELATIONSHIP WITH CITY ADMINISTRATION
8.1
Working with the Senior Center Director
The Advisory Board shall maintain a collaborative and constructive working relationship
with the Senior Center Director. The Director shall keep the Advisory Board reasonably informed
about Senior Center programs, activities, and operations. The Advisory Board shall provide input
and recommendations to the Director in a spirit of partnership, recognizing that operational
decisions rest with the Senior Center Director and City administration.
The Senior Center Director, in coordination with City staff as appropriate, shall also
provide periodic updates to the Chairperson and Advisory Board regarding Senior Center
expenditures, fundraising proceeds, grant activity, and budget status.
8.2 Institutional Knowledge and Traditions
The City values the Advisory Board’s experience, institutional knowledge, and
longstanding involvement with the Senior Center. The Senior Center Director should consider the
Advisory Board’s input in preserving the character, traditions, strengths, and member preferences
that have helped shape the Goddard Senior Center.
8.3 Collaboration on Routine Programming and Services
For routine activities, events, member services, outreach, hospitality, and promotional
matters, the Senior Center Director and Advisory Board are encouraged to work collaboratively
and build consensus whenever reasonably possible, consistent with applicable law, City policy,
budgetary limits, staffing needs, safety considerations, and grant requirements.
8.4
Communications with City Administration
To support clear communication and efficient problem-solving, Advisory Board
recommendations should ordinarily be routed through the Senior Center Director, the Deputy City
Administrator (or City Administrator designee), or the City Council through the City
Administrator. Nothing in this section is intended to limit a member’s rights as a private citizen.

8.5
Volunteer-ship encouraged
The Advisory Board’s hands-on volunteer support is welcomed in areas such as hospitality,
activity support, outreach, and program promotion, provided such efforts are coordinated with the
Senior Center Director or designated City staff to ensure consistency with Center operations.
8.6 Interim Support During Director Vacancy
In the event of a vacancy in the Senior Center Director position, the Advisory Board may
serve in an enhanced collaborative support role, in coordination with the Deputy City
Administrator (or City Administrator designee), to assist with continuity of programming,
volunteer coordination, community engagement, and communication during the vacancy. This
interim support role is intended to preserve continuity and momentum at the Senior Center until a
Director is appointed. This section shall not be interpreted to authorize the Advisory Board to
supervise City employees, make personnel decisions, enter contracts, approve expenditures
outside the City’s normal budget process, or otherwise act beyond its advisory and volunteersupport role.
8.7
Director Performance Evaluation Input
The City administration shall solicit input from the Advisory Board as part of the Senior
Center Director’s annual performance evaluation process. The Advisory Board shall convene in
executive session pursuant to the Kansas Open Meetings Act to discuss the Director’s
performance. No public discussion or public vote on the Director’s performance shall occur. The
Advisory Board shall invite the Deputy City Administrator (or City Administrator designee) into
the executive session for the purpose of receiving the Advisory Board’s input directly. Any input
provided shall be advisory only, shall be treated as confidential personnel information by the City,
and shall not constitute a performance evaluation or create any right of appeal, reconsideration, or
further review by the Advisory Board.
ARTICLE 9 – AMENDMENTS
9.1
Amendment Process
These Bylaws may be amended only by action of the City Council of the City of Goddard.
The Advisory Board may propose amendments by majority vote of its members at a duly noticed
meeting. Proposed amendments shall be submitted to the Deputy City Administrator (or City
Administrator designee) and City Attorney for review prior to submission to the City Council for
approval. No amendment shall take effect without City Council approval.
9.2
Consistency with City Code
These Bylaws shall at all times be consistent with the City Code and all applicable
ordinances of the City of Goddard. In the event of any conflict between these Bylaws and the City
Code or any City ordinance, the City Code and ordinances shall control.

staff as City employees subject to the City’s personnel policies and administrative oversight; and
WHEREAS, the City Council has determined that the Senior Center Director and other
Senior Center paid staff shall report through the City’s administrative structure in the same manner
as employees of other City programs, with day-to-day supervision and operational oversight vested
in City administration; and
WHEREAS, the City Council finds that community involvement and input remain valuable
to the Senior Center’s mission and wishes to continue the Advisory Board under a revised
framework that clearly defines its role as advisory without supervisory authority over City
employees or operations; and
WHEREAS, the City Council has determined that the bylaws governing the Advisory
Board shall be adopted and controlled by the City Council to ensure continued alignment with the
City’s governance structure; and
WHEREAS, the existing members of the Advisory Board shall continue in their current
roles under the restated structure without interruption and their current staggered terms shall
remain in effect;
NOW, THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY

Section 1. Repeal and Restatement of Article 10 of Chapter 1 of the City Code.
Article 10 of Chapter 1 of the City Code is hereby repealed in its entirety and restated as

The first board shall be appointed as follows: two (2) members shall be appointed for a
term expiring after one (1) year, two (2) members shall be appointed for a term expiring after two

the expiration of the terms of members first appointed, succeeding members shall be appointed in
a like manner for terms of three (3) years. Vacancies by resignation or otherwise shall be filled in
a like manner for the remainder of the unexpired term. Members may serve up to two (2)
consecutive terms. A member appointed to fill a vacancy serving less than half of an unexpired
term shall not have that partial term counted toward the two-consecutive-term limit. Upon
completion of two consecutive terms, a member is eligible for reappointment after a one-year
absence from the Advisory Board.
Board.
The Senior Center Director shall serve as a non-voting ex officio member of the Advisory

Secretary. The Chairperson is responsible for leading the board and facilitating meetings. The Vice
Chairperson takes on the role of the Chairperson in his or her absence. The Secretary is responsible

other board records. The board shall elect from its members these officers during the January board
meeting to serve one (1) year terms.

Meetings.
The Advisory Board shall meet monthly or more frequently at the call of the Chairperson
or a majority of the board members. All meetings shall be open to the public and conducted in
compliance with the Kansas Open Meetings Act, K.S.A. § 75-4317 et seq. Meetings upon call shall
be initiated by notice to the City Clerk. A quorum shall consist of four (4) members. Actions shall
require a simple majority vote of members present.

Administrative oversight of the Senior Center.
The Goddard Senior Center and its employees shall be administered through the City’s
administrative structure. The Senior Center Director shall report to the Deputy City Administrator
(or City Administrator designee). All employment decisions, supervision of City employees
assigned to the Senior Center, and operational oversight of Senior Center programs shall be carried
out through the City’s established administrative chain of command, consistent with the City’s
personnel policies and the direction of the City Administrator. The specific duties, reporting
relationships, and organizational structure of the Senior Center shall be established and may be
modified from time to time by administrative action of the City Administrator without the need for
further ordinance amendment.

Mission; relationship to City Council.
The mission of the Advisory Board shall be to promote the social, health, educational,
nutritional, physical, recreational, and intellectual well-being of the senior citizens of the
community. The Advisory Board will be advisory to the City Council and will forward its
suggestions and recommendations to the City Council through the City Administrator or his or her
designee.

Objectives.
The main objectives of the Advisory Board are as follows:
(a) Provide community input and recommendations regarding Senior Center
programming, services, and the needs of the senior community.
(b) Assist with community outreach, volunteer recruitment and coordination, and
fundraising efforts in support of the Senior Center.
(c) Encourage and provide hands-on volunteer support for the Senior Center,
including hospitality, activity support, outreach, and program promotion,
provided such efforts are coordinated with the Senior Center Director or
designated City staff to ensure consistency with Center operations.
(d) Maintain open communication with the senior citizen community through
multiple modes of communication.

(e) Serve as a liaison between the senior community, local organizations, and the
City with respect to matters affecting older adults in Goddard.
(f) Support the Senior Center’s grant compliance obligations and assist with grant
development efforts, provided that any grant applications submitted on behalf
of the City shall be reviewed and approved by the City Administrator prior to
submission.
(g) Preserve and utilize the institutional knowledge, community relationships,
traditions, and member preferences developed through the Advisory Board’s
longstanding involvement with the Senior Center.

Role of the Advisory Board and Relationship with City Staff
The Advisory Board shall serve in an advisory capacity to the City Council, Deputy City
Administrator (or City Administrator designee), and the Senior Center Director.
In keeping with this supporting role, the Advisory Board does not hire, supervise, or
discipline City employees (including Senior Center staff), enter contracts on behalf of the City,
authorize expenditures outside the City’s normal budget process, or direct day-to-day operations
of the Senior Center.
The Advisory Board may engage in fundraising efforts to provide additional support to the
Senior Center. Any funds raised shall be administered in accordance with City financial policies
and procedures.
The City administration shall solicit input from the Advisory Board as part of the Senior
Center Director’s annual performance evaluation process. Such input shall be advisory only. The
City administration shall retain sole authority to conduct, finalize, and act upon the Director’s
annual performance evaluation. The Advisory Board’s input shall not create any right of appeal,
reconsideration, or further review by the Advisory Board.
The Senior Center Director shall work collaboratively with the Advisory Board and shall
keep the Advisory Board reasonably informed about Senior Center programs, activities, and
operations. The Director shall give good-faith consideration to input and recommendations
provided by the Advisory Board. The City intends for the Advisory Board to remain a meaningful
partner in shaping the Senior Center’s activities, traditions, and member experience. For routine
programming, event, outreach, hospitality, and service matters, the Director should ordinarily work
toward consensus with the Advisory Board whenever reasonably possible. The Director’s
obligation to consider Advisory Board input shall not be construed to require the Director to
implement Advisory Board recommendations or to seek Advisory Board approval prior to making
operational decisions.
The City administration shall solicit input from the Advisory Board during recruitment of
the Senior Center Director. Final hiring authority shall remain with the City.

The Senior Center Director shall provide regular reports to the Advisory Board regarding
expenditures, fundraising, grants, and budget status, in coordination with City finance staff as
appropriate.
In the event of a vacancy in the Senior Center Director position, the Advisory Board may
serve in an enhanced collaborative support role, in coordination with the Deputy City
Administrator or City Administrator designee, to assist with continuity of programming, volunteer
coordination, community engagement, and communication during the vacancy. This interim role
shall not be interpreted as granting the Advisory Board authority to supervise City employees,
make personnel decisions, enter contracts, approve expenditures outside the City’s normal budget
process, or otherwise alter its advisory status under this Article.
Nothing in this Article is intended to discourage good-faith advocacy, candid feedback, or
active volunteer leadership by Advisory Board members when expressed respectfully,
constructively, and through appropriate channels consistent with law and City policy.

Bylaws.
The Advisory Board shall operate under bylaws adopted by the City Council. The Advisory
Board may propose amendments to its bylaws by submitting proposed revisions to the Deputy City
Administrator (or City Administrator designee) and City Attorney for review and then to the City
Council for approval. No bylaw provision or amendment shall take effect without City Council
approval. The bylaws shall not expand the Advisory Board’s authority beyond that provided in this
Article. In the event of any conflict between the bylaws and this Article, this Article shall control.

Attendance and removal.
A member who misses three (3) consecutive regular meetings, or fifty percent (50%) of all
regular meetings within any twelve-month period, without excuse approved by the Chairperson,
may be removed from the Advisory Board by the Mayor with the consent of the City Council.
A member may also be removed by the Mayor with the consent of the City Council for
material misconduct, repeated violation of the Code of Conduct or City policy, unaddressed
conflict of interest, conduct materially detrimental to the Advisory Board’s mission, or other
substantial cause related to the member’s service on the Advisory Board. Prior to removal, the
member shall be provided written notice of the grounds for removal and an opportunity to be heard
before the City Council.

Compensation.
Advisory Board members shall receive no compensation for their services as members of
the board.
Section 2. Continuation of Existing Members and Terms.

The members currently serving on the Goddard Senior Citizens Advisory Board shall
continue to serve without interruption. Their existing staggered terms of appointment shall remain
in effect and shall not be affected by the adoption of this Ordinance. Nothing in this Ordinance
shall be construed to require reappointment of current members or to create a vacancy on the
Advisory Board.
Section 3. Severability.
If any section, subsection, sentence, clause, or phrase of this Ordinance is for any reason
held to be invalid or unconstitutional by a court of competent jurisdiction, such invalidity shall not
affect the validity of the remaining portions of this Ordinance.
Section 4. Effective Date.

BYLAWS
Adopted by the City Council of the City of Goddard, Kansas,
Ordinance No. ____, on _______, 2026
These Bylaws govern the internal operations of the Goddard Senior Citizens Advisory
Board (the “Advisory Board”). These Bylaws are adopted by the City Council of the City of
Goddard, Kansas pursuant to Article 10 of Chapter 1 of the City Code. In the event of any conflict
between these Bylaws and the City Code or any ordinance of the City of Goddard, the City Code
and ordinances shall control. These Bylaws may be amended only by action of the City Council
as provided in Article 10 of Chapter 1 of the City Code.
ARTICLE 1 – NAME AND PURPOSE
1.1
Name
The name of this body is the Goddard Senior Citizens Advisory Board.
1.2
Purpose
The Advisory Board serves in an advisory capacity to the City Council, the Deputy City
Administrator (or City Administrator designee), and the Senior Center Director. Its purpose is to
support the mission of the Goddard Senior Center by providing community input, programming
ideas, volunteer leadership, fundraising assistance, and liaison services between the senior
community and the City. The Advisory Board plays an important supporting role in helping the
Senior Center thrive, while day-to-day administration and personnel supervision remain with City
staff through the City’s administrative structure.
1.3
Mission
The mission of the Advisory Board is to promote the social, health, educational, nutritional,
physical, recreational, and intellectual well-being of the senior citizens of the Goddard community,
and to serve as a bridge between the senior community and the City of Goddard.
ARTICLE 2 – MEMBERSHIP
2.1
Composition
The Advisory Board shall consist of seven (7) members appointed by the Mayor with the
consent of the City Council. No fewer than four (4) members shall be residents of the City of
Goddard. All members shall demonstrate a commitment to advocating for and supporting older
adults in the community.
2.2
Terms
Members serve staggered three-year terms as provided in the City Code. Members may
serve up to two (2) consecutive full terms. Upon completion of two consecutive terms, a member
is eligible for reappointment after a one-year absence from the Advisory Board.
2.3
Vacancies
Vacancies arising by resignation or otherwise shall be filled by the Mayor with the consent
of the City Council for the remainder of the unexpired term. A member appointed to fill a vacancy
serving less than half of an unexpired term shall not have that partial term counted toward the twoconsecutive-term limit.
2.4
Ex Officio Member
The Senior Center Director shall serve as a non-voting ex officio member of the Advisory
Board. The ex officio member may participate in discussions, but shall not vote on any matter
before the Advisory Board and shall not be counted for purposes of establishing a quorum.
2.5
Compensation
Members of the Advisory Board shall receive no compensation for their services.
ARTICLE 3 – OFFICERS
3.1
Officers
The Advisory Board shall have three (3) officers – Chairperson, Vice Chairperson, and
Secretary.
3.2
Election and Terms
Officers shall be elected by majority vote of the Advisory Board members present at the
first regular meeting of each calendar year. Officers shall serve one-year terms and may be reelected. If an officer position becomes vacant during the year, the Advisory Board shall elect a
replacement at its next regular meeting to serve the remainder of the unexpired term.
3.3
Chairperson
The Chairperson shall preside over all meetings of the Advisory Board, represent the
Advisory Board in its official capacity, coordinate with City staff on matters of mutual concern,
receive periodic financial and budget updates from the Senior Center Director and City staff for
communication to the Advisory Board, and appoint subcommittees and working groups as
provided in these Bylaws. The Chairperson shall ensure that meetings are conducted in an orderly
and productive manner consistent with the Advisory Board’s advisory role and these Bylaws.

3.4
Vice Chairperson
The Vice Chairperson shall assume the duties of the Chairperson in the Chairperson’s
absence or inability to serve. The Vice Chairperson shall assist the Chairperson as requested and
perform such other duties as the Advisory Board may assign.
3.5
Secretary
The Secretary shall be responsible for official communications with Advisory Board
members, recording the proceedings of all meetings, maintaining Advisory Board records, and
distributing meeting minutes as provided in these Bylaws. The Secretary shall provide notice of
all regular and special meetings as required by these Bylaws.
ARTICLE 4 – MEETINGS
4.1
Regular Meetings
The Advisory Board shall meet monthly at a time and place established by the Advisory
Board at the beginning of each calendar year. The schedule of regular meetings shall be filed with
the City Clerk and posted as required by the Kansas Open Meetings Act.
4.2
Special Meetings
Special meetings may be called by the Chairperson or by a majority of the Advisory Board
members. Notice of a special meeting shall be provided to all members and to the City Clerk at
least twenty-four (24) hours in advance of the meeting. Notice shall state the time, place, and
purpose of the special meeting. Only business stated in the notice may be conducted at a special
meeting.
4.3
Open Meetings
All meetings of the Advisory Board shall be open to the public and conducted in
compliance with the Kansas Open Meetings Act, K.S.A. § 75-4317 et seq. Executive sessions may
be held only as authorized by law and only upon proper motion identifying the applicable statutory
exception.
4.4
Location and Format
Meetings shall be held at a location accessible to the public as coordinated with the City.
Members may participate in meetings by telephone or video conference. A member participating
remotely shall be counted toward quorum and may vote on any matter before the Advisory Board.
4.5
Quorum

A quorum shall consist of four (4) members of the Advisory Board, not including the ex
officio member. No official business may be conducted in the absence of a quorum.
4.6
Voting
All recommendations voted upon by the Advisory Board shall require a simple majority
vote of members present, provided a quorum exists. Voting shall be conducted by voice vote, show
of hands, or roll call at the discretion of the Chairperson. There shall be no voting by proxy. There
shall be no voting by email or other electronic means outside of a properly noticed meeting. Voting
to approve the minutes, agendas, and officer appointments shall be considered binding action.
4.7
Agenda
The Senior Center Director, in coordination with the Chairperson and City staff, shall
prepare an agenda for each regular and special meeting. The agenda shall be distributed to
Advisory Board members and filed with the City Clerk in advance of each meeting. Members may
request agenda items by contacting the Chairperson or Secretary prior to the agenda being
finalized.
4.8
Meeting Minutes
The Secretary shall prepare written minutes of each meeting of the Advisory Board. Draft
minutes shall be distributed to all Advisory Board members prior to the next regular meeting for
review. Minutes shall be presented for approval at the following regular meeting. Upon approval,
the minutes shall be submitted to the City Clerk for posting on the City’s website. Approved
minutes are public records.
ARTICLE 5 – SUBCOMMITTEES AND WORKING GROUPS
5.1
Appointment
The Chairperson may appoint subcommittees or working groups to assist the Advisory
Board in carrying out its advisory functions. Each subcommittee or working group shall have a
defined purpose and shall report its findings and recommendations to the full Advisory Board.
Subcommittees and working groups may include non-members of the Advisory Board, such as
community volunteers or Senior Center staff, in a non-voting capacity.
5.2
Limitations
Subcommittees and working groups shall operate in a advisory capacity and shall have no
independent authority to act on behalf of the Advisory Board or the City. All recommendations
from subcommittees and working groups are subject to review and action by the full Advisory
Board.

ARTICLE 6 – CODE OF CONDUCT
6.1
General Standards
Advisory Board members shall conduct themselves in a manner that reflects positively on
the Advisory Board and the City of Goddard and that supports the Advisory Board’s mission of
serving the senior community. Members are expected to act with integrity, respect, and
professionalism in all Advisory Board activities.
6.2
Respectful Conduct
Members shall treat fellow Advisory Board members, City employees (including Senior
Center staff), volunteers, seniors, and members of the public with courtesy and respect. Members
shall not make disparaging, demeaning, or personally attacking remarks about City employees
(including Senior Center staff), seniors, the public, or other individuals in the context of Advisory
Board meetings, public forums, or official communications. Disagreements regarding policy or
operations shall be expressed constructively and through appropriate channels. Nothing in this
section is intended to prohibit respectful disagreement, good-faith advocacy, strong participation,
or candid feedback regarding Senior Center programs, policies, or operations when expressed
constructively and through appropriate channels.
6.3
Conduct Consistent with Advisory Role
Members shall conduct themselves in a manner consistent with the Advisory Board’s
advisory role. Members shall not, individually or collectively, attempt to direct or supervise City
employees (including Senior Center staff) regarding operational matters. Members are encouraged
to share ideas, concerns, and differing viewpoints in a constructive and respectful manner that
supports productive relationships with fellow board members, City employees (including Senior
Center staff), volunteers, seniors, and the public. When questions or concerns arise regarding
Senior Center operations, members should bring them forward through the Board’s established
communication channels so they can be addressed collaboratively and at the appropriate
administrative level- starting with the Senior Center Director, the Deputy City Administrator (or
City Administrator designee), or the City Council through the City Administrator –not through the
directing of individual City employees (including Senior Center staff). Active volunteer leadership,
program ideas, fundraising efforts, community engagement, and hands-on support consistent with
Article 8 shall not, by themselves, be considered directing or supervising City employees.
6.4
Conflict of Interest
Members shall disclose any actual or perceived conflict of interest before participating in
any discussion or vote on a matter in which they have a personal or financial interest. A member
with a conflict of interest shall recuse themselves from discussion and voting on the matter and
shall note the recusal in the meeting minutes. Questions regarding whether a conflict of interest
exist shall be directed to the Deputy City Administrator (or City Administrator designee) and City
Attorney.

6.5
Confidentiality
Members shall maintain the confidentiality of information designated as confidential by
the City, including personnel matters, legal matters, and other information that the City determines
should not be publicly disclosed. Members shall not share confidential information with persons
outside the Advisory Board without authorization from the Deputy City Administrator (or City
Administrator designee) and City Attorney.
6.6
Consequences of Conduct Violations
Conduct inconsistent with these standards may constitute grounds for removal from the
Advisory Board as provided in Article 7. Nothing in this Article shall limit the City Council’s
authority to remove a member for conduct detrimental to the Advisory Board’s mission as provided
in the City Code.
ARTICLE 7 – ATTENDANCE AND REMOVAL
7.1
Attendance Expectations
Regular attendance at Advisory Board meetings is essential to effective service. Members
are expected to attend all regular meetings and to notify the Chairperson in advance if they are
unable to attend.
7.2
Attendance-Based Removal
A member who misses three (3) consecutive regular meetings, or fifty percent (50%) of all
regular meetings within any twelve-month period, without an excuse approved by the Chairperson,
may be removed from the Advisory Board by the Mayor with the consent of the City Council. The
Chairperson shall notify the Deputy City Administrator (or City Administrator designee) when a
member’s attendance falls below these standards.
7.3
Removal for Cause
A member may be removed by the Mayor with the consent of the City Council for material
misconduct, repeated violation of these Bylaws or the Code of Conduct, failure to disclose a
conflict of interest, conduct materially detrimental to the Advisory Board’s mission, or other
substantial cause related to the member’s service. Prior to removal, the member shall be provided
written notice of the grounds for removal and an opportunity to be heard before the City Council.
7.4
Resignation
A member wishing to resign shall submit written notice of resignation to the Chairperson
and the City Clerk. The resignation shall be effective upon receipt unless a later effective date is

specified. The Chairperson shall promptly notify the Deputy City Administrator (or City
Administrator designee) of any vacancy.
ARTICLE 8 – RELATIONSHIP WITH CITY ADMINISTRATION
8.1
Working with the Senior Center Director
The Advisory Board shall maintain a collaborative and constructive working relationship
with the Senior Center Director. The Director shall keep the Advisory Board reasonably informed
about Senior Center programs, activities, and operations. The Advisory Board shall provide input
and recommendations to the Director in a spirit of partnership, recognizing that operational
decisions rest with the Senior Center Director and City administration.
The Senior Center Director, in coordination with City staff as appropriate, shall also
provide periodic updates to the Chairperson and Advisory Board regarding Senior Center
expenditures, fundraising proceeds, grant activity, and budget status.
8.2 Institutional Knowledge and Traditions
The City values the Advisory Board’s experience, institutional knowledge, and
longstanding involvement with the Senior Center. The Senior Center Director should consider the
Advisory Board’s input in preserving the character, traditions, strengths, and member preferences
that have helped shape the Goddard Senior Center.
8.3 Collaboration on Routine Programming and Services
For routine activities, events, member services, outreach, hospitality, and promotional
matters, the Senior Center Director and Advisory Board are encouraged to work collaboratively
and build consensus whenever reasonably possible, consistent with applicable law, City policy,
budgetary limits, staffing needs, safety considerations, and grant requirements.
8.4
Communications with City Administration
To support clear communication and efficient problem-solving, Advisory Board
recommendations should ordinarily be routed through the Senior Center Director, the Deputy City
Administrator (or City Administrator designee), or the City Council through the City
Administrator. Nothing in this section is intended to discourage timely coordination, informal
collaboration, or a member’s rights as a private citizen, provided that members do not attempt to
direct City employees outside the City’s administrative structure.
8.5
Volunteer-ship encouraged
The Advisory Board’s hands-on volunteer support is welcomed in areas such as hospitality,
activity support, outreach, and program promotion, provided such efforts are coordinated with the
Senior Center Director or designated City staff to ensure consistency with Center operations.

8.6 Interim Support During Director Vacancy
In the event of a vacancy in the Senior Center Director position, the Advisory Board may
serve in an enhanced collaborative support role, in coordination with the Deputy City
Administrator (or City Administrator designee), to assist with continuity of programming,
volunteer coordination, community engagement, and communication during the vacancy. This
interim support role is intended to preserve continuity and momentum at the Senior Center until a
Director is appointed. This section shall not be interpreted to authorize the Advisory Board to
supervise City employees, make personnel decisions, enter contracts, approve expenditures
outside the City’s normal budget process, or otherwise act beyond its advisory and volunteersupport role.
8.7
Director Performance Evaluation Input
The City administration shall solicit input from the Advisory Board as part of the Senior
Center Director’s annual performance evaluation process. The Advisory Board shall convene in
executive session pursuant to the Kansas Open Meetings Act to discuss the Director’s
performance. No public discussion or public vote on the Director’s performance shall occur. The
Advisory Board shall invite the Deputy City Administrator (or City Administrator designee) into
the executive session for the purpose of receiving the Advisory Board’s input directly. Any input
provided shall be advisory only, shall be treated as confidential personnel information by the City,
and shall not constitute a performance evaluation or create any right of appeal, reconsideration, or
further review by the Advisory Board.
ARTICLE 9 – AMENDMENTS
9.1
Amendment Process
These Bylaws may be amended only by action of the City Council of the City of Goddard.
The Advisory Board may propose amendments by majority vote of its members at a duly noticed
meeting. Proposed amendments shall be submitted to the Deputy City Administrator (or City
Administrator designee) and City Attorney for review prior to submission to the City Council for
approval. No amendment shall take effect without City Council approval.
9.2
Consistency with City Code
These Bylaws shall at all times be consistent with the City Code and all applicable
ordinances of the City of Goddard. In the event of any conflict between these Bylaws and the City
Code or any City ordinance, the City Code and ordinances shall control.

Background: As we are getting closer to the building of the Public Works Facility, we are in the need to procure
furniture, IT, and security cameras/access control for the building ahead of it’s completion. We have been working
to obtain items for the building from the pressure washer to the other items that are outside of the scope of
Hutton’s contract for procurement. We acquired bids from our partners Imagine IT for and LT solutions as
well as PURE workplace solutions. Additional bids for the furniture were acquired but there have been delays
with getting the bids back in a timely manner.

two front entrances and the rear entrance. Access control also includes cameras throughout the interior and the

LT Solutions will issue to the Owner a 1-year warranty on all supplied materials and
workmanship. All associated Axis brand equipment comes with a standard 5-year warranty.
LT Solutions may require a 50% Deposit of the quoted amount paid before any material is
ordered, or mobilization fees are incurred. The remaining balance is to be invoiced at regular
intervals when deemed necessary.

SCOPE OF WORK: CAMERAS
All associated CAT 6 conduit, cabling, patch panels, keystone jacks and patch cables are the
responsibility of the others. LT Solutions will perform the final terminations, testing, and labeling of all
associated cabling. All camera mounting hardware is included.

the final terminations, testing, and labeling of all associated cabling.

trenching for non-electrical purposes.
• Installation or provision of systems outside the electrical scope, such as plumbing or HVAC
systems.
• Supply and installation of low voltage components or equipment not explicitly mentioned
above.
• Any upgrades or changes to electrical systems or components that are not explicitly covered
in the scope of work.
• Materials or labor for site preparation, including landscaping or paving around installed
electrical fixtures.
• Costs related to the transport or storage of materials unless otherwise specified.

This proposal is valid for 30 calendar days.
This proposal has been prepared in accordance with the project schedule provided. If a schedule is
not provided, this proposal is valid with a mutually agreeable schedule (including durations and
logic). If the schedule is delayed or extended by the action or inaction of the owner, contractor, or
other subcontractors, we reserve the right to submit requests for additional time and/or
compensation due to such delays.
Payments shall be due on completion of services rendered. We shall be able to invoice at regular
intervals when deemed necessary.
The customer agrees to pay all taxes and other charges, including state and local sales and excise
taxes unless specifically noted above.

We shall not be liable for any damage or penalty for delays or failure to perform work due to force
majeure.
We shall not be responsible for the testing, removal, or disposal of any hazardous materials.
We are not responsible for damage to utility lines not identified on project drawings or accurately
identified in the field. Additionally, we are not responsible for damage to any utility lines not affiliated
with the state’s One-Call System. This includes irrigation systems, sewer service lines, water service
lines, satellite lines, private gas lines, etc.
Dewatering, rock trenching, shoring, etc. are excluded from all excavation work unless specifically
called out above. If such conditions are encountered, LT Solutions will stop work, notify customers,
and submit pricing to account for adverse and/or changing conditions.

Terms & Conditions
The undersigned ("buyer") understands and agrees to the following terms and conditions:
A. Order Placement and Cancellations
1. All orders are placed through Contract Furnishings Rents, LLC d.b.a.PURE Workplace Solutions (hereinafter referred to as "Seller") to
the various manufacturers.
2. The above formal Quote indicates all quantities, colors, finishes and sizes. If there are no questions the quote is presumed to be
correct. A copy of the quote shall be signed and returned to our office indicating the Buyer’s approval. Please enclose deposit with the
signed quote.
3. All changes made by buyer after quote is signed are subject to extended availability.
4. If Buyer cancels the signed quote Buyer will be charged for any expenses incurred on its behalf.
5. Manufacturers reserve the right to revise prices and discontinue specific items without advance notice. Seller is not liable for
variations in prices from one quote to the next or the unavailability of items. Buyer will be notified of all price revisions and assume
responsibility for the payment, upon written acceptance of such revisions.
6. Requests for changes after issuance of purchase orders must be forwarded to Seller in writing by Buyer. Changes must be approved
by Seller and Manufacturer. Resulting charges by Manufacturer shall be paid by the Buyer.
7. All custom products ordered for a specific installation, upholstered with specifically chosen fabrics, colors, or with special metal
colors or wood finishes, are non-returnable. Stock merchandise returned to Seller is subject to a 30% restocking charge and may be
returned only if approved in writing by Seller.
B. Warranties and Limitation of Liability
1. Seller warrants all merchandise to be free from defects based on manufacturer’s warranty, and will replace or repair any defective
items at no additional cost to the Buyer.
C. Delivery and Installation
1. All merchandise will be delivered to Buyer's job site based on an agreed-upon factory lead-time schedule once the order has been
placed with Seller. If all merchandise is not delivered within 15 days of the agreed-upon dates, due to Buyer unable to receive
merchandise, the cost for additional warehouse storage will be borne by the Buyer, unless Buyer and Seller agree in advance that Seller
can store the product at no charge.
2. Installation shall be performed by the Seller, or its subcontracted installation company, with the plan specifications or with
adequate personal directions of the authorized representative of Buyer. Time for installation is 3 working days, provided that condition of
the job site allows for unobstructed installation of the merchandise.
3. Buyer shall keep the job site clear and free of debris before and during installation. Hoisting or elevator service, and adequate
facilities for off loading, staging, moving, and handling of merchandise shall be provided to Seller without charge. The authorized
representative of Buyer will walk the job site prior to installation, along with Seller's representative to note conditions of Buyer's job site.
4. Delivery and installation will be made during normal working hours. Buyer shall pay all additional labor cost resulting from required
overtime work performed for Buyer’s benefit.
D. Payment Terms
1. 50% deposit upon placement of order.
2. Buyer agrees that balance is due in full upon completion of delivery and within 10 days of invoice date. After 30 days, a service
charge of 1 1/2% per month (APR 18%) will be added to all past due amounts
3. If goods can not be received by Buyer within 30 days of our receipt, 40% of the balance is due upon receipt of items at our
warehouse, and 10% (balance) is due upon completion of the delayed delivery.
4. Buyer may not withhold payment on any invoice for any reason if Seller has substantially performed its obligation.
5. Unless and until all terms of purchase have been met, the property is and at all times shall remain the sole and exclusive personal
property of Seller. Buyer agrees not to sell the property, not to allow it to be transferred, disposed, or in any way subjected to any
interest of a third party.
6. If Buyer withholds any payment on any invoice in violation of this Agreement, Buyer agrees to reimburse Seller for any and all
attorney's fees and legal costs arising from and related to the collection of any such amount.

Review Draft Restrictive Covenant for R-2 Two-Family Zoning District

Background: Over the past several months, the City has continued to evaluate how best to
accommodate two-family residential development while also preserving neighborhood quality,
maintaining design standards, and addressing common concerns related to monotony,
compatibility, and long-term community appearance. As part of those discussions, staff has
prepared a draft restrictive covenant template intended for potential use in connection with
properties seeking rezoning to R-2 Two-Family Residential.
The concept behind the draft covenant is to establish additional private land use restrictions that
would run with the land and apply specifically to developments requesting a zoning amendment
to R-2. The current draft includes provisions addressing the percentage of lots that may contain
two-family structures, park dedication, sidewalk requirements, tree planting, architectural variety,
building materials, façade design, garage dominance, accessory structure design, and sound
separation between dwelling units. The covenant also provides that any waiver, termination, or
modification would require written consent of the City and recording with the Register of Deeds.
Analysis: This item is being presented to the Governing Body for review, discussion, and
comment only. No action is requested to approve or adopt the covenant at this time. Rather, staff
is seeking policy direction and feedback on whether this tool is appropriate to continue refining
for future use as part of rezoning requests involving R-2 Two-Family development.
The draft covenant is intended to serve as a mechanism to help ensure that two-family projects
proposed through the rezoning process are developed in a manner consistent with community
expectations. Among other items, the draft would limit two-family structures to 40% of total lots,
require one parcel to be dedicated for a park open to the public, require sidewalks on one side of
all through streets, and require a minimum of two trees per lot at occupancy.
The draft also places a significant emphasis on design quality and variation. It requires that twofamily structures avoid a monotonous appearance by incorporating at least six distinct architectural
styles or building type forms, prohibits repetition of the same type within five lots, and includes
standards related to masonry or other high-quality materials, varied rooflines, façade depth,
window coverage, garage prominence, and integrated garage/carport design. In addition, the draft
includes a sound separation requirement between dwelling units and provides for City review prior
to permit issuance to confirm compliance with the covenant standards.
Because this is a restrictive covenant rather than a zoning regulation, the covenant would be
recorded against the property and would become binding upon the owners and their successors
and assigns. The use of such a covenant could provide an added level of assurance that
commitments made during the rezoning process remain enforceable over time.
At this stage, staff is asking Council to review the concept and provide comment on whether the
framework is appropriate, whether any provisions should be strengthened or simplified, and
whether this type of covenant should be expected in future zoning amendment applications
involving R-2 requests.

Recommendations/Actions: It is recommended the City Council: Receive and file the draft
Two-Family Restrictive Covenant after review and comment.

WHEREAS, the undersigned is in the process of selling certain real property adjacent to the
incorporated limits of Goddard, Sedgwick County, Kansas, with the intention of being annexed
more particularly described as:

WHEREAS, as a part of the zone change process, certain requirements have been made by the
City of Goddard regarding the allowed number of Two-Family residences within the proposed
development.
NOW THEREFORE, the undersigned does hereby subject the above property, Sedgwick
County, Kansas, to the following covenants and restrictions:
1. The total percentage of lots within this development on which two-family structures can be
built will be 40% of the total number of lots platted.
2. One parcel within the above-described subdivision plat will be dedicated for a park that is
open to the public and maintained by the Developer or Homeowners Association
3. A 5-foot-wide sidewalk shall be constructed on one side of all through (non cul-de-sac)
streets.
4. A minimum of 2 trees per lot shall be required for the occupancy permits.
5. This covenant is binding on the owners, their successors and assigns and is a covenant
running with the land and is binding on all successors in title to the above-described property.
6. Two-family structures shall create variety and shall not look monotonous throughout the
development. Prior to issuance of any building permit for a Two-Family structure, the
Builder shall submit to the City a complete building plan and elevation package, including
material and color information, sufficient for the City to verify compliance with the
requirements of this Section. No building permit shall be issued unless and until the City has
provided written confirmation that the proposed structure complies with these standards.
a. In order to avoid a monotonous appearance throughout the development, all Two-Family
structures shall incorporate a minimum of six (6) distinct architectural styles or building
type forms. For purposes of this covenant, an “architectural style” or “building type
form” shall mean a materially distinct combination of color, façade design, roofline, entry
treatment, massing, layout, and exterior elevation composition. No Two-Family structure
of the same architectural style or building type form shall be located within five (5) lots
of another Two-Family structure of the same architectural style or building type form. By
way of illustration only, an acceptable sequencing pattern may include Type 1, Type 2,
Type 3, Type 4, Type 5, Type 6, and then repeat, provided no repeated type occurs within
five (5) lots of the same type. Such designs shall include the following:
b. Exterior facades shall be finished with high quality building materials and architectural
detailing. A minimum of 30% of front exterior walls or side walls which face the street,
shall be finished with decorative masonry, stone, or stucco. Synthetic or imitation
materials with a false or "tacked on" appearance shall not be permitted, without the
written consent of the city planning committee. Roofs and exterior paint colors shall vary

and have predominantly earth-tone colors, with vivid paint colors limited to incidental
accent.
c. Porches, varied rooflines, and varied façade depths to create variety and individuality of
dwelling units within the building.
d. Front windows must make up at least 10 percent of the front wall of the home. This
requirement helps avoid large blank walls and encourages homes that feel more open and
welcoming.
e. Garage doors may not cover more than 50 percent of the front of the home. This ensures
garages do not visually dominate the front of the house.
f. Protective entry courts, common vestibules, covered breezeways or enclosed stair halls to
reduce the number of visible doors, unless designed in a row house or townhouse manner
oriented toward the street.
g. Side and rear elevations, garages, carports, and all accessory structures with the same
level of design, aesthetic quality and architectural detailing.
h. Freestanding garages and carport structures designed to be integral with the building
design or sited so as to avoid long monotonous rows of garage doors and building walls.
Carports shall not be located where they back into internal circulation drives.
7. Unusual Buildings: The use of unusual shapes, color and other characteristics that cause new
buildings to call excessive attention to themselves and create disharmony shall be avoided.
8. Sound Separation Requirement. Each Two-Family structure shall include a continuous
separation wall assembly between the two dwelling units designed to minimize the
transmission of sound between units. Acceptable assemblies may include double-stud walls,
staggered-stud walls, masonry walls, concrete walls, or other equivalent sound-rated
construction approved by the Building Inspector. The separating wall system shall be
installed in accordance with manufacturer specifications and approved construction plans.
The Building Inspector may require documentation or professional certification
demonstrating that the proposed assembly provides equivalent or superior sound attenuation.
The building inspector will inspect the building during construction and certify their approval
of the sound separation requirement.
9. The covenants, conditions, and restrictions on the property created and established in this
instrument may be waived, terminated, or modified only upon written consent of the City of
Goddard. No such waiver, termination or modification shall be effective until such written
consent is recorded in the office of the Register of Deeds for Sedgwick County, Kansas.
